The trustees who are also directors of the charity for the purposes of the Companies Act 2006, present their report with the financial statements of the charity for the year ended 31st December 2021. The trustees have adopted the provisions of Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019). |
OBJECTIVES AND ACTIVITIES |
Objectives and aims |
To promote social inclusion for the public benefit by preventing people, particularly but not exclusively men aged 18 or over, within Denbigh and the surrounding area, from becoming socially excluded, relieving the needs of those people who are socially excluded and assisting them to integrate into society through the provision of facilities in which they can meet to undertake creative, physical or recreational activities, learn or pass on skills and knowledge, and support each other socially. |
For the purpose of this clause 'socially excluded' means being excluded from society, or parts of society, as a result of one of more of the following factors: unemployment; financial hardship; youth or old age; ill health (physical or mental); substance abuse or dependency including alcohol and drugs; discrimination on the grounds of sex, race, disability, ethnic origin, religion, belief, creed, sexual orientation or gender re-assignment; poor educational or skills attainment; relationship and family breakdown; poor housing (that is housing that does not meet basic habitable standards); or crime (either as a victim of crime or as an offender rehabilitating into society). |

OBJECTIVES AND ACTIVITIES |
Significant activities report 2021 |
Denbigh Men’s Shed were eventually allowed back on site at Trefeirian, by BCUHB on 24th June 2021, with a small team of trustees, core staff and volunteers. |
Work began in earnest to reclaim the site and make it fit for purpose, as the prolonged absence had seen nature take over and the site was waist-deep in weeds and wild flowers. |
The trustees, directors and key staff had kept in touch with one another and maintained local visits with volunteers and members, plus utilising Zoom meetings and the Facebook Group page and Messenger Group and so the core operations team members stayed in constant contact in the first half of the year. |
At first, attendance on site was restricted to only one day per week, as resources would not permit any more. |
Great efforts were made in the following months and the site slowly got cleared and operations were still largely based around tidying and clearing up until December 2021. |
Just prior to this, following a round of active fund-raising in October, Denbigh Men’s Shed were fortunate to receive a covid recovery fund from the Moondance foundation, to the sum of £9,500. |
This amount was for essential core staffing costs towards the project director’s salary. It was this very generous award that saved the organisation and enabled us to rebuild. |
An additional amount of £8,000 was awarded at the same time from the Freeman Evans Trust towards core running costs and new equipment gave the shed a new lease of life and enabled significant developments in the gardens and grounds and workshops. |
A new £500 grant from the Welsh Church Acts Fund was also received in November, which enabled new creative Woodworking sessions to be facilitated on site. |
Project director Nathan Sarea re-engaged with Social Farms & Gardens, Wales and a site visit was arranged with new Community Land Advisory Service (CLAS) Officer, Katie Trent, with a view to working towards Denbigh Men’s Shed work hopefully being recognised with a CLAS Award, in 2022. |
Katie Trent made Nathan aware of a new environment-based Community Award, available from the National Lottery. This was called the ‘Together for Our Planet’ award and so an application was made, which went before a panel at the GOP26 Climate Summit, in late November. |
Other funding applications were made to the WCVA-funded Winter Pressures fund, via DVSC and also to the Denbighshire County Council funded ‘Social Isolation’ Grant. |
Both of these applications were successful and were of >£5,000 each. One was paid in late December and the was received just into January 2022. |
The receipts of these grants in the latter part of 2021 meant that operations could now be expanded to 3-4 days per week, by year end and were to be spent by 31st March 2022. |
Denbigh Men’s Shed would be entering 2022 with significant core funding, allowing for expanded days of operations, using new equipment and resources. After significant hardship following Covid-19, Denbigh Men’s Shed was at last, fully resourced to deliver its activities. |

Governing document |
The charity is controlled by its governing document, a deed of trust, and constitutes a limited company, limited by guarantee, as defined by the Companies Act 2006. |

STRUCTURE, GOVERNANCE AND MANAGEMENT |
Recruitment and appointment of new trustees |
Any trustee is invited to nominate a potential new trustee that is personally known to and recommended by them. The nominee must be accepted by the majority of existing trustees. |
The nominated person must be a permitted person as defined by the Charities Act and of relevant skill or knowledge to the benefit of the charity. Trustees are personally responsible for ensuring their skills and knowledge are maintained to a standard which encompasses changes in legislation impacting on the operational activities of the trust. |
Organisational structure |
The trustees who have served during the year and since the year end are set out on page 1. Trustees are subscribers to the memorandum of association and the trustees are legally responsible for the overall management and control of the charity. They hold at least four ordinary meetings in each year. |
Induction and training of new trustees |
On appointment a newly elected trustee must have, as a minimum, read and accepted the memorandum of association and articles of association of the Denbigh Men's Shed Limited and read, understood and accepted the duties and responsibilities of a trustee as outlined in the Charity Commissions booklets CC3 - The essential trustee: what you need to know, and CC3(a) - Responsibilities of charity trustees. |
Newly elected trustees must understand in detail the ethos, vision and objectives of the charity. |
Risk management |
The trustees have a duty to identify and review the risks to which the charity is exposed and to ensure appropriate controls are in place to provide reasonable assurance against fraud and error. |

The charitable company is entitled to exemption from audit under Section 477 of the Companies Act 2006 for the year ended 31st December 2021. |
The members have not required the company to obtain an audit of its financial statements for the year ended 31st December 2021 in accordance with Section 476 of the Companies Act 2006. |
The trustees acknowledge their responsibilities for |
(a) | ensuring that the charitable company keeps accounting records that comply with Sections 386 and 387 of the Companies Act 2006 and |
(b) | preparing financial statements which give a true and fair view of the state of affairs of the charitable company as at the end of each financial year and of its surplus or deficit for each financial year in accordance with the requirements of Sections 394 and 395 and which otherwise comply with the requirements of the Companies Act 2006 relating to financial statements, so far as applicable to the charitable company. |

1. | ACCOUNTING POLICIES |
Basis of preparing the financial statements |
The financial statements of the charitable company, which is a public benefit entity under FRS 102, have been prepared in accordance with the Charities SORP (FRS 102) 'Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)', Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' and the Companies Act 2006. The financial statements have been prepared under the historical cost convention. |
Income |
All income is recognised in the Statement of Financial Activities once the charity has entitlement to the funds, it is probable that the income will be received and the amount can be measured reliably. |
Expenditure |
Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to that expenditure, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings they have been allocated to activities on a basis consistent with the use of resources. |
Stocks |
Stocks are valued at the lower of cost and net realisable value, after making due allowance for obsolete and slow moving items. |
Taxation |
The charity is exempt from corporation tax on its charitable activities. |
Fund accounting |
Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees. |
Restricted funds can only be used for particular restricted purposes within the objects of the charity. Restrictions arise when specified by the donor or when funds are raised for particular restricted purposes. |
