for the Year Ended 31 December 2022


The trustees who are also directors of the charity for the purposes of the Companies Act 2006, present their report with the financial statements of the charity for the year ended 31 December 2022. The trustees have adopted the provisions of Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019).

OBJECTIVES AND ACTIVITIES
Objectives and aims
The directors shall hold the trust fund and its income upon trust to apply them for the following objects ("The Objects") particularly but not exclusively in Africa, namely:-

1) To advance in life and relieve the needs of children and young people (who require by reason of their youth, poverty or social and economic circumstances) through:

a) The provision of recreational artistic and leisure time activities provided in the interests of social welfare, designed to improve their conditions of life;

b) Providing support and activities which develop their skills, capacities and capabilities to enable them to participate in society as mature independent and responsible individuals;

c) Through advancing education.

2) To promote social inclusion of children and young people for the public benefit: by preventing them from becoming socially excluded, relieving the needs of those young people who are socially excluded and assisting them to integrate into society.

Significant activities
Provision of Children's Arts programmes, namely,

Dance and movement programmes encompassing all forms of dance (including ballet).

Drama - including basics of film making, poetry and lyric writing classes.

Music classes - singing and recording and the creation of their own percussion musical instruments and instruction in how to play.

Fabric design and printing and clay modelling workshop training.

Still life and creative painting classes and training in the use of photographic equipment.

Circus troupe technique and skills training.

Teacher training for Kenyan artists in Nairobi.

Public benefit
The Charity Trustees consider themselves to have complied with the duty in section 17(5) of the Charities Act 2011 to have due regard to the guidance published by the Charity Commission.

ACHIEVEMENT AND PERFORMANCE
Charitable activities
Workshops

Due to the lifting of restrictions relating to the Covid epidemic it was possible to revisit Malawi and Kenya in October and November of 2022.

We took a small team to Malawi in October where we worked on an environmental project to combat climate change and combined the arts with various eco projects. The art group created beautiful masks and banners and the drama group performed a play about deforestation and water pollution. The music class learnt and performed an environmental song given to us by Oscar winning composer Stephen Warbeck, which he had created especially for the Anno's Africa children.

We held small "performances" at the end of the run in the two schools where we worked. Parents were invited and the children not involved in the classes could watch what their peers had been working on.

Alongside the children's classes we engaged with environmentalist Mark Lewis who is currently planting fast growing bamboo as a fuel source and we planted some of these samples in the grounds of our schools - as well as 20 or more fruit trees including Mango, Papaya, Guava and Custard Apple so that the kids can benefit from the fruit in this place where food is desperately overpriced.

We then moved on to Nairobi in November for a week to meet with the Kenya team for an update on their programme and to make a start on our classical music project and check on the progress of the covid postponed musical. The various teachers are working closely together with drama teacher Kades and are all committed to creating something unique and fun - "Bugsy Malone meets West Side Story "to open the new Arts centre in Kibera, that will be completed in July 2023.

Fundraising activities
In the spring we held an auction of autographed screenplays with 'Casino Royale' signed by Daniel Craig, and 'Withnail and I' signed by Richard E Grant and writer Bruce Robinson, which helped to refill the Covid depleted coffers.

A fundraiser was held at The Painting Rooms, London on 19 June 2022. The hire of the venue was generously provided for free through a friend of David Birkin. Paintings from the Malawian children's arts programme (frames & framing provided by the Blond Trust) were exhibited and sold, along with hand printed aprons and cushions produced by the Malawian team. Beautiful artworks were donated by Ann Rothenstein, Karen Birkin, Sophie Windham and others and these were sold on the day along with more signed TV and film scripts. Cimera Circus kindly provided the entertainment. The event was a great success and a welcome get together after Covid. It was well attended by friends, family and trustees, and we were very grateful for all the help and support.

FINANCIAL REVIEW
Reserves policy
The charity has no policy regarding reserves in place.

FUTURE PLANS
There is a planned fundraising climb to the top of Yr Wyddfa (Snowdon) in the summer with the intention of getting as many over 70s as we can persuade to participate, supported by a number of children, grandchildren and other under 70s! Circus Cimera will send some stilt walkers to accompany the oldies also.

Governing document
The charity is controlled by its governing document, a deed of trust, and constitutes a limited company, limited by guarantee, as defined by the Companies Act 2006.

STRUCTURE, GOVERNANCE AND MANAGEMENT
Recruitment and appointment of new trustees
The co-founders of the charity appointed trustees recruited amongst themselves, colleagues, associates and acquaintances within the Artistic Field.

The primary objective was to garner the requisite amount of expertise, both to initially set up and run the organisation, and also to allow significant future development.

The trustees are envisaged to remain in place until such a time as they no longer wish or are unable to continue for whatever reason.

In the event of the resignation of a trustee, the Charity will appoint a new member to the board of trustees, again recruited from suitable candidates within the Artistic Field.

Independent examiner's report to the trustees of Anno's Africa Limited ('the Company')
I report to the charity trustees on my examination of the accounts of the Company for the year ended 31 December 2022.

Responsibilities and basis of report
As the charity's trustees of the Company (and also its directors for the purposes of company law) you are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 ('the 2006 Act').

Having satisfied myself that the accounts of the Company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of your charity's accounts as carried out under Section 145 of the Charities Act 2011 ('the 2011 Act'). In carrying out my examination I have followed the Directions given by the Charity Commission under Section 145(5) (b) of the 2011 Act.

Independent examiner's statement
I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe:

1. accounting records were not kept in respect of the Company as required by Section 386 of the 2006 Act; or
2. the accounts do not accord with those records; or
3. the accounts do not comply with the accounting requirements of Section 396 of the 2006 Act other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an independent examination; or
4. the accounts have not been prepared in accordance with the methods and principles of the Statement of Recommended Practice for accounting and reporting by charities (applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)).

I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

The charitable company is entitled to exemption from audit under Section 477 of the Companies Act 2006 for the year ended 31 December 2022.


The members have not required the company to obtain an audit of its financial statements for the year ended 31 December 2022 in accordance with Section 476 of the Companies Act 2006.

(a)ensuring that the charitable company keeps accounting records that comply with Sections 386 and 387 of the Companies Act 2006 and

1. ACCOUNTING POLICIES

Basis of preparing the financial statements
The financial statements of the charitable company, which is a public benefit entity under FRS 102, have been prepared in accordance with the Charities SORP (FRS 102) 'Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)', Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' and the Companies Act 2006. The financial statements have been prepared under the historical cost convention.

Income
All income is recognised in the Statement of Financial Activities once the charity has entitlement to the funds, it is probable that the income will be received and the amount can be measured reliably.

Expenditure
Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to that expenditure, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings they have been allocated to activities on a basis consistent with the use of resources.

Tangible fixed assets
Depreciation is provided at the following annual rates in order to write off each asset over its estimated useful life.


Plant and machinery - 25% on reducing balance

Taxation
The charity is exempt from corporation tax on its charitable activities.

Fund accounting
Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees.

Restricted funds can only be used for particular restricted purposes within the objects of the charity. Restrictions arise when specified by the donor or when funds are raised for particular restricted purposes.

Further explanation of the nature and purpose of each fund is included in the notes to the financial statements.
