Firm structure

The LLP is a limited liability partnership registered in England & Wales. A list of designated members’ names is available for inspection at the LLP’s registered office.

Designated members

The members who held office during the period were as follows:

Bishop & Knight Estates Limited (appointed 11 February 2022)

Members' drawings and the subscription and repayment of members' capital

In accordance with the Members' Agreement, profits earned on an annual basis are allocated between the members. Members receive monthly drawings and, from time to time, additional distributions relating to the previous year.

The level and timing of these additional distributions is decided by the members, taking into account the need to maintain sufficient funds to finance the working capital and other needs of the business. In the event of an over distribution of profit8 during a period, recovery can be made from the member concerned.

The financing requirements of the LLP-and the proportions required from the individual members are determined from time to time by the members. No interest is paid on loans from members. Retiring members are repaid their loans within twenty-four months of retirement.

This report has been prepared in accordance with the special provisions relating to companies subject to the small companies regime within Part 15 of the Companies Act 2006, as applied to limited liability partnerships.
