Report of the Directors |
For The Year Ended 31 March 2023 |
The directors present their report with the financial statements of the company for the year ended 31 March 2023. |
DIRECTORS |
The directors shown below have held office during the whole of the period from 1 April 2022 to the date of this report. |
RESULTS FOR THE YEAR |
A loss of £3,800 prior to Gift Aid (2022: £2,694 profit) was made on turnover of £0 (2022: £2,395). |
REVIEW OF BUSINESS |
During the period of this report, GES (Leeds) Limited was a trading subsidiary of the Leeds Groundwork Trust, a charitable company whose objects are environmental and employment improvements in the City of Leeds. |
Whilst GES is not directly involved in the provision of charitable services to the people of Leeds, it has worked closely with the Trust and its contribution to the success of the Trust is more than simply the gift aiding of annual surplus. GES actively promotes the aims of the Trust and the national Groundwork network, often in areas where the Groundwork message has not previously been heard. |
On 1 January 2021, Groundwork Wakefield, having completed its merger with the Leeds Groundwork Trust and Groundwork North Yorkshire, changed its name to Groundwork Yorkshire Limited and amended its Articles of Association so that its charitable area covers Yorkshire and the Humber. |
Groundwork Yorkshire now has a remit to deliver Groundwork's charitable services across Yorkshire and the Humber. This means that the work channelled through GES (Leeds) has diminished, as it is now being undertaken by the charity. Currently, activity delivered through GES (Leeds) consists exclusively of legacy projects. Once these are complete, we expect the company to be wound up. |
DIVIDENDS AND TRANSFERS TO RESERVES |
The Directors do not recommend the payment of a dividend. |
This report has been prepared in accordance with the provisions of Part 15 of the Companies Act 2006 relating to small companies. |

Basis of preparing the financial statements |
The company and its parent undertaking have merged with Groundwork Wakefield Limited and Groundwork North Yorkshire to form Groundwork Yorkshire Limited. After a run-off period in which existing projects will continue to a conclusion in this company and new ones will start in the merged group, this will involve all assets, liabilities and operations transferring to the merged group without leaving any creditors unpaid. The financial statements have therefore been prepared on a basis other than going concern. However, as the activities of the company since the transfer have been largely unchanged, no material adjustments were required to the carrying values of the assets and liabilities as a result of ceasing to apply the going concern basis. |
Related party exemption |
The company has taken advantage of exemption, under the terms of Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland', not to disclose related party transactions with wholly owned subsidiaries within the group. |
Turnover |
Turnover represents revenue recognised by the company in respect of goods and services supplied, exclusive of Value Added Tax and trade discounts. Revenue is recognised when work is performed. Any excess of sales invoiced over revenue recognised is included as deferred income within other creditors, and any deficit as accrued income within other debtors. |

Deferred tax |
Deferred tax is recognised in respect of all timing differences that have originated but not reversed at the balance sheet date. |
Timing differences arise from the inclusion of income and expenses in tax assessments in periods different from those in which they are recognised in financial statements. Deferred tax is measured using tax rates and laws that have been enacted or substantively enacted by the year end and that are expected to apply to the reversal of the timing difference. |
Unrelieved tax losses and other deferred tax assets are recognised only to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits. |
