1. STATUTORY INFORMATION

Grierson Dickens Limited is a private company, limited by shares , registered in England and Wales. The company's registered number and registered office address can be found on the Company Information page.

2. ACCOUNTING POLICIES

Basis of preparing the financial statements
These financial statements have been prepared in accordance with Financial Reporting Standard 102 "The Financial Reporting Standard applicable in the UK and Republic of Ireland" including the provisions of Section 1A "Small Entities" and the Companies Act 2006. The financial statements have been prepared under the historical cost convention.

Turnover
Turnover represents amounts of commissions received and fees receivable for services provided within the normal course of business, net of VAT. Turnover in respect of services provided is taken appropriate to the stage of completion when the outcome of the contract can be assessed with reasonable certainty.

Tangible fixed assets
Depreciation is provided at the following annual rates in order to write off each asset over its estimated useful life.

Leasehold improvements - Over the period of the lease
Computer equipment - 33% Straight Line
Fixture and fittings - 15% Reducing Balance

Tangible fixed assets are stated at their historical cost price less accumulated depreciation. Historical cost includes expenditure that is directly attributable to bringing the asset to the location and condition necessary for use. The asset's residual values, useful lives and depreciation methods are reviewed if there is an indication of significant change since the last reporting date.

On disposal the difference between the net proceeds and carrying amount of the item sold is recognised in profit and loss and is included in administrative expenses.

Taxation
Current tax is the amount of corporation tax payable in respect of the taxable profit for the year or prior years. Tax is calculated on the basis of tax rates and laws that have been enacted or substantively enacted by the year end.

Deferred tax
Deferred tax is recognised in respect of all timing differences that have originated but not reversed at the balance sheet date where transactions or events that result in an obligation to pay more tax in the future or a right to pay less tax in the future have occurred at the balance sheet date. Timing differences are differences between the company's taxable profits and its results as stated in the financial statements.

Deferred tax is measured at the average tax rates that are expected to apply in the periods in which timing differences are expected to reverse, based on tax rates and laws that have been enacted or substantially enacted by the balance sheet date. Deferred tax is measured on a non-discounted basis.

Hire purchase and leasing commitments
Rentals paid under operating leases are charged to profit or loss on a straight line basis over the period of the lease.

Pension costs and other post-retirement benefits
The company operates a defined contribution pension scheme. Contributions payable to the company's pension scheme are charged to profit or loss in the period to which they relate.

Operating lease commitments
Rentals paid under operating leases are charged to the income statement on a straight line basis over the lease term.

Distributions to equity holders
Distributions to the Grierson Dickens Employee Ownership Trust are treated as capital contributions and are recognised in the statement of changes in equity.

Financial instruments
Financial instruments are classified by the directors as basic or non-basic, following the conditions in FRS102 section 11. Basic financial instruments are recognised at amortised cost using the effective interest rate method. The company has no non-basic financial instruments.

The redeemable preference shares confer no voting rights, unless under exceptional circumstances and grant no right to a dividend. The shares are to be redeemed at par, there is no fixed redemption date and the company may require redemption once the conditions detailed in the Articles of Association have been satisfied.

9. POST BALANCE SHEET EVENTS

Since the balance sheet date, the company has made capital contributions to the Grierson Dickens Employee Ownership Trust of £195,300 to enable the trust to make payments under the Share Purchase Agreement dated 28 February 2023.

10. ULTIMATE CONTROLLING PARTY

As at 28 February 2024 Grierson Dickens Trustees Limited holds 100% of the issued shares as trustees, on behalf of The Grierson Dickens Employee Ownership Trust. The Trust holds the shares under the Trust Deed for the benefit of all eligible employees and as such, in the opinion of the directors, there is no single controlling party.
