The members have not required the company to obtain an audit of its financial statements for the year ended 31 March 2024 in accordance with Section 476 of the Companies Act 2006.  


The directors acknowledge their responsibilities for:
(a)ensuring that the company keeps accounting records which comply with Sections 386 and 387 of the Companies Act 2006 and
(b)preparing financial statements which give a true and fair view of the state of affairs of the company as at the end of each financial year and of its profit or loss for each financial year in accordance with the requirements of Sections 394 and 395 and which otherwise comply with the requirements of the Companies Act 2006 relating to financial statements, so far as applicable to the company.

STATUTORY INFORMATION

ACCOUNTING POLICIES



Basis of preparing the financial statements


These financial statements have been prepared in accordance with Financial Reporting Standard 102 "The Financial Reporting Standard applicable in the UK and Republic of Ireland" including the provisions of Section 1A "Small Entities" and the Companies Act 2006. The financial statements have been prepared under the historical cost convention as modified by the revaluation of certain assets.    



Investment property

Investment property is included at fair value. Gains are recognised in the profit and loss account. Deferred taxation is provided on these gains at the rate expected to apply when the property is sold.


Investments in subsidiaries


Investments in subsidiary undertakings are recognised at cost.



Hire purchase and leasing commitments

Rentals paid under operating leases are charged to profit or loss on a straight line basis over the period of the lease.

RELATED PARTIES



At the year-end the company was owed £Nil (2023 - £Nil) from Hamilton Church Limited, a subsidiary company. During the year dividends were received of £1,259,100 (2023 - £Nil). The loan outstanding of £1,094 (2023-£664,485) has been written off in the current financial year.



The company was owed £Nil (2023 -£Nil) from Egerton NB Limited, a subsidiary company. During the year dividends were received of £155,000 (2023 - £nil).The loan outstanding of £345 (2023-£277,357) has been written off in the current financial year.



The company owes £Nil (2023- Nil) to Grasswood Limited, an associated company. The loan due in the prior year of £214,127 had been written off in that financial year.



The company was owed £854,500 (2023 - £160,000l) from BNET Investment Company Limited. Mr Webster, who is a 50% shareholder of this company, is also a 50% shareholder of BNET Investment Company Limited.



The company was owed £861,190 (2023 - £173,739) from C.N.P Properties (Wirral) Limited. Mr C Pringle, who is a 50% shareholder of this company, is also a 50% shareholder of C.N.P Properties (Wirral) Limited.



The company was owed £15,000 (2023 - £15,000) from S A Webster Limited. Mr Webster, who is a 50% shareholder of this company, is also a 50% shareholder of S A Webster Limited.



The company owes £1,273 (2023- was owed £2,554) from Wethersfield House Management Limited, an associated company.



All loans are interest free, unsecured and repayable on demand.



At the year-end the company owes £12,194 (2023-£nil) to The Estate of Christopher Pringle, who is a 50% shareholder of this company.

In accordance with the Companies Act 2006, the company is only required to file a Balance Sheet. Readers are cautioned that the Income Statement and certain other primary statements and the Report of the Directors are not required to be filed with the Registrar of Companies.


In order to assist you to fulfil your duties under the Companies Act 2006, we have prepared for your approval the financial statements of The Dawpool Estate Limited for the year ended 31 March 2024 which comprise the Profit and Loss account, Balance Sheet and the related notes from the company's accounting records and from information and explanations you have given us.

For this reason, we have not verified the accuracy or completeness of the accounting records or information and explanations you have given to us and we do not, therefore, express any opinion on the statutory financial statements.
