The following reproduces the text of the report prepared for the directors in respect of the company's annual unaudited financial statements. In accordance with the Companies Act 2006, the company is only required to file a Balance Sheet. Readers are cautioned that the Income Statement and certain other primary statements and the Report of the Directors are not required to be filed with the Registrar of Companies. |
In order to assist you to fulfil your duties under the Companies Act 2006, we have prepared for your approval the financial statements of Carlatton Holdings Limited for the year ended 31 March 2024 which comprise the Income Statement, Balance Sheet, Statement of Changes in Equity and the related notes from the company's accounting records and from information and explanations you have given us. |

Our work has been undertaken solely to prepare for your approval the financial statements of Carlatton Holdings Limited and state those matters that we have agreed to state to the Board of Directors of Carlatton Holdings Limited, as a body, in this report in accordance with ICAEW Technical Release 07/16AAF. The directors acknowledge their responsibilities for: |

Basis of preparing the financial statements |
The financial statements have been prepared in accordance with FRS 102, the Financial Reporting Standard applicable in the UK and Republic of Ireland. |
The financial statements have been prepared under the historical cost convention. |
The financial statements are prepared in sterling, which is the functional currency of the entity, rounded to the nearest £. |
Preparation of consolidated financial statements |
The company has taken advantage of the option not to prepare consolidated financial statements contained in Section 398 of the Companies Act 2006 on the basis that the company and its subsidiary undertakings comprise a small group. |
Significant judgements and estimates |
The preference shares, which incur a fixed cumulative dividend at an annual rate of 7% of their issue price, are redeemable at the sole discretion of the company or on sale of the company. In the opinion of the directors, the preference shares do not constitute a financial liability as the settlement of the preference shares and dividends for cash is within the control of the company. They are therefore classed as equity in these financial statements. |
Investments in subsidiaries |
Investments in subsidiary undertakings are recognised at cost. |
Financial instruments |
A financial asset or financial liability is recognised only when the company becomes a party to the contractual provisions of the instrument. |
Basic financial instruments are initially recognised at the transaction price, unless the arrangement constitutes a financing transaction, where it is recognised at the present value of the future payments discounted at a market rate of interest for a similar debt instrument. |
Financial assets that are measured at cost or amortised cost are reviewed for objective evidence of impairment at the end of each reporting date. If there is objective evidence of impairment, an impairment loss is recognised in profit or loss immediately. |
For all equity instruments regardless of significance, and other financial assets that are individually significant, these are assessed individually for impairment. Other financial assets or either assessed individually or grouped on the basis of similar credit risk characteristics. |
Any reversals of impairment are recognised in profit or loss immediately, to the extent that the reversal does not result in a carrying amount of the financial asset that exceeds what the carrying amount would have been had the impairment not previously been recognised. |
Taxation |
Taxation for the year comprises current and deferred tax. Tax is recognised in the Income Statement, except to the extent that it relates to items recognised in other comprehensive income or directly in equity. |
Current or deferred taxation assets and liabilities are not discounted. |
Current tax is recognised at the amount of tax payable using the tax rates and laws that have been enacted or substantively enacted by the balance sheet date. |

Preference share dividends |
The preference shares are categorised as equity for the reasons explained within the 'significant judgement and estimates' accounting policies section of the accounting policy disclosures. Any dividends that accumulate are recognised as such in the profit and loss reserve and credited to other reserve. |
Going concern |
At the time of approving the financial statements, the directors have reviewed the forecasts of the group headed up by this company. The directors have a reasonable expectation that the group has adequate resources to continue in operational existence for the foreseeable future and, therefore, they continue to adopt the going concern basis of accounting in preparing the financial statements. |
Impairment |
A review for indicators of impairment is carried out at each reporting date, with the recoverable amount being estimated where such indicators exist. Where the carrying value exceeds the recoverable amount, the asset is impaired accordingly. Prior impairments are also reviewed for possible reversal at each reporting date. |
