FOR THE YEAR ENDED 31 DECEMBER 2023
Since the Company qualifies as small under section 382 of the Companies Act 2006, the Strategic report required of medium and large companies under the Companies Act 2006 (Strategic Report and Directors' Report) Regulations 2013 has been omitted.
Objectives and activities
a. Policies and objectives
The primary objective of the company is the day-to-day operation of the Whitehall Theatre, to allow the venue to be used by both local amateur and visiting professional companies of all theatrical genres.
b. Activities undertaken to achieve objectives
The Company works to expand the use of the theatre in all areas of entertainment and works to increase community involvement. The Company works to expand the use of the theatre by young people and youth groups. The company continues to work with Leisure and Culture Dundee and other theatres in the area to enhance and expand entertainment in the city. The company strives to be the people's theatre in the city of Dundee and is a significant asset for the community. The company continues to improve the facilities to enhance patrons' experience and enjoyment of the venue.
c. Main activities undertaken to further the Company's purposes for the public benefit
2023 saw the return of a number of local youth theatre and dance groups, bringing a large number of young people back into the Theatre to perform. The range of genres booking in 2023 extended, with comedy, child’s education such as Science & Nature , documentary , Sport events finding new patrons for the Theatre , as well as a number of new promoters taking interest North of the Border.
Feedback from the public and from promoters continues to be extremely complimentary.
The positive feedback reflects the quality of the venue and the dedication and excellent service they receive from the theatre management, staff, and volunteers. The dedicated box office system has proved to be extraordinarily successful. All theatre shows are now primarily sold through the Whitehall system both in person and on line.
Building
The Directors and management continue to maintain, upgrade and renovate the Whitehall Theatre to accommodate changing tastes and to meet modern audience expectations and requirements, while retaining the building’s soul and identity. We continue to invest in technical capabilities in response to the requirements of both the local and national community theatre groups as well as the professional artists, many now on multiple years of booking with us.
The main projects for 2024 are a new electricity distribution board (scheduled from July 2023) the enclosure of the garden area, and the maintenance of the Caledonian Hall roof.

d. Volunteers
At the Whitehall Theatre we continue to value and invest in our body of volunteers. The growth of the Theatre in 2023, along with a decline in volunteer availability the Board made the decision to move to Paid Contracts for the Front of House team. All volunteers were invited to apply, and a Volunteer thank you evening and briefing was held in the late Autum. As a result of this and external advertising (in partnership with Dundee City Council) the Theatre have recruited 28 additional new team members to support the busy Theatre schedule. Additional individuals were trained to support the Box Office to ensure we can provide on the evening purchase as well as advance bookings.
During the last year The Board were delighted to award a pay rise to staff taking the pay rates above the National Minimum Wage and will continue to review the Pay & Benefits as part of the next Business Planning for the period 2025-2027.
With the future bookings for 2024, it is expected that the overall number of employees will grow; with increasing number of “House Full “signs having become a frequent occurrence.
The Theatre produced a new Christmas Show, this year the Board appointed a Producer / Musical Director who selected talent from the local Theatre Groups and ran over 2 nights. As part of this the Theatre offered free / reduced price tickets to agencies / groups supporting individuals with mental health / learning development and other additional needs which was well received.

Financial review
a. Going concern
After making appropriate enquiries, the Trustees have a reasonable expectation that the Company has adequate resources to continue in operational existence for the foreseeable future. For this reason, they continue to adopt the going concern basis in preparing the financial statements. Further details regarding the adoption of the going concern basis can be found in the accounting policies.
b. Reserves policy
The unrestricted reserves at 31 December 2023 amount to £217,548 (2022 - £198,634). This exceeds the reserves needed to ensure continued running of the company.
Structure, governance and management
a. Constitution
The Dundee Whitehall Theatre Ltd is registered as a charitable company limited by guarantee and was set up by a Memorandum of Association.
b. Methods of appointment or election of Trustees
The management of the Company is the responsibility of the Trustees who are elected and co-opted under the terms of the Memorandum of Association.
In May 2023, The Theatre Board, with the future and accelerating growth in mind, agreed to extend the size of the Board. A number of individuals were invited, and their applications scrutinised by the existing Board members. As a result, 6 new individuals joined, with 2 retaining their role on the Theatre Trust. A new Company Secretary was appointed, along with a Non-Executive Director with oversight of the Technical & Production aspects of the Theatre. All of the new appointees have an on going active involvement with Theatre (professional and local), and this with their external professional skills is bringing significant benefit to the Board.
c. Organisational structure and decision-making policies
The Directors at the date of this report and through the year are shown on page 1.

Statement of Trustees' responsibilities
The Trustees (who are also the directors of the Company for the purposes of company law) are responsible for preparing the Trustees' report and the financial statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice).
Company law requires the Trustees to prepare financial statements for each financial . Under company law, the Trustees must not approve the financial statements unless they are satisfied that they give a true and fair view of the state of affairs of the Company and of its incoming resources and application of resources, including its income and expenditure, for that period. In preparing these financial statements, the Trustees are required to:
∙select suitable accounting policies and then apply them consistently;
∙observe the methods and principles of the Charities SORP (FRS 102);
∙make judgments and accounting estimates that are reasonable and prudent;
∙state whether applicable UK Accounting Standards (FRS 102) have been followed, subject to any material departures disclosed and explained in the financial statements;
∙prepare the financial statements on the going concern basis unless it is inappropriate to presume that the Company will continue in business.
The Trustees are responsible for keeping adequate accounting records that are sufficient to show and explain the Company's transactions and disclose with reasonable accuracy at any time the financial position of the Company and enable them to ensure that the financial statements comply with the Companies Act 2006, the Charities and Trustee Investment (Scotland) Act 2005 and the Charities Accounts (Scotland) Regulations 2006 (as amended). They are also responsible for safeguarding the assets of the Company and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.

I report on the accounts of the company for the year ended 31 December 2023 which are set out on pages 7 to 19.
RESPECTIVE RESPONSIBILITIES OF TRUSTEES AND EXAMINER
|
The trustees, who are also directors of the company for the purposes of company law, are responsible for the preparation of the financial statements in accordance with the terms of the Charities and Trustee Investment (Scotland) Act 2005 ('the Act') and the Charities Accounts (Scotland) Regulation 2006 ('the Accounts Regulations'). The trustees consider that the audit requirement of Regulation 10(1)(a) to (c) of the Accounts Regulations does not apply. It is my responsibility to examine the financial statements as required under section 44(1)(c) of the Act and to state whether particular matters have come to my attention.
BASIS OF INDEPENDENT EXAMINER'S STATEMENT

My examination was carried out in accordance with regulation 11 of the Accounts Regulations. An examination includes a review of the accounting records kept by the company and a comparison of the financial statements presented with those records. It also includes consideration of any unusual items or disclosures in the financial statements, and seeking explanations from you as trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit, and consequently I do not express an audit opinion on the view given by the accounts.

1.ACCOUNTING POLICIES

|
Basis of preparation of financial statements
|
The financial statements have been prepared in accordance with the Charities SORP (FRS 102) - Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019), the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) and the Companies Act 2006.
The Dundee Whitehall Theatre Ltd meets the definition of a public benefit entity under FRS 102. Assets and liabilities are initially recognised at historical cost or transaction value unless otherwise stated in the relevant accounting policy.
All income is recognised once the Company has entitlement to the income, it is probable that the income will be received and the amount of income receivable can be measured reliably.
Grants are included in the Statement of financial activities on a receivable basis. The balance of income received for specific purposes but not expended during the period is shown in the relevant funds on the Balance sheet. Where income is received in advance of entitlement of receipt, its recognition is deferred and included in creditors as deferred income. Where entitlement occurs before income is received, the income is accrued.
Income tax recoverable in relation to investment income is recognised at the time the investment income is receivable.
Donated services or facilities are recognised when the company has control over the item, any conditions associated with the donated item have been met, the receipt of economic benefit from the use of the company of the item is probable and that economic benefit can be measure reliably. In accordance with the Charities SORP (FRS 102), the general volunteer time of the Friends is not recognised and refer to the Trustees' report for more information about their contribution.
On receipt, donated professional services and donated facilities are recognised on the basis of the value of the gift to the company which is the amount the company would have been willing to pay to obtain services or facilities of equivalent economic benefit on the open market; a corresponding amount is then recognised in expenditure in the period of receipt.
Expenditure is recognised once there is a legal or constructive obligation to transfer economic benefit to a third party, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is classified by activity. The costs of each activity are made up of the total of direct costs and shared costs, including support costs involved in undertaking each activity. Direct costs attributable to a single activity are allocated directly to that activity. Shared costs which contribute to more than one activity and support costs which are not attributable to a single activity are apportioned between those activities on a basis consistent with the use of resources. Central staff costs are allocated on the basis of time spent, and depreciation charges allocated on the portion of the asset’s use.
Expenditure on charitable activities is incurred on directly undertaking the activities which further the Company's objectives, as well as any associated support costs.

Grants payable are charged in the year when the offer is made except in those cases where the offer is conditional, such grants being recognised as expenditure when the conditions attaching are fulfilled. Grants offered subject to conditions which have not been met at the year end are noted as a commitment, but not accrued as expenditure.

Tangible fixed assets and depreciation
|
Tangible fixed assets are initially recognised at cost. After recognition, under the cost model, tangible fixed assets are measured at cost less accumulated depreciation and any accumulated impairment losses. All costs incurred to bring a tangible fixed asset into its intended working condition should be included in the measurement of cost.
Depreciation is charged so as to allocate the cost of tangible fixed assets less their residual value over their estimated useful lives, .

Stocks and work in progress
|
Stocks and work in progress are valued at the lower of cost and net realisable value after making due allowance for obsolete and slow-moving stocks. Cost includes all direct costs and an appropriate proportion of fixed and variable overheads.
General funds are unrestricted funds which are available for use at the discretion of the Trustees in furtherance of the general objectives of the Company and which have not been designated for other purposes.
Investment income, gains and losses are allocated to the appropriate fund.
