for the Year Ended 31 December 2023 |
The members present their report with the financial statements of the LLP for the year ended 31 December 2023. |
PRINCIPAL ACTIVITY |
The principal activity of the LLP in the year under review was that of delivering infrastructure investment, estates development and other services to University Hospital Southampton NHS Foundation Trust. The LLP is also able to deliver similar services to other health and public sector bodies in the Southampton region. |
REVIEW OF BUSINESS |
The LLP is a joint venture between Partnering Solutions (Southampton) Limited and University Hospital Southampton NHS Foundation Trust. |
The LLP receives development fees for projects that financially close or reach completion during the year; its joint venture shareholders will subsequently invoice the partnership for associated project costs. Additionally the partnership receives fees for the management of its subsidiary companies. |
The principal risks and uncertainties for this business are considered to be low due to the fact that minimal costs are incurred by the LLP other than upon receipt of revenue following a project reaching financial close or completion. |

The designated members during the year under review were: |
RESULTS FOR THE YEAR AND ALLOCATION TO MEMBERS |
The loss for the year before members' remuneration and profit shares was £48 (2022 - £94 loss). |
MEMBERS' INTERESTS |
Under the terms of the Members' agreement, profits or losses are available for discretionary division between the members and held in other reserves. |
This amount can be divided between the Members in proportion to their capital interests and debited or credited to the Members' current accounts at the full discretion of the LLP and requires unanimous consent. |
Distributions to Members by the LLP shall not be made unless the Management Board agrees and requires unanimous consent of the Members. Any distributions are to be made in proportion to the Members' capital interests. |
Members' capital interests are contributed interest free and cannot be returned to a Member without the unanimous consent of all Members. |
SMALL ENTITY EXEMPTION |
In preparing this report, the members have taken advantage of the small entities exemptions provided by section 415A of the Companies Act 2006. |

(a) | ensuring that the LLP keeps accounting records which comply with Sections 386 and 387 of the Companies Act 2006 as applied to LLPs by the Limited Liability Partnerships (Accounts and Audit) (Application of Companies Act 2006) Regulations 2008 and |
(b) | preparing financial statements which give a true and fair view of the state of affairs of the LLP as at the end of each financial year and of its profit or loss for each financial year in accordance with the requirements of Sections 394 and 395 and which otherwise comply with the requirements of the Companies Act 2006 as applied to LLPs by the Limited Liability Partnerships (Accounts and Audit) (Application of Companies Act 2006) Regulations 2008 relating to financial statements, so far as applicable to the LLP. |

1. | ACCOUNTING POLICIES |
General information and basis of accounting |
Southampton CEDP LLP is a limited liability partnership and is incorporated in England and Wales. The address of the registered office is 5 The Triangle, Wildwood Drive, Worcester, Worcestershire, WR5 2QX. The nature of the LLP's operations and its principle activity was that of delivering infrastructure investment solutions, estates development and other services to University Hospital Southampton NHS Foundation Trust. |
The LLP's financial statements have been prepared in compliance with FRS 102 "The Financial Reporting Standard applicable in the United Kingdom and the Republic of Ireland", as applied to small entities and the Companies Act 2006. |
The financial statements have been prepared under the historical cost convention and on a going concern basis. |
The principal accounting policies applied in the preparation of these financial statements are set out below. These policies have been consistently applied to all the years presented, unless otherwise stated. |
Preparation of consolidated financial statements |
The financial statements contain information about Southampton CEDP LLP as an individual LLP and do not contain consolidated financial information as the parent of a group. The LLP has taken the option under Section 398 of the Companies Act 2006 as applied to LLPs by the Limited Liability Partnerships (Accounts and Audit) (Application of Companies Act 2006) Regulations 2008 not to prepare consolidated financial statements. |
Exemptions |
In accordance with the small companies regime, no cash flow statement is required to be presented as the company qualifies as a small entity as defined in the Companies Act 2006. |
Revenue recognition |
Revenue comprises the value of services supplied during the period to external customers and other group companies to the extent that there is a right to receive consideration and is recorded at the fair value of consideration received or receivable excluding value added tax. |
All revenue is attributable to one class of business and arose in the United Kingdom. |
Investments |
Investments represent shares in subsidiary undertakings which are valued at cost less accumulated impairment losses. |
An impairment review is carried out by comparing the carrying value of investments with a valuation of the individual subsidiary company. Given the nature of the group activities the valuation of subsidiaries is generally based on their underlying net asset value. |
Critical accounting judgements and estimates |
In preparing the financial statements the directors are required to make a number of accounting judgements and make estimates and assumptions concerning the future. There are no judgements or estimates that are deemed significant in the context of these financial statements. |

The partnership has taken exemption under Section 33 of FRS 102, not to disclose related party transactions with wholly owned subsidiaries within the LLP's group. |

7. | RELATED PARTY DISCLOSURES - continued |
The LLP is jointly controlled by University Hospital Southampton NHS Foundation Trust (UHS) and Partnering Solutions (Southampton) Limited (PSS). |
PSS is a wholly owned subsidiary of the Prime (GB) Holdings Limited Group. |
During the year the LLP purchased services from the Prime (GB) Holdings Limited Group amounting to £66,605 (2022 - £31,489). |
During the year the Prime (GB) Holdings Limited Group recharged costs of £47 (2022- £93) to the partnership. |
During the year the LLP provided services to UHS amounting to £66,605 (2022 - £31,489). |
The sales and purchases transactions with related parties were included within prepayments and accrued income and other creditors at the year end date. |
8. | ULTIMATE CONTROLLING PARTY |
The LLP is jointly controlled by University Hospital Southampton NHS Foundation Trust and Partnering Solutions (Southampton) Limited. There is no ultimate controlling party. |
