The trustees who are also directors of the charity for the purposes of the Companies Act 2006, present their report with the financial statements of the charity for the year ended 31 March 2024. The trustees have adopted the provisions of Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019). |
OBJECTIVES AND ACTIVITIES |
Principal activities |
The company is registered as a charity (number 295995). It is incorporated as a company limited by guarantee and is governed in accordance with its memorandum and articles. The number of directors is to be not less than three or more than five. Directors shall be members of the company and are elected by members at the annual meeting. Additional directors may be appointed by the directors, but have to be re-elected at the next annual meeting. One third of directors shall retire each year, but are eligible for re-election. |
The objects of the company include the development and management of such ministry of Esher Green Baptist Church as can properly and conveniently be carried out through a company limited by guarantee; to have charge of and direct such religious activities as will promote the work and witness of the church; and to initiate and direct Christian outreach and witness by whatever means, either alone, or in conjunction with, the church. Among the activities undertaken in the year to achieve these objectives, the company has owned property on behalf of Esher Green Baptist Church of 6 Park Road, Esher, Surrey, an unincorporated charitable association and has otherwise |
assisted in the management of the affairs of the church as required. All activities are undertaken to further the company's charitable purposes for public benefit, the directors having taken note of specific guidance from the Charity Commission on charities for the advancement of religion. |
The company continues to own the manse at 5 Winterdown Road, Esher, purchased jointly with the Pastor and his wife, together with the piece of land and garages adjacent to the church premises in Park Road, plus the investment in the redeveloped building at 6 Park Road. The front part of that redevelopment which is on land previously owned by the Baptist Union Corporation Ltd, is now owned jointly with them. These properties are all used for the purposes of the church. |
Reserves Policy |
All running costs and other expenses are borne by Esher Green Baptist Church and therefore all income arising from company properties is retained by the Church as user of them. The Church has provided an interest free loan to meet all expenditure incurred by the company. So long as the company continues to hold property on behalf of the Church, it is confirmed that the loan will not be called in. The directors have designated the retained surplus as undistributable as it represents the amount invested in properties that are made available to Esher Green Baptist Church. |

The charity is controlled by its governing document, a deed of trust, and constitutes a limited company, limited by guarantee, as defined by the Companies Act 2006. |

I report to the charity trustees on my examination of the accounts of the Company for the year ended 31 March 2024. |
Responsibilities and basis of report |
As the charity's trustees of the Company (and also its directors for the purposes of company law) you are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 ('the 2006 Act'). |
Having satisfied myself that the accounts of the Company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of your charity's accounts as carried out under Section 145 of the Charities Act 2011 ('the 2011 Act'). In carrying out my examination I have followed the Directions given by the Charity Commission under Section 145(5) (b) of the 2011 Act. |
Independent examiner's statement |
I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe: |
1. | accounting records were not kept in respect of the Company as required by Section 386 of the 2006 Act; or |
2. | the accounts do not accord with those records; or |
3. | the accounts do not comply with the accounting requirements of Section 396 of the 2006 Act other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an independent examination; or |
4. | the accounts have not been prepared in accordance with the methods and principles of the Statement of Recommended Practice for accounting and reporting by charities (applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)). |
I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached. |

The charitable company is entitled to exemption from audit under Section 477 of the Companies Act 2006 for the year ended 31 March 2024. |
The members have not required the company to obtain an audit of its financial statements for the year ended 31 March 2024 in accordance with Section 476 of the Companies Act 2006. |

(a) | ensuring that the charitable company keeps accounting records that comply with Sections 386 and 387 of the Companies Act 2006 and |
(b) | preparing financial statements which give a true and fair view of the state of affairs of the charitable company as at the end of each financial year and of its surplus or deficit for each financial year in accordance with the requirements of Sections 394 and 395 and which otherwise comply with the requirements of the Companies Act 2006 relating to financial statements, so far as applicable to the charitable company. |

1. | ACCOUNTING POLICIES |
Basis of preparing the financial statements |
The financial statements of the charitable company, which is a public benefit entity under FRS 102, have been prepared in accordance with the Charities SORP (FRS 102) 'Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)', Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' and the Companies Act 2006. Assets and liabilities are initially recognised at historical cost or transaction value unless otherwise stated in the relevant accounting policy notes. |
Tangible fixed assets for use by the charity |
These are capitalised if they can be used for more than one year and cost at least £500. They are valued at cost. The depreciation rates and methods are disclosed in note 3. |
Taxation |
The company is a registered charity and as such is not subject to corporation tax or capital gains tax on its charitable activities. |
Incoming resources |
These are included in the Statement of Financial Activities (SOFA) when the charity becomes entitled to the resources; it is more likely than not the trustees will receive the resources; and the monetary value can be measured with sufficient reliability. |
There has been no offsetting of assets and liabilities, or income and expenses, unless required or permitted by the FRS 102 SORP or FRS 102. |
Resources expended |
Expenditure is recognised on an accrual basis as a liability is incurred. Expenditure includes VAT which cannot be recovered. |
Creditors |
Short term creditors are measured at transaction price (which is usually the invoice price). Loans and other financial liabilities are initially recognised at transaction price net of any transaction costs and subsequently measured at amortised cost determined using the effective interest method. |

There were no trustees' remuneration or other benefits for the year ended 31 March 2024 nor for the year ended 31 March 2023. |

Depreciation is not provided on freehold properties. It is the Company's policy to ensure that these are maintained to a high standard and any repairs are written off as incurred. In the opinion of the directors the depreciation charge and accumulated depreciation are not material as the residual value of the properties is not materially lower than the carrying amount of the asset and their long term useful economic life. Carrying values are reviewed for impairment annually. |

Other creditors |
Other creditors represent interest free loans received from Esher Green Baptist Church, an unincorporated charity. The loans are repayable on demand but the lender has stated that it has no plans to recall the loans within the next twelve months unless the related property is sold. |

6. | MOVEMENT IN FUNDS - continued |
All funds are unrestricted, that is available for use at the discretion of the trustees in the furtherance of the general objectives of the charity. The trustees have determined that all funds should be marked as designated, that is earmarked for particular purposes, since the funds represent the investment by the charity in fixed assets for its use. |
