The directors present their annual report and financial statements for the year ended 31 December 2023. The company is dormant and has not traded during the year.

Principal activities

The company is a non-profit making organisation formed to manage The Sadlers situated in Chichester, West Sussex. Service charges are received as agents of the statutory trust for property owners of the properties.

 

The company has no income or expenditure in its own right, all transactions in the year related to the maintenance of the common parts in accordance with the lease. Service charges collected are held on trust for the purpose of meeting the relevant costs in relation to the property in accordance with the provisions of section 42 of the Landlord and Tenant Act 1987.

For the financial year ended 31 December 2023 the company was entitled to exemption from audit under section 480 of the Companies Act 2006 relating to dormant companies.

The directors acknowledge their responsibilities for complying with the requirements of the Companies Act 2006 with respect to accounting records and the preparation of financial statements.

The members have not required the company to obtain an audit of its financial statements for the year in question in accordance with section 476.

These financial statements have been prepared in accordance with the provisions applicable to companies subject to the small companies regime.

Accounting policies
Company information

The Mill (Westhampnett) Management Company Limited is a private company limited by shares incorporated in England and Wales. The registered office is 2 Park Farm, Chichester Road, West Sussex, Arundel, BN18 0AG.

Accounting convention

These financial statements have been prepared in accordance with FRS 102 “The Financial Reporting Standard applicable in the UK and Republic of Ireland” (“FRS 102”) and the requirements of the Companies Act 2006 as applicable to companies subject to the small companies regime. The disclosure requirements of section 1A of FRS 102 have been applied other than where additional disclosure is required to show a true and fair view.

The financial statements are prepared in sterling, which is the functional currency of the company. Monetary amounts in these financial statements are rounded to the nearest £.

The financial statements have been prepared under the historical cost convention. The principal accounting policies adopted are set out below.

Profit and loss account

The company has not traded during the year or the preceding financial period. During this time the company received no income and incurred no expenditure and therefore no Profit and loss account is presented in these financial statements. All transactions in the year relate to maintenance of the blocks of apartments and common areas in accordance with the lease. Income and expenditure arising from these transactions is shown in separate service charge accounts for the properties that do not form part of the annual accounts of the company and are not filed at Companies House.

Equity instruments issued by the company are recorded at the proceeds received, net of transaction costs.

Service charge accounts:

Service charge contributions include £564 each (2022 : £475 each) received from Mrs D Kirkup, Mr G Rustell, Mrs M Donovan and Mr J Turner for service charges who are all directors of The Mill (Westhampnett) Management Company Limited.
