Controlling party
By virtue of the special voting rights attaching to the A Ordinary share under the Articles of Association, the company is temporarily controlled by Goodman Real Estate (UK) Limited. In accordance with the Articles of Association and the objects of the company, no shareholder can receive any dividend. The holding of the A Ordinary shares is considered to be in a fiduciary capacity on behalf of the parties with an interest in the site throughout the period when the commercial units or land plots are held for sale, and therefore the company is not considered to be a subsidiary company held with a view to profit. The ultimate controlling party is Goodman Limited, a company incorporated in Australia. Copies of the company accounts for Goodman Limited can be obtained from the registered office: The Hayesbery, 1-11 Hayes Road, Rosebery NSW 2018, Australia. Goodman Logistics Developments (UK) Limited (a company with the same ultimate controlling party) received a management fee of £13,000 (2022: £13,000) and an accounting fee of £3,216 (2022: £3,216) in respect of the management of the site and the maintenance of the accounting records respectively, throughout the year. Goodman Real Estate (UK) Limited (a company with the same ultimate controlling party) bore approximately 32% (2022: 32%) of the service charge costs for the year.
