The directors present the strategic report for the year ended 30 June 2024.
History and family culture
The Connell family are extremely proud to present the company's results for 2024 and in turn celebrate the 50th anniversary of its incorporation on the 2nd May 2024. With three generations and wider family still involved in the business to this day it remains a truly family business which still embraces the traditional values on which the company was founded and complimenting it with any new modern methods of construction as and when they present themselves.
The ”OC Way” continues to have a positive effect on the culture within the company and health & safety. The company's No.1 priority is the safety of its people and continues to promote an environment of continuous improvement.
Principal activities
The principal activity of the company continues to be within its Construction Division, specialising in Groundwork, Civil Engineering, RC Frames and Architectural Concrete. The company has continued its diversification strategy in 2024 making it more resilient by increasing its turnover in the infrastructure and aviation sectors.

The company’s focus is to continue in its strategy to target carefully selected opportunities in these sectors which will enable the company to deliver controlled growth in 2025.
Business review
In the financial year the company has reported unprecedented growth in profit and cash reserves.
The reduction in turnover was due to a more cautious view taken by the company in terms of projects tendered in the year. The board's view was that with resource constraints in terms of labour and a still uncertain inflationary outlook its focus would need to be on the successful delivery of our existing projects and forward order book.
This excellent performance was the result of several factors.
Very few of its contracts experienced the downside effects of the continued high inflation climate the industry has experienced in 2024. The favourable timing of larger projects finishing and new ones starting has helped the business achieve expected margins on its projects.
The company began to see improved returns on the large investment in plant and equipment over the past 3 years and following substantial investment in its senior leadership team at board and site level has seen overall margin improvement on all its projects.
The current market conditions are still very tough, and we are seeing a trend in some sectors where the market has become extremely competitive. The company, whilst continuing to operate in current markets are working less in the now highly competitive high-rise residential sector and instead focusing on bridge structures, life sciences and data centre work for future growth.

Key performance indicators
The company feels the key performance indicators below extracted from the primary financial statements highlight the performance in the year.
Cash continues to the company's most important metric. The company acknowledges the huge importance clients and the supply chain place on the net assets and cash reserves of a business. The company's continued focus is on delivering sustainable retained earnings each year and targets each contract to be cash generative at each stage of the project. The 32% increase in net assets to £29.6m, 81% increase in cash at bank to £31.7m, and zero bank debt places the business in a strong position to support the strategy going forward.
Investment in people and resources
People have long been recognised as essential to company performance. We continue to invest and attract experienced people at all levels of the organisation. Enabling our people to work in a safe and rewarding environment alongside continued investment in plant and management systems will ensure the business is well prepared for 2025 and beyond.
Forward order book
Looking forward into 2025, the company has an exciting pipeline ahead. Finishing the year with an order book of £167m (2023 - £90m), forecast turnover for 2025 is expected to be in the region of £150m.
The company is excited about its new client relationships borne in 2024 and new opportunities in the life sciences and data centre markets for which the company is optimistic of winning new work.
Financial risks management and policies
The company reports a strong and healthy financial position however focus on financial risk remains a principle focus of the board.
The company's business involves a number of inherent financial risks which are monitored continuously by the directors to ensure that mitigation actions are in place where necessary. These risks are managed using credit references, regular reviewing of aged debtor and creditor balances and the production of rolling three-month cash forecasts which are updated and monitored monthly by the Finance Director and reviewed by the board.
The directors acknowledge the challenges the industry faces and difficulties around securing credit and performance bonds. The company continuously engages with credit and bond providers with proactive communication around pipeline requirements ensuring sufficient facilities are available to the business.
Research and Development (R&D)
The company remains committed to the continuous development of its methods, systems, and processes through its R&D. Every project is reviewed and where technical uncertainties are found the business uses its in-house expertise and supply chain to provide innovative solutions.

Health and Safety
Health and safety remains a key factor within the business. During the financial year we have managed to maintain a solid health and safety culture and have raised the bar internally in terms of our key performance indicators. We have increased our resources by employing experienced health and safety professionals from an infrastructure background to better understand risks and areas for improvement. We are committed to keeping our workplace free from incidents and injuries as we explore new challenging sectors and clients.
Our Accident Frequency Rate (AFR) has improved slightly from 0.06 in 2023 to 0.04 in 2024, well below the industry average.
Accreditations and Awards
The company continues with its accreditations to ISO 45001, ISO 14001 and ISO 9001, Achilles, AIRDAT for Airports, and memberships to BSI, CHAS, CHSG, CIRAS Confidential Reporting for Safety, SMAS, and SSIP.
We also hold accreditations for Considerate Constructors (Bronze), Constructionline Platinum, FORS GOLD, and RISQS (Railway Industry Supplier Qualification Scheme).
Sustainability
As a business we are still developing our sustainable operations. This year we gathered initiatives and released our own Net Zero plan.
The company has set a target of becoming carbon net zero by 2030, 20 years ahead of the current UK target.
With this in mind the company has established five key areas which will help us deliver this goal and we are making changes throughout our operations including generating renewable energy on site, reducing indirect emissions in our supply chain, reducing overall water and energy consumption, using sustainable modes of transport and reducing plastics and waste.
Further actions/ambitions will help us with our targets in the future:
Further electrifying our fleet of vans
Roll out SCSS modules across our workforce to educate the business further about the benefits of sustainable operations
Rolling out solar powered welfare set ups
Reviewing our workplace commuting and encouraging work from home where possible, obviously, this only extends to supportive managerial and administrative roles
Business travel – utilising shared transport or public transport where possible
Begin to explore further clean fuels such as Hydrogen and any other innovations
Fitting EV charging points across our site / HQ
Reducing single use items and placing recycling bins in every site
Launching further initiatives to reduce energy waste

As a business we continue to invest heavily in various sustainable solutions to assist us with our goal, including:
HVO – After a successful negotiation with our fuel partner we have rolled out the use of HVO fuel within the company. Furthermore, our investigations have identified that using HVO can help reduce greenhouse gas emissions by up to 90% compared with fossil diesel. This not only reduces our carbon emissions but improves the air quality within the communities in which we work. In summary we will be using HVO in all our diesel engines on site and any deliveries to site.
Retro Fitted Plant - The first to retrofit was our Vac-Ex in conjunction with a business called Prins, a designer and manufacturer of high-quality alternative fuel systems. It has been a real game changer for the company by enabling us to eliminate the direct risk of individuals being injured in and around Underground Services whilst simultaneously doing our bit for the environment.
Hybrid Flat Bed Lorries - The new Scania Hybrid is the first in the UK and is already in use making the same number of deliveries and pickups as the other members of the fleet, albeit leaving a smaller footprint in its wake.
Our stakeholders
Section 172 of the Companies Act now requires us to report each year on the steps taken in fulfilling various obligations towards our stakeholders. We have listed below various stakeholders, and the responsibilities we have towards them.
Employees
Our key differentiator is the quality of our people. During 2024, employees continue to undertake a range of training courses covering every aspect of project delivery, site, and safety operation. The company supports its workforce in both a professional and personal capacity so that they can perform to the best of their ability.
Community
We regularly communicate and donate time and resources to the local community. We especially look to help people who may be at a vulnerable time in their lives with work and career opportunities, for example helping ex-offenders back into the workplace.
Clients and Supply chain
Our strategy promotes a sustainable business, driven by selling to existing clients and bringing new clients into the company. To do this we need to develop and maintain strong client relationships. We have a dedicated preconstruction team who collaborate with our clients and potential clients to win new business, prepare our tenders, and price our contracts.
Our supply chain is fundamental to our business success, and we value all our relationships with them. We expect all our supply chain to adhere to our standards, such as those relating to environmental responsibility, data protection and ethics.
The directors understand the importance of the company's supply chain and one of the ways we can maintain an effective relationship is to pay them on time.

Shareholders
The primary responsibility of the board is to promote the long-term success of the business by creating and delivering shareholder value as well as contributing to society. Interim dividends were paid amounting to £6,603,420. The directors do not recommend payment of a final dividend.

Qualifying third party indemnity provisions
The company has made qualifying third party indemnity provisions for the benefit of its directors during the year. These provisions remain in force at the reporting date.
Auditor
In accordance with the company's articles, a resolution proposing that Evans Mockler Limited be reappointed as auditor of the company will be put at a General Meeting.
Streamlined Energy and Carbon Reporting
To ensure that the correct processes are followed the “Encord Construction C02e Measurement Protocol” is referred to by the company. This allows the company to access comprehensive global standards to measure and manage greenhouse gas (GHG) emissions and comply with the Companies Act 2006 (Strategic and Directors Reports) regulations 2013, and with streamlined Energy and Carbon Reporting Regulations (SECR) 2019.
Sources of Emission
Scope 1 – These are relevant to the company's direct emissions derived from operation sources. The company's Scope 1 items have been indicated in line with the GHG protocol which includes transportation of materials and products. In simplistic terms, this is based on fuel usage from the company's fleet of vehicles, plant and means of delivery from the company's plant yard in Perivale.
Scope 2 – These are indirect emissions from the use of electricity. For the purpose of this report, emission data has been collated from the purchased electricity consumed at the company's Head Office at Zanrose House and the Plant Yard at the same address.
The company does not report on Scope 3 Emissions at present.

Identifying Emission sources
Energy consumption associated with scope 1 and 2 greenhouse gas emissions are measured and reported in line with SECR reporting requirements. Where available, energy use is captured directly (e.g. KWh of electricity) or otherwise it is converted from available units to energy units using government conversion factors (e.g. for diesel).
Emission Reporting
In accordance with the Paris Agreement, the company measures and reports emissions arising from the seven main greenhouse gases that contribute to climate change namely carbon dioxide (CO2), methane (CH4), nitrous oxide (N2O), hydrofluorocarbons (HFCs), perfluorocarbons (PFCs), sulphur hexafluoride (SF6) and nitrogen trifluoride (NF3).
The effect of these is reported in a single figure – Carbon dioxide equivalent (CO2e). This figure represents their combined global warming potential.
The company's associated greenhouse gas emissions have been converted into CO2e using the UK Governments Conversion Factors 2022 from litres of fuel used.
Energy Efficient Action
The Scope 1 and 2 intensity metric is greenhouse gas normalised by turnover – tCO2e per £1 million turnover. This is seen as an industry benchmark as this is commonly used within housebuilding financial reporting.
Due to the large number of projects and clients at any one time, the company will be reporting by turnover.

Energy Efficiency Action
One of the most urgent sustainability challenges today is climate change, and this is equally relevant for the construction industry and the company. We recognise our significant role in the industry and our ability to drive change. Throughout 2024 we have continued to improve various actions implemented in 2023 to help reduce our carbon emissions. By measuring our carbon footprint we can now quantify our efforts and reset benchmarks for 2025.
We cannot achieve this alone; it is essential that our values and strategy are shared across our supply chain. Our supply chain partners are carefully selected and vetted before collaborating with the company, ensuring that our brand values are upheld and that we are mindful of our environmental impact.
The company has undertaken several initiatives to reduce emissions from our operational activities, focusing on decarbonizing our plant, equipment, fleet, and fuel sources.

Statement of directors' responsibilities
The directors are responsible for preparing the annual report and the financial statements in accordance with applicable law and regulations.
Company law requires the directors to prepare financial statements for each financial year. Under that law the directors have elected to prepare the financial statements in accordance with United Kingdom Generally Accepted Accounting Practice (United Kingdom Accounting Standards and applicable law). Under company law the directors must not approve the financial statements unless they are satisfied that they give a true and fair view of the state of affairs of the company and of the profit or loss of the company for that period. In preparing these financial statements, the directors are required to:
select suitable accounting policies and then apply them consistently;
make judgements and accounting estimates that are reasonable and prudent;
state whether applicable UK Accounting Standards have been followed, subject to any material departures disclosed and explained in the financial statements;
prepare the financial statements on the going concern basis unless it is inappropriate to presume that the company will continue in business.
The directors are responsible for keeping adequate accounting records that are sufficient to show and explain the company’s transactions and disclose with reasonable accuracy at any time the financial position of the company and enable them to ensure that the financial statements comply with the Companies Act 2006. They are also responsible for safeguarding the assets of the company and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.
Statement of disclosure to auditor
So far as each person who was a director at the date of approving this report is aware, there is no relevant audit information of which the company’s auditor is unaware. Additionally, the directors individually have taken all the necessary steps that they ought to have taken as directors in order to make themselves aware of all relevant audit information and to establish that the company’s auditor is aware of that information.

The company has chosen in accordance with Companies Act 2006, s. 414C(11) to set out in the company's strategic report information required by Large and Medium-sized Companies and Groups (Accounts and Reports) Regulations 2008, Sch. 7 to be contained in the directors' report.

Opinion
We have audited the financial statements of Oliver Connell and Son Limited (the 'company') for the year ended 30 June 2024 which comprise the statement of comprehensive income, the balance sheet, the statement of changes in equity, the statement of cash flows and notes to the financial statements, including significant accounting policies. The financial reporting framework that has been applied in their preparation is applicable law and United Kingdom Accounting Standards, including Financial Reporting Standard 102 The Financial Reporting Standard applicable in the UK and Republic of Ireland (United Kingdom Generally Accepted Accounting Practice).
In our opinion the financial statements:
give a true and fair view of the state of the company's affairs as at 30 June 2024 and of its profit for the year then ended;
have been properly prepared in accordance with United Kingdom Generally Accepted Accounting Practice; and
have been prepared in accordance with the requirements of the Companies Act 2006.
We conducted our audit in accordance with International Standards on Auditing (UK) (ISAs (UK)) and applicable law. Our responsibilities under those standards are further described in the Auditor's responsibilities for the audit of the financial statements section of our report. We are independent of the company in accordance with the ethical requirements that are relevant to our audit of the financial statements in the UK, including the FRC’s Ethical Standard, and we have fulfilled our other ethical responsibilities in accordance with these requirements. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our opinion.
Conclusions relating to going concern
In auditing the financial statements, we have concluded that the directors' use of the going concern basis of accounting in the preparation of the financial statements is appropriate.
Based on the work we have performed, we have not identified any material uncertainties relating to events or conditions that, individually or collectively, may cast significant doubt on the company's ability to continue as a going concern for a period of at least twelve months from when the financial statements are authorised for issue.
Our responsibilities and the responsibilities of the directors with respect to going concern are described in the relevant sections of this report.
The other information comprises the information included in the annual report other than the financial statements and our auditor's report thereon. The directors are responsible for the other information contained within the annual report. Our opinion on the financial statements does not cover the other information and, except to the extent otherwise explicitly stated in our report, we do not express any form of assurance conclusion thereon. Our responsibility is to read the other information and, in doing so, consider whether the other information is materially inconsistent with the financial statements or our knowledge obtained in the course of the audit, or otherwise appears to be materially misstated. If we identify such material inconsistencies or apparent material misstatements, we are required to determine whether this gives rise to a material misstatement in the financial statements themselves. If, based on the work we have performed, we conclude that there is a material misstatement of this other information, we are required to report that fact.

Matters on which we are required to report by exception
In the light of the knowledge and understanding of the company and its environment obtained in the course of the audit, we have not identified material misstatements in the strategic report or the directors' report.
We have nothing to report in respect of the following matters in relation to which the Companies Act 2006 requires us to report to you if, in our opinion:
adequate accounting records have not been kept, or returns adequate for our audit have not been received from branches not visited by us; or
the financial statements are not in agreement with the accounting records and returns; or
certain disclosures of remuneration specified by law are not made; or
we have not received all the information and explanations we require for our audit.
Responsibilities of directors
As explained more fully in the directors' responsibilities statement, the directors are responsible for the preparation of the financial statements and for being satisfied that they give a true and fair view, and for such internal control as the directors determine is necessary to enable the preparation of financial statements that are free from material misstatement, whether due to fraud or error. In preparing the financial statements, the directors are responsible for assessing the company's ability to continue as a going concern, disclosing, as applicable, matters related to going concern and using the going concern basis of accounting unless the directors either intend to liquidate the company or to cease operations, or have no realistic alternative but to do so.
Auditor's responsibilities for the audit of the financial statements
Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are free from material misstatement, whether due to fraud or error, and to issue an auditor's report that includes our opinion. Reasonable assurance is a high level of assurance but is not a guarantee that an audit conducted in accordance with ISAs (UK) will always detect a material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these financial statements.
Extent to which the audit was capable of detecting irregularities, including fraud
Irregularities, including fraud, are instances of non-compliance with laws and regulations. We design procedures in line with our responsibilities, outlined above, to detect material misstatements in respect of irregularities, including fraud. The extent to which our procedures are capable of detecting irregularities, including fraud is detailed below:
we identified areas of laws and regulations that could reasonably be expected to have a material effect on the financial statements from our sector experience through discussion with the Directors (as required by auditing standards).
we had regard to laws and regulations in areas that directly affect the financial statements including financial reporting and taxation legislation. We considered that extent of compliance with those laws and regulations as part of our procedures on the related financial statement items.
with the exception of any known or possible non-compliance, and as required by auditing standards, our work in respect of these was limited to enquiry of the Directors.
we communicated identified laws and regulations throughout our team and remained alert to any indications of non-compliance throughout the audit.
we addressed the risk of fraud through management override of controls, by testing the appropriateness of journal entries and other adjustments; assessing whether the judgements made in making accounting estimates are indicative of a potential bias; and evaluating the business rationale of any significant transactions that are unusual or outside the normal course of business.
Our audit procedures were designed to respond to risks of material misstatement in the financial statements, recognising that the risk of not detecting a material misstatement due to fraud is higher than the risk of not detecting one resulting from error, as fraud may involve deliberate concealment by, for example, forgery, misrepresentations or through collusion. There are inherent limitations in the audit procedures performed and the further removed non-compliance with laws and regulations is from the events and transactions reflected in the financial statements, the less likely we are to become aware of it.

Accounting policies
Company information
Oliver Connell and Son Limited is a private company limited by shares incorporated in England and Wales. The registered office is Zanrose House, Perivale Industrial Estate, Horsenden Lane South, South Greenford, UB6 7RH.
1.1
Accounting convention
These financial statements have been prepared under the historical cost convention and in accordance with FRS 102 “The Financial Reporting Standard applicable in the UK and Republic of Ireland” (“FRS 102”) and the requirements of the Companies Act 2006.
The financial statements are prepared in sterling, which is the functional currency of the company. Monetary amounts in these financial statements are rounded to the nearest £.
The principal accounting policies adopted are set out below.
1.2
Going concern
Atruet the time of approving the financial statements, the directors have a reasonable expectation that the company has adequate resources to continue in operational existence for the foreseeable future. Thus the directors continue to adopt the going concern basis of accounting in preparing the financial statements.
1.3
Turnover
Revenue is defined as the value of goods and services rendered excluding discounts and VAT and is recognised as follows:
Contract accounting
Revenue comprises the fair value of construction carried out in the year, based on an internal assessment of work carried out. Once the outcome of a construction contract can be estimated reliably, profit is recognised in the Statement of comprehensive income on a stage of contract completion basis by reference to the costs incurred to date. Losses expected in bringing a contract to completion are recognised immediately in the Statement of comprehensive income as soon as they are forecast. Amounts recoverable on long term contracts, included within debtors, represent revenue, less progress payments received. Where progress payments exceed revenue, the excess is shown as amounts payable on long term contracts within current liabilities.
1.4
Tangible fixed assets
Tangible fixed assets are initially measured at cost and subsequently measured at cost or valuation, net of depreciation and any impairment losses.
Depreciation is recognised so as to write off the cost or valuation of assets less their residual values over their useful lives on the following bases:

The gain or loss arising on the disposal of an asset is determined as the difference between the sale proceeds and the carrying value of the asset, and is credited or charged to profit or loss.

Impairment of fixed assets
At each reporting period end date, the company reviews the carrying amounts of its tangible assets to determine whether there is any indication that those assets have suffered an impairment loss. If any such indication exists, the recoverable amount of the asset is estimated in order to determine the extent of the impairment loss (if any). Where it is not possible to estimate the recoverable amount of an individual asset, the company estimates the recoverable amount of the cash-generating unit to which the asset belongs.
1.6
Stocks
Stocks are stated at the lower of cost and estimated selling price less costs to complete and sell.
1.7
Construction contracts
Where the outcome of a construction contract can be estimated reliably, revenue and costs are recognised by reference to the stage of completion of the contract activity at the reporting end date. Variations in contract work, claims and incentive payments are included to the extent that the amount can be measured reliably and its receipt is considered probable.
When it is probable that total contract costs will exceed total contract turnover, the expected loss is recognised as an expense immediately.
Where the outcome of a construction contract cannot be estimated reliably, contract revenue is recognised to the extent of contract costs incurred where it is probable that they will be recoverable. Contract costs are recognised as expenses in the period in which they are incurred. When costs incurred in securing a contract are recognised as an expense in the period in which they are incurred, they are not included in contract costs if the contract is obtained in a subsequent period.
The “percentage of completion method” is used to determine the appropriate amount to recognise in a given period. The stage of completion is measured by the proportion of contract costs incurred for work performed to date compared to the estimated total contract costs. Costs incurred in the year in connection with future activity on a contract are excluded from contract costs in determining the stage of completion. These costs are presented as stocks, prepayments or other assets depending on their nature, and provided it is probable they will be recovered.
1.8
Cash at bank and in hand
Cash and cash equivalents are basic financial assets and include cash in hand, deposits held at call with banks, other short-term liquid investments with original maturities of three months or less, and bank overdrafts. Bank overdrafts are shown within borrowings in current liabilities.
1.9
Financial instruments
The company has elected to apply the provisions of Section 11 ‘Basic Financial Instruments’ and Section 12 ‘Other Financial Instruments Issues’ of FRS 102 to all of its financial instruments.
Financial instruments are recognised in the company's balance sheet when the company becomes party to the contractual provisions of the instrument.
Financial assets and liabilities are offset, with the net amounts presented in the financial statements, when there is a legally enforceable right to set off the recognised amounts and there is an intention to settle on a net basis or to realise the asset and settle the liability simultaneously.
Basic financial assets
Basic financial assets, which include debtors and cash and bank balances, are measured at transaction price including transaction costs.

Impairment of financial assets
Financial assets, other than those held at fair value through profit and loss, are assessed for indicators of impairment at each reporting end date.
Financial assets are impaired where there is objective evidence that, as a result of one or more events that occurred after the initial recognition of the financial asset, the estimated future cash flows have been affected. If an asset is impaired, the impairment loss is the difference between the carrying amount and the present value of the estimated cash flows discounted at the asset’s original effective interest rate. The impairment loss is recognised in profit or loss.
If there is a decrease in the impairment loss arising from an event occurring after the impairment was recognised, the impairment is reversed. The reversal is such that the current carrying amount does not exceed what the carrying amount would have been, had the impairment not previously been recognised. The impairment reversal is recognised in profit or loss.
Derecognition of financial assets
Financial assets are derecognised only when the contractual rights to the cash flows from the asset expire or are settled, or when the company transfers the financial asset and substantially all the risks and rewards of ownership to another entity, or if some significant risks and rewards of ownership are retained but control of the asset has transferred to another party that is able to sell the asset in its entirety to an unrelated third party.
Classification of financial liabilities
Financial liabilities and equity instruments are classified according to the substance of the contractual arrangements entered into. An equity instrument is any contract that evidences a residual interest in the assets of the company after deducting all of its liabilities.
Basic financial liabilities
Basic financial liabilities, including creditors, bank loans, loans from fellow group companies and preference shares that are classified as debt, are initially recognised at transaction price unless the arrangement constitutes a financing transaction, where the debt instrument is measured at the present value of the future payments discounted at a market rate of interest. Financial liabilities classified as payable within one year are not amortised.
Trade creditors are obligations to pay for goods or services that have been acquired in the ordinary course of business from suppliers. Amounts payable are classified as current liabilities if payment is due within one year or less. If not, they are presented as non-current liabilities. Trade creditors are recognised initially at transaction price and subsequently measured at amortised cost using the effective interest method.
Derecognition of financial liabilities
Financial liabilities are derecognised when the company’s contractual obligations expire or are discharged or cancelled.
1.10
Equity instruments
Equity instruments issued by the company are recorded at the proceeds received, net of transaction costs. Dividends payable on equity instruments are recognised as liabilities once they are no longer at the discretion of the company.
1.11
Taxation
The tax expense represents the sum of the tax currently payable and deferred tax.

Current tax
The tax currently payable is based on taxable profit for the year. Taxable profit differs from net profit as reported in the profit and loss account because it excludes items of income or expense that are taxable or deductible in other years and it further excludes items that are never taxable or deductible. The company’s liability for current tax is calculated using tax rates that have been enacted or substantively enacted by the reporting end date.
Deferred tax
Deferred tax liabilities are generally recognised for all timing differences and deferred tax assets are recognised to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits. Such assets and liabilities are not recognised if the timing difference arises from goodwill or from the initial recognition of other assets and liabilities in a transaction that affects neither the tax profit nor the accounting profit.
1.12
Employee benefits
The costs of short-term employee benefits are recognised as a liability and an expense, unless those costs are required to be recognised as part of the cost of stock or fixed assets.
The cost of any unused holiday entitlement is recognised in the period in which the employee’s services are received.
Termination benefits are recognised immediately as an expense when the company is demonstrably committed to terminate the employment of an employee or to provide termination benefits.
1.13
Retirement benefits
Payments to defined contribution retirement benefit schemes are charged as an expense as they fall due.
1.14
Leases
Leases are classified as finance leases whenever the terms of the lease transfer substantially all the risks and rewards of ownership to the lessees. All other leases are classified as operating leases.
Assets held under finance leases are recognised as assets at the lower of the assets fair value at the date of inception and the present value of the minimum lease payments. The related liability is included in the balance sheet as a finance lease obligation. Lease payments are treated as consisting of capital and interest elements. The interest is charged to profit or loss so as to produce a constant periodic rate of interest on the remaining balance of the liability.
Rentals payable under operating leases, including any lease incentives received, are charged to profit or loss on a straight line basis over the term of the relevant lease except where another more systematic basis is more representative of the time pattern in which economic benefits from the leases asset are consumed.
1.15
Government grants
Government grants are recognised at the fair value of the asset received or receivable when there is reasonable assurance that the grant conditions will be met and the grants will be received.
A grant that specifies performance conditions is recognised in income when the performance conditions are met. Where a grant does not specify performance conditions it is recognised in income when the proceeds are received or receivable. A grant received before the recognition criteria are satisfied is recognised as a liability.

Assets obtained under hire purchase contracts are capitalised as tangible fixed assets and depreciated over their useful lives. Obligations under such agreements are included in creditors net of the finance charge allocated to future periods. The finance element of the rental payment is charged to the Statement of comprehensive income so as to produce a constant periodic rate of charge on the net obligation outstanding in each period.

Judgements and key sources of estimation uncertainty
In the application of the company’s accounting policies, the directors are required to make judgements, estimates and assumptions about the carrying amount of assets and liabilities that are not readily apparent from other sources. The estimates and associated assumptions are based on historical experience and other factors that are considered to be relevant. Actual results may differ from these estimates.
The estimates and underlying assumptions are reviewed on an ongoing basis. Revisions to accounting estimates are recognised in the period in which the estimate is revised where the revision affects only that period, or in the period of the revision and future periods where the revision affects both current and future periods.
Critical judgements
The following judgements (apart from those involving estimates) have had the most significant effect on amounts recognised in the financial statements.
Performance of long-term contracts
Recognised amounts on construction contract revenues and related receivables reflect the directors' best estimate of long-term contracts outcome and stage of completion. This includes the assessment of the profitability of the long-term contracts. Costs to complete and contract profitability are subject to significant estimation and uncertainty.

On 9 December 2022 the company agreed to purchase 7,500 B Ordinary shares for a total consideration of £5,000,000. The purchase is to be made in four separate tranches out of distributable reserves of the company. The company purchased the second tranche of shares, 1,875 B Ordinary shares, during the year for £1,250,000, The 1,875 B Ordinary shares were subsequently cancelled, thus increasing the capital redemption reserve. The additional two tranches, each for the same number of shares and consideration, will be purchased in subsequent accounting periods, contingent on the company having sufficient distributable reserves.
