The trustees present their strategic report for the year ended 31 January 2024. |
REVIEW OF BUSINESS |
Soroptimist (Fylde) Limited is a charity and company limited by guarantee, which operates under the name "Speak Up For Women". The charity was formed by members of a women's service organisation, Soroptimist International of Fylde, and aims to provide grants, bursaries or donations to individuals and groups who are doing work to benefit the Fylde community (in particular, but not exclusively, women and girls). |
In the 1950s a group of Soroptimists invested a legacy, which had been left to the organisation by one of their members, in property. That property comprised two Porritt houses in St Annes-on-Sea which were turned into flats in order to provide homes for single ladies in "reduced circumstances". Over the years Soroptimists formed a Housing Association under the Friendly and Provident Societies legislation to manage the flats. Eventually, Soroptimist (Fylde) Limited was formed and registered as a limited company by guarantee in 2007. |
Rising costs and the difficulties of managing the property forced its sale in 2010 but prior to the sale Soroptimist (Fylde) Limited was registered as a charity. The proceeds from the sale are the source of the funds used by Soroptimist (Fylde) Limited for its grant-giving activities. |
Individuals can apply for a grant provided the person or people who would benefit from the grant monies have lived in the Borough of Fylde for five years. Individuals require a sponsor or referrer, to support the application. Organisations or groups can apply for a larger grant provided the project would benefit residents (in particular but not necessarily exclusively, women and children) living in the Borough of Fylde or surrounding areas. |
PRINCIPAL RISKS AND UNCERTAINTIES |
Soroptimist (Fylde) Limited is affiliated to the club Soroptimist International of the Fylde. Members of the charity, trustees of the charity/directors of the company are all Fylde Soroptimists or former Soroptimists. |
Soroptimist International is a global volunteer movement working together to transform the lives of women and girls. The objectives of the charity are aligned with the principles of Soroptimism. |

The trustees who are also directors of the charity for the purposes of the Companies Act 2006, present their report with the financial statements of the charity for the year ended 31 January 2024. The trustees have adopted the provisions of Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019). |
OBJECTIVES AND ACTIVITIES |
Objectives and aims |
To further such charitable purposes for the benefit of all those living in the area of the Fylde Coast (in particular, but not exclusively, women and girls) in the County of Lancashire and/or such areas as determined by the trustees/directors of the Company from time to time. In particular, but not exclusively, by: |
(a) Relieving those in financial need, hardship or distress (in particular women and children in need of assistance). |
(b) Promoting good health (in particular the good health of women and children). |
(c) Advancing education and training (in particular the education and training of women and children in need of it); and |
(d) Establishing or securing a community centre or community facility and to maintain or manage the same for any charitable and other activities promoted by the Company that furthers its purpose. |
Public benefit |
Soroptimist (Fylde) Limited carries out these objects by providing grants to projects and individuals who can demonstrate that the grant would be used in furtherance of one or more of these objects and that members of the public would benefit. |
The trustees of Soroptimist (Fylde) Limited confirm that they have referred to the guidance contained in the Charity Commission's general guidance on public benefit when undertaking grant-giving activities during the year. |
Soroptimist (Fylde) Limited uses its resources to offer grants for the benefit of residents living primarily in Fylde Borough. |
When applying for a grant applicants must estimate the number and type of beneficiaries and show, where possible, that a large portion of the beneficiaries are resident in Fylde Borough. Individuals applying must have a sponsor, preferably an organisation, who supports the application and can validate any potential benefits specified on the application form. |
ACHIEVEMENT AND PERFORMANCE |
Charitable activities |
The main achievements of the charity during the year have been: |
a) Providing grants to various community groups and charities to enable staff costs to be met either partially or in full including: |
i. Part View 4 U which carries out a wide range of activities for all age groups; |
ii. Just Good Friends which aims to support people who are lonely or isolated to find friendship and happiness; |
iii. Fylde Rugby Community Foundation which runs numerous programmes within schools and the community linked to sports. |
b) Giving 7 other grants for purposes which include: |
i. Enabling a local church to purchase furniture and other essential household items earmarked for struggling families; |
ii. Support a local community project in their efforts to provide hot meals and food parcels for struggling families and individuals; |
iii. Enabling a local bowling cub to provide toilet facilities for members and visitors with disabilities; |
iv. Enabling a local youth group to take a group of young women on a residential trip to the Lake District; |
v. Supporting a local youth theatre to offer scholarships and provide uniforms to young people whose parents / guardians are unable to afford the costs; |
vi. Enabling a child with disabilities to replace their specialist car seat. |

FINANCIAL REVIEW |
Reserves policy |
The trustees agreed that reserves are not required for the following reasons: |
(a) All individuals running the charity are volunteers |
(b) The charity is a grant-giving charity and has minimal ongoing operational expenses which would cease once all capital had been used to provide grants. |
When the total funds approach £10,000 this will trigger a winding down of the charity. |
The charity does not carry out any fundraising activities and income is received from investment returns rather than public donations. |
STRUCTURE, GOVERNANCE AND MANAGEMENT |
Governing document |
The charity is controlled by its governing documents, memorandum and articles of association, and constitutes a limited company, limited by guarantee, as defined by the Companies Act 2006. |

I report to the charity trustees on my examination of the accounts of the Company for the year ended 31 January 2024. |
Responsibilities and basis of report |
As the charity's trustees of the Company (and also its directors for the purposes of company law) you are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 ('the 2006 Act'). |
Having satisfied myself that the accounts of the Company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of your charity's accounts as carried out under Section 145 of the Charities Act 2011 ('the 2011 Act'). In carrying out my examination I have followed the Directions given by the Charity Commission under Section 145(5) (b) of the 2011 Act. |
Independent examiner's statement |
I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe: |
1. | accounting records were not kept in respect of the Company as required by Section 386 of the 2006 Act; or |
2. | the accounts do not accord with those records; or |
3. | the accounts do not comply with the accounting requirements of Section 396 of the 2006 Act other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an independent examination; or |
4. | the accounts have not been prepared in accordance with the methods and principles of the Statement of Recommended Practice for accounting and reporting by charities (applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)). |
I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached. |

1. | ACCOUNTING POLICIES |
Basis of preparing the financial statements |
The financial statements of the charitable company, which is a public benefit entity under FRS 102, have been prepared in accordance with the Charities SORP (FRS 102) 'Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)', Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' and the Companies Act 2006. The financial statements have been prepared under the historical cost convention, with the exception of investments which are included at market value, as modified by the revaluation of certain assets. |
Income |
All income is recognised in the Statement of Financial Activities once the charity has entitlement to the funds, it is probable that the income will be received and the amount can be measured reliably. |
Expenditure |
Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to that expenditure, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings they have been allocated to activities on a basis consistent with the use of resources. |
Grants offered subject to conditions which have not been met at the year end date are noted as a commitment but not accrued as expenditure. |
Taxation |
The charity is exempt from corporation tax on its charitable activities. |
Fund accounting |
Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees. |
Restricted funds can only be used for particular restricted purposes within the objects of the charity. Restrictions arise when specified by the donor or when funds are raised for particular restricted purposes. |
