The trustees who are also directors of the charity for the purposes of the Companies Act 2006, present their report with the financial statements of the charity for the year ended 30 April 2024. The trustees have adopted the provisions of Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019).

OBJECTIVES AND ACTIVITIES
Objectives and aims
The main objects of the charity are:

1. to encourage advancement of education, the promotion of industry and commerce for the benefit of the public in the south Skye and district by the promotion of artistic endeavour and the appreciation thereof.

2. to assist, organise, manage, promote and produce concerts and other presentations in order to further the objects of the Company.

The company has the general aim of contributing to the quality of life of those living in, and visiting, south Skye, through the provision of high-quality touring arts events, and by involving as many people as possible in these endeavours.

The main objective continues to be the provision of an Annual Programme of touring arts events - theatre for adults and children; traditional music, jazz, world and chamber music, literature, film, performance dance and other events deemed suitable.

After consultation, the charity will look to start the process of refining it's aims and objectives over the next fiscal year in conjunction with wider constitutional changes.

ACHIEVEMENT AND PERFORMANCE
Review of the year
The fiscal year 2023/24 saw SEALL consolidate it's 30-year role in the Skye, Raasay and Lochalsh region as a leading arts and arts education/experience provider. The year comprised of a succession of successful events and workshops. With the hiring of a new Creative Director and team to take over the organisation from Sep 23, the organisation moved into a new phase with confidence.

Events
Events were back at full strength from early May 2023, with the organisation able to plan more comprehensively with the Covid 19 Pandemic restrictions stood down.

Some of the highlights were:

- In May 2023 SEALL hosted concerts by Martin Aitken, the Alma Choir, a dance event with Hebridean Treasure and the Sco Scan Festival.

- In June 2023 SEALL hosted concerts from Iona Lane and Malin Lewis, Canadian artists Red Fox as well as songwriting workshops from Rachel Walker and Aaron Jones.

- In July 2023 SEALL hosted Duncan Chisholm performing his "Black Cuillin" album in full in Elgol. Under the backdrop of the Cuillin hills, alongside performances from Mackenzie, McGoldrick and Watson, a ceildih in Waternish Hall, and a National Theatre production of "Thrown". SEALL also produced more short courses concerts in collaboration with SMO, with concerts from Fergie Macdonald, Ross Ainslie, and Hamish Napier.

- In August 2023 SEALL hosted a Summer Strings Concert, a Bollywood dance show, helped produce the Skye Agricultural show and produced more short courses concerts.

- In September 2023 SEALL hosted performances from Aly Bain & Phil Cunningham in LAS Portree, the Canny band, Martin Simpson as well as assisted with the Hebrides Whisky Trail and several step dance workshops.

- In Nov 23 SEALL Hosted its annual Small Halls Festival - this has become a regular signature event for Seall, giving local community halls the chance to host high-profile bands and with the local communities being involved with the planning of each evening. Eight artists performed in 7 community halls the length and breadth of the island - from Elgol to Kilmuir, Dunvegan to Sleat - to a combined audience of 488. The week of events also included workshops with Portree and Plockton Music Schools, wrap around sessions in Broadford and Carbost and a radio session on Skye Radio.

- In Jan 2024 The An Tinne project - led by Anne Martin and colleagues, comprising of walks and songs remembering the Highland Clearances from Skye villages where the population had scattered abroad, including to Australia and with the project linking to a community in Victoria - concluded with a well sold Celtic Connections performance at the Tramway in January 2024.

- In Feb 2024 SEALL hosted performances from Scottish Album of the Year winner Kathryn Joseph, Gaelic language band Dlù.

- In March 2024 SEALL hosted performances from comedian Kieran Hodgeson, The Glasgow African Balafon Orchestra and helped support LMPA performances of Beauty and the Beast, performed by the regions young people.

- In April 2024 SEALL hosted some of its biggest concerts, with Lau and King Creosote performing at Portree Community Centre, Fergus McCreadie performing at SMO and short courses performances from Eilidh Shaw and Ross Martin and Session A9.

Projects
Seall@home, Aiseirigh - Culture Collective, and the Seall Gaelic Development Officer post are all individually funded and run projects, linked with Creative Scotland funding.

Seall@home facilitated weekly concerts by Zoom link at care homes in Skye and Lochalsh. An Arcarsaid home at Broadford was also a regular participant in the project. During the winter, an average of two concerts or workshops per week were run plus a mix of online and in-person performances.

Aiseirigh - Culture Collective. Working with other arts-based organisations, Seall coordinated a range of arts events across Skye and Lochalsh. During the year, Lorayne McLucas took over from Ruari Gordon to coordinate these projects. They included a project run by local actor/director Daniel Cullen based around films and walks and the creation of a digital version of workshops that Lorayne McLucas ran with local sports clubs and her own performances.

The other projects were Hannah Myers collaborating with artists in schools on a wide range of activities including animation. Louis Barrabas in conjunction with Seall@home creating a community-led album inspired by conversations in community spaces then recorded by local musicians. Angus Mackenzie working with children in local schools to create music and songs. Lesley Wilson mentoring people to work on art projects in the Skye and Lochalsh communities. While in partnership with Atlas Arts, Malcolm Henry has built two boats, one based in Plockton and the other in Portree and which are now linked with rowing groups and other community events.

Gaelic Development. Seall is ever conscious of the need to move towards more projects, staff and policies acknowledging the Gaelic language and funding allowed the appointment of a Gaelic Development Officer who moved this aspiration on by developing a policy and ensuring Gaelic input in event planning.

Governance and staffing

Fundraising
SEALL continued to apply to Creative Scotland's Open Fund for specific projects - Aiseirigh, Seall@home, and Gaelic Development Officer plus the annual funding bid for Seall's overall work. We continue to receive enthusiastic support from both Creative Scotland and Bord Na Gaidhlig for Gaelic development.

Funds were also received for specific projects from Event Scotland, Scotland on Tour, CalMac to help accessibility to events, and local councils.

The team submitted a strategic plan to Creative Scotland in February 2024 covering the years 2025-28 in a bid to obtain Multi Year Funding, thus reducing the need for annual Creative Scotland applications. The result of this will be known in January 2025.

Membership
The board continue to explore options to refresh and relaunch a subscription scheme alongside reviewing the existing membership arrangements and proposals will be brought forward.

Administration
The SEALL team moved into a new office space in Broadford in April 2024 on request of its new team, who felt the organisation required a hub to work from.

Board
The Seall Board met online regularly during the year.

There were no changes to the board over the fiscal year 23-24.

Staff
Iseabail Strachan stepped down from her post as Gaelic Officer in May 2023, Sara Bain and Bryony Anderson stepped down from their respective posts in SEALL in July 2023. Jamie Sutherland was hired as Creative Director in July 2023 and came into post in September 2023. Ewan Macintyre was hired as SEALL's Gaelic Officer in August 2023, Lorayne McLucas was moved into a full-time role as Operations and Projects Manager in September 2023, and Ruari Gordon was rehired as Events Co-Ordinator in July 2023.

Technical support for events continued to be supported by Rufus Elliot and colleagues.

Social Media
Jacqueline Ross was offered a role as Marketing Office on a freelance basis of a day a week leading to a significant uptick in engagement across all social media channels.

Volunteers

Seall continues to advertise for and recruit volunteers to help with front of house at events, marketing, and local promotion. This became a key role for the F&A Officer who kept volunteers informed with a regular update on events and help needed.

FINANCIAL REVIEW
The funds held as of 30 April 2024 are summarised as follows:

- General Fund - £55,393 (£4,869 fixed assets, £50,524 cash less current liabilities)
- Designated Revenue Reserve - £30,000 (all cash)
- Designated Capital Reserve - £20,000 (all cash)
- Restricted - Culture Collective - £35,000 (all cash) - see below
- Restricted - Adapt Thrive - £8,003 (no cash; all fixed assets, being depreciated)

Regarding the Culture Collective fund, All projects up to the year end were closed by that point (with the exception of £35,000 received for 2024/25), and all reporting has been made satisfactorily to Creative Scotland. The transfer of £49,866 to the General Fund relates to a correction of allocation in the bookkeeping system; the Trustees are satisfied that all funds received for these projects were used in appropriately.

FUTURE PLANS
SEALL continues to develop its relationship with the wider community to become a truly Skye and Raasay & Lochalsh-wide cultural leader.

STRUCTURE, GOVERNANCE AND MANAGEMENT
Governing document
SEALL Ltd is a company limited by guarantee, as defined by the Companies Act 2006. It is governed by its Memorandum and Articles of Association dated 28 November 1994. It is registered as a charity with the Office of the Scottish Charity Regulator (OSCR).

Company Membership is offered to all those who join as Audience Members. Each Company Member agrees to contribute £1 in the event of the charity being wound up.

Recruitment and appointment of new trustees
The Directors are appointed by the Members at the AGM. SEALL aims for a minimum of 3 Directors, and each serves three years, before retiring by rotation. Each can serve a second term. Additional Directors can be co-opted until the next AGM. There were eight Directors in place as of 30 April 2024.

Organisational structure
The Directors are overall responsible for the organisation of the charity. They meet every 3 months.

The day-to-day co-ordination is the responsibility of the Creative Director, Jamie Sutherland, who was appointed to this post on 25 September 2023.

Related parties
SEALL is a member of The Touring Network, itself a charitable company, which supports local event promoters, such as SEALL, throughout the north of Scotland. SEALL is also a Member of the Traditional Music Forum, the National Rural Touring Forum, The Federation of Scottish Theatre, Traditional Music and Song Association and Arts and Business Scotland. SEALL also is a member of the Scottish Council of Voluntary Services.

SEALL works with Sabhal Mòr Ostaig, Scotland's Gaelic College, which provides several venues for SEALL, along with other community venues, Minginish Hall, Breakish Hall, An Crubh etc. across Skye & Lochalsh.

Risk management
The trustees have a duty to identify and review the risks to which the charity is exposed and to ensure appropriate controls are in place to provide reasonable assurance against fraud and error.

SEALL operates in independently-owned venues which all undertake their own risk assessments. SEALL has generic risk assessments. It undertakes non-written assessments for each visiting event.

Visiting companies are also expected to provide their own risk assessments when appropriate.

STATEMENT OF TRUSTEES' RESPONSIBILITIES
The trustees (who are also the directors of SEALL for the purposes of company law) are responsible for preparing the Report of the Trustees and the financial statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice).

Company law requires the trustees to prepare financial statements for each financial year which give a true and fair view of the state of affairs of the charitable company and of the incoming resources and application of resources, including the income and expenditure, of the charitable company for that period. In preparing those financial statements, the trustees are required to

-select suitable accounting policies and then apply them consistently;
-observe the methods and principles in the Charity SORP;
-make judgements and estimates that are reasonable and prudent;
-prepare the financial statements on the going concern basis unless it is inappropriate to presume that the charitable company will continue in business.

STATEMENT OF TRUSTEES' RESPONSIBILITIES - continued

The trustees are responsible for keeping proper accounting records which disclose with reasonable accuracy at any time the financial position of the charitable company and to enable them to ensure that the financial statements comply with the Companies Act 2006. They are also responsible for safeguarding the assets of the charitable company and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.

SEALL

I report on the accounts for the year ended 30 April 2024 set out on pages eight to sixteen.

Respective responsibilities of trustees and examiner
The charity's trustees are responsible for the preparation of the accounts in accordance with the terms of the Charities and Trustee Investment (Scotland) Act 2005 and the Charities Accounts (Scotland) Regulations 2006 (as amended). The charity's trustees consider that the audit requirement of Regulation 10(1)(a) to (c) of the Accounts Regulations does not apply. It is my responsibility to examine the accounts as required under Section 44(1)(c) of the Act and to state whether particular matters have come to my attention.

Basis of the independent examiner's report
My examination was carried out in accordance with Regulation 11 of the Charities Accounts (Scotland) Regulations 2006. An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts, and seeking explanations from you as trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit, and consequently I do not express an audit opinion on the view given by the accounts.

Independent examiner's statement
In connection with my examination, no matter has come to my attention :

(1) which gives me reasonable cause to believe that, in any material respect, the requirements

- to keep accounting records in accordance with Section 44(1)(a) of the 2005 Act and Regulation 4 of the 2006 Accounts Regulations; and
- to prepare accounts which accord with the accounting records and to comply with Regulation 8 of the 2006 Accounts Regulations

have not been met; or

1. ACCOUNTING POLICIES

Basis of preparing the financial statements
The financial statements of the charitable company, which is a public benefit entity under FRS 102, have been prepared in accordance with the Charities SORP (FRS 102) 'Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)', Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' and the Companies Act 2006. The financial statements have been prepared under the historical cost convention.

The presentation currency of the accounts is Pound sterling (£). The accounts are rounded to the nearest £1.

Income
All income is recognised in the Statement of Financial Activities once the charity has entitlement to the funds, it is probable that the income will be received and the amount can be measured reliably.

Expenditure
Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to that expenditure, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings they have been allocated to activities on a basis consistent with the use of resources.

Tangible fixed assets
Depreciation is provided at the following annual rates in order to write off each asset over its estimated useful life.


Equipment - 25% depreciation on cost

The directors have taken the decision to only capitalise individual asset purchases with a value in excess of £1,000.

Taxation
The charity is exempt from corporation tax on its charitable activities.

Fund accounting
Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees.

Restricted funds can only be used for particular restricted purposes within the objects of the charity. Restrictions arise when specified by the donor or when funds are raised for particular restricted purposes.

Pension costs and other post-retirement benefits
The charitable company operates a defined contribution pension scheme. Contributions payable to the charitable company's pension scheme are charged to the Statement of Financial Activities in the period to which they relate.
