3. ABOUT VISIT KNOWLE

Objectives and aims
The purposes of the Company are as set out in the objects contained in the Company's governing documents and are:
(a) to promote the development of and investment in the village centre of Knowle, Solihull as a commercial and community centre, for the benefit of businesses and residents, in conjunction with other organisations, entities or public bodies with whom the Company may have relationships from time to time;
(b) to develop strategies to support and develop businesses, stimulate co-operation between businesses and encourage both resident and visitor footfall in the village centre;
(c) to initiate, organise and deliver projects and initiatives to increase business levels, strengthen community facilities and enhance the public realm in the village centre;
(d) to undertake activities and run events in the village centre which benefit the community of Knowle and enhance its social, environmental and economic wellbeing; and
(e) to do all such things as are or may be deemed incidental or conducive to the attainment of the above objects (or any of them).
Public benefit
Whilst the Directors have no duties under the Companies Act to deliver a public benefit, they consider that the sole focus of the Company has been to provide a benefit to the residents and commercial interests in the village of Knowle by improvement of its economic sustainability, the breadth of its offer to residents and visitors and through the quality of its public realm.

Achievements
Our primary achievements during this operating period were:
(a) to attract a further step growth in our membership of local businesses and continue the objective building of an independent income stream to replace reliance on public funding;
(b) to continue consolidating our working relationship with Solihull Council and through that relationship secure funding for further initiatives aimed at increased village centre sustainability;
(c) to run a pre-Christmas programme of late night shopping and Saturday street entertainment to boost retail footfall and raise the profile of the village centre more widely;
(d) to partner with several other village organisations in the delivery of events within the village including the Kings Coronation event;
(e) to continue delivery of a strong marketing programme to consolidate the branding of Knowle as a centre of independent shopping in a heritage setting, through a strong social media presence, the expansion of our high-resolution image library;
(f) to win the award for Excellence in Sales and Marketing at the Solihull Chamber of Commerce Awards 2022;
(g) to run several events and offer guidance for the benefit of local businesses to enhance skills and encourage business development;
(h) to launch a programme of installing woollen hanging baskets outside village shopfronts to enhance the appearance of our retail centre;
(I) to secure funding for a project to enhance the appearance of the entrance to the village, on the major route approaching from the M42 to be delivered over the subsequent year and a half.

Source of External Income
The Directors are grateful for the financial support of Solihull Council in the granting of local funds to be used in support of the activities listed above and below.

Future plans
(a) to promote and run further footfall developing events for the benefit of local residents and businesses a further programme of pre-Christmas shopping events;
(b) to again work with other local organisations to run a high profile summer community event, incorporating community and artisan stalls, food and games, and establish this an annual tradition;
(c) to examine the feasibility to reintroduce a former community event of holding an all age family party with musical entertainment in the local.park

(d) to run an annual (at least) artisan market outside businesses in Station Road, Knowle to attract footfall and benefit businesses not on the High Street;
(e) to sustain the development of marketing channels and assets through further social media development and campaigns, and further growth of the high resolution image library;
(f) to sustain and further grow the business membership and to introduce a resident membership scheme aimed at Shop Local outcomes and further income generation;
(g) to deliver the public realm improvement project at the gateway to the village with improved landscaping and signage;
(h) to continue regular networking, ideas exchange and skills/opportunities development sessions for member
businesses;
(i) to join with other local representative organisations in a campaign to tackle the issue of empty and neglected shopfronts, particularly in the St Johns Way Shopping Centre.

Structure and governance
Governing document
The Company is controlled by its governing document, and constitutes a Limited Company, Limited by Guarantee, as defined by the Companies Act 2006, adopted by its initial members and incorporated on 20 June 2020.
Organisational structure
The Company is volunteer led and has no employees, engaging specialists under contractual arrangements to undertake tasks beyond the capacity of its volunteer pool.
The activities and projects are managed under four workstreams, overseen by Directors, which are Marketing and Promotion, Business Support, Events and Vibrancy and Streetscene Improvement.
This report has been prepared in accordance with the provisions applicable to companies entitled to the small companies' exemption.

The company is entitled to exemption from audit under Section 477 of the Companies Act 2006 for the year ended 30 June 2024.

The members have not required the company to obtain an audit of its financial statements for the year ended 30 June 2024 in accordance with Section 476 of the Companies Act 2006.

The directors acknowledge their responsibilities for:
(a)ensuring that the company keeps accounting records which comply with Sections 386 and 387 of the Companies Act 2006 and
(b)preparing financial statements which give a true and fair view of the state of affairs of the company as at the end of each financial year and of its surplus or deficit for each financial year in accordance with the requirements of Sections 394 and 395 and which otherwise comply with the requirements of the Companies Act 2006 relating to financial statements, so far as applicable to the company.

The financial statements have been prepared in accordance with the micro-entity provisions and delivered in accordance with the provisions applicable to companies subject to the small companies regime.
