6. | RELATED PARTY DISCLOSURES |
The activity of Herring Property LLP ("the partnership") solely consists of the letting of UK residential and commercial property. The assets of the partnership reflect the book value of the properties and its liabilities reflect the outstanding mortgages secured against these properties. |
on 29 June 2023, the partners entered an agreement to transfer the business to Herring Investments Limited (CRN OC447521), a UK incorporated company of which the partners are the sole directors. The terms of the agreement were that the partners agreed to transfer the whole of the business of the partnership (other than cash) as a going concern in exchange for newly issued A Ordinary £1 shares to the partnership. no other consideration was received. |
The partner are directors, and Herring Property LLP is the sole shareholder of Herring Investments Limited so they are connected parties and the disposal of the trade and assets are deemed to have taken place at open market value on the date of transfer. |
In consideration for the transfer of the property business, Herring Property LLP received 496 A Ordinary shares. |
