1. STATUTORY INFORMATION

Form (Midlands) Limited is a private company, limited by shares , registered in England and Wales. The company's registered number and registered office address can be found on the Company Information page.

2. ACCOUNTING POLICIES

Basis of preparing the financial statements
These financial statements have been prepared in accordance with Financial Reporting Standard 102 "The Financial Reporting Standard applicable in the UK and Republic of Ireland" including the provisions of Section 1A "Small Entities" and the Companies Act 2006. The financial statements have been prepared under the historical cost convention.

The financial statements are presented in sterling which is the functional currency of the company and rounded to the nearest £.

The significant accounting policies applied in the preparation of these financial statements are set out below. These policies have been consistently applied to all years presented unless otherwise stated.

Significant judgements and estimates
In preparing the financial statements it is necessary to make certain judgements, estimates and assumptions that affect the amounts recognised in the financial statements. These assumptions are reassessed annually as part of the accounts preparation process.

The critical judgments that the directors have made in the process of applying the company's accounting policies that have the most significant effect on the statutory financial statements are discussed below.

(i) Recoverability of debtors
The company establishes a provisions for debtors that are estimated not to be recoverable. When assessing
recoverability, the directors have considered factors such as the ageing of debtors, past experience of recoverability and the credit profile of individual or groups of customers.

Turnover
Turnover is measured at the fair value of the consideration received or receivable for goods and services rendered, net of discounts and Value Added Tax. Revenue from the sale of goods is recognised when the significant risks and rewards of ownership have transferred to the buyer (usually on despatch of the goods); the amount of revenue can be measured reliably; it is probable that the associated economic benefits will flow to the entity; and the costs incurred or to be incurred in respect of the transactions can be measured reliably.

Amounts recoverable on contracts is recognised in debtors where a contract for goods is evaluated on the stage of completion of the contract.

Tangible fixed assets
Tangible fixed assets under the cost model are stated at historical cost less accumulated depreciation and any accumulated impairment losses. Historical cost includes expenditure that is directly attributable to bringing the asset to the location and condition necessary for it to be capable of operating in the manner intended by management.

Depreciation is provided at the following annual rates in order to write off each asset over its estimated useful life:


Plant and machinery - 25% on reducing balance
Computer equipment - 15% on cost
Furniture and fittings - 15% on cost
Motor vehicles - 25% on reducing balance
Premises improvements - 15% on cost

Stocks
Stocks are stated at the lower of cost and estimated selling price less costs to complete and sell. Cost includes all costs of purchase, costs of conversion and other costs incurred in bringing stock to its present location and condition. Cost is calculated using the first-in, first-out formula. Provision is made for damaged, obsolete and slow-moving stock where appropriate.

Taxation
Taxation for the year comprises current and deferred tax. Tax is recognised in the Statement of Income and Retained Earnings, except to the extent that it relates to items recognised in other comprehensive income or directly in equity.

Current or deferred taxation assets and liabilities are not discounted.

Current tax is recognised at the amount of tax payable using the tax rates and laws that have been enacted or substantively enacted by the balance sheet date.

Deferred tax
Deferred tax is recognised in respect of all timing differences that have originated but not reversed at the balance sheet date.

Timing differences arise from the inclusion of income and expenses in tax assessments in periods different from those in which they are recognised in financial statements. Deferred tax is measured using tax rates and laws that have been enacted or substantively enacted by the year end and that are expected to apply to the reversal of the timing difference.

Unrelieved tax losses and other deferred tax assets are recognised only to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits.

Hire purchase and leasing commitments
Rentals paid under operating leases are charged to profit or loss on a straight line basis over the period of the lease.

Assets held under hire purchase agreements are capitalised and disclosed under tangible fixed assets at their fair value. The capital element of the future payments is treated as a liability and the interest is charged to the profit and loss account using the effective interest method.

Pension costs and other post-retirement benefits
The company operates a defined contribution pension scheme. Contributions payable to the company's pension scheme are charged to profit or loss in the period to which they relate.

Going concern
At the period end the company has net liabilities of £288,039 (2023: £569,857). The company is supported by an intercompany loan provided by Lousada PLC, the parent company of Lousada London Limited. Lousada PLC will not recall the loan until the company is making sufficient profits and will continue to support the company moving forwards. The directors have considered these factors and the improvement in trade since the period end and consider the company to be a going concern.

12. OTHER FINANCIAL COMMITMENTS

The company has non cancellable operating lease commitments for the rent of the premises for £96,000 (2023 - £240,000).

13. RELATED PARTY DISCLOSURES

The company has taken advantage of exemption, under the terms of Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland', not to disclose related party transactions with wholly owned subsidiaries within the group.

During the year the company incurred rental charges from Lousada PLC, A company within the group but not falling within the wholly owned exemption amounting to £86,040. At the year end the company owed Lousada PLC £337,199 (2023 - £405,963).

Also during the year the following related party transactions occurred:-

- The company provided services to Red Construction Group Limited a company in which Mr S Lousada is a director and shareholder amounting to £797,602 (2023 - £381,684). At the year end the company were owed £312,367 (2023 - £20,653). In addition to the intercompany balance, there was amounts recoverable on contract due to the company of £186,219 (2023 - nil) and deferred income to the value of £16,582 (2023 - nil).

- The company provided services to Lousada Investments Limited (LIL), a company in which Mr S Lousada is a director, amounting to £319,364 (2023 - £29,191). There were also recharged costs from LIL amounting to £310,886 (2023 - £289,453). At the year end the company were owed £21,532 (2023 - nil).

- The company were provided services from Grand Union Twymill Developments Limited, a company in which Mr S Lousada is a director, amounting to £2,084 (2023 - nil). At the year end the company owed £597 (2023 - £nil).

- The company provided services to Fired Earth Limited, a company within the group which is not 100% owned, amounting to £19,291 (2023 - £30,445). The company was also provided services from Fired Earth Limited amounting to £1,448 (2023 - £1,615). At the year end the company were owed £7,262 (2023 - £3,037). In addition to the intercompany balance, there was £5,720 (2023 - 10,533) for finished goods due to the company.

14. CONTINGENT ASSETS

Form (Midlands) Limited have submitted a loss and expense claim on a project that they acted as a subcontractor for during the financial year. The total amount claimed for is £143,514. The directors expect that after negotiations the estimated compensation that is likely to be awarded is in the region of £30,000 and £75,000. After considering the merits of the claim, the directors are certain that a minimum of £30,000 will be received and as such have recognised this revenue in the financial statements.
