for the Year Ended 30 September 2024


The trustees who are also directors of the charity for the purposes of the Companies Act 2006, present their report with the financial statements of the charity for the year ended 30 September 2024. The trustees have adopted the provisions of Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019).

OBJECTIVES AND ACTIVITIES
Objectives and aims
The Charity is a public benefit entity. The objects of the Charity are such exclusively charitable purposes as the Trustees in their absolute discretion shall from time to time determine in order to further the charity's purposes for public benefit. Such broad objects allow the charity to support a wide range of local community improvement projects, currently and in the future.

The trustees have given due regard to the Charity Commission guidance on public benefit.

ACHIEVEMENT AND PERFORMANCE
Achievement and Performance
The 2023-24 year has been a positive year for the Trust, which continues to fund raise on a small scale.
October is usually a quiet month as we put plans in place for two very significant events that the Trust takes the lead on. Firstly the annual Remembrance parade which is attended by the Mayor of Wirral, local MP, councilors, uniformed organizations, members of the village club - past and present, the school and the local community. Once again the parade was led by members of the Port Sunlight Lyceum Brass Band and we were very fortunate to have a serving officer, Sgt Francis as our flag bearer . The event was very well attended by members of the community. Revd Barrett led the outdoor service with the remainder of the service taking place within All Saints' Church followed by refreshments served by the uniformed organizations in the Parish Hall.
The Trust decided that the Christmas lights needed some investment for 2023. In negotiation with the council we appointed a council approved contractor to install and remove the display for the village and we invested a considerable amount of money in purchasing new tree trunk wrap around lights for along the edge of the Green. In order to support this expenditure the Trust launched a "Sponsor a Tree" initiative which with some campaigning led to 15 trees being sponsored. This was a great fillip to the funds and meant that further investment for 2024 could be considered. The Trust wishes to express grateful thanks to local sponsors and also residents who contributed to help "light up the village". The Christmas Carol evening took place at the end of November with Port Sunlight Brass Band playing carols and festive music whilst we enjoyed mulled wine and mince pies.
A Spring gathering of the community took place on 9 March for a Community Litter Pick co-ordinated by Revd Barrett. This was followed on 17 March by the Wirral Egg Run and the Trust once again served bacon and sausage batch and hot drinks from the forecourt of the Smithy to spectators as hundreds of motor bikes passed through the village on their Easter Run for Claire House, this was a fun event and the weather was also kind. Once again we liaised closely with Wirral Historic Cars and served refreshments on the village green at the culmination of the round Wirral run, this event was a touch and go event as the weather in the run up had been appalling and there were concerns about the village green, however after much hand wringing it was a dry day and the whole event proved very popular with many, many visitors.
During the course of the year Community Speed Watch has been in action at least once each week, on each occasion that the group has operated they have "clocked" a significant number of drivers breaking the speed limit, however with regularity and diligence we hope that the message is getting across to drivers who pass through the village. Articulated vehicles still pass through the village but the Trust has actively engaged with companies to try and reduce the numbers. Road safety has remained a high priority for the Trust and following on from the campaign to lower the speed limit along the B5136 the area has been identified for action in the 24/25 fiscal year by the council supported by the Combined Authority Transport Plan. The Local Safety Scheme will also bring forward the delivery of 20mph through the centre of the village and on the estate. The Trust has also worked in conjunction with the council over WBC Smoke Control Orders, which essentially ensures that all Clatterbridge Ward become a smokeless zone. During the year we have continued to engage with the council over the development of the Local Plan as it nears completion and supported Wirral Green Space Alliance in the extensive consultation over planning reform and the National Planning Policy Framework overhaul.
Autumn saw the idea that the church would ask the community to knit or crochet poppies to create a poppy arch for Remembrance Sunday. This initiative was started in July and quite quickly over 1000 poppies had been created to form what we looked forward to being a stunning display.
A major and significant push this year by the Trust has been the campaign to have the public conveniences on the village green re-opened. A petition of over 450 signatures was presented to the Tourism, Communities, Culture and Leisure Committee of the Council with the Trust addressing the meeting. We await the outcome -but are hopeful.
We were once again delighted to welcome the Mayor to raise the Green Flag over the village green, we have been awarded this accolade for many years now and we are very grateful to WBC Parks and Gardens staff for the tremendous work they undertake to keep the green in tip top condition.

Fundraising activities
This year we have held the Christmas Carol event, the Christmas Lights Appeal, we have served refreshments for the Wirral Egg Run and also at the Historic Car Rally. We have undertaken a community litter pick and we were delighted to support All Saints' Church in having the church clock repaired, this became a joint fundraiser and resulted in a very speedy and satisfactory resolution for the "unticking"clock. We remain very grateful to those who helped organise and arrange events, our fundraising relies enormously on volunteers and the generosity of local businesses and residents.

FINANCIAL REVIEW
Financial position
The fundraising activity has been modest in the past few years, although it continues to fund a few grant requests and maintains our objective of enhancing the village for all to enjoy. For the year ended 30 September 2024 there was a excess of expenditure over income for the year of £1,801 (2023 - £1,236). As at 30 September 2024 there were total retained funds of £15,103 (2023 - £13,302).

Reserves policy
The Trustees have an agreed reserve policy of £5000.

Going concern
There are no material uncertainties about the charity's ability to continue.

FUTURE PLANS
The trust will continue to be a vehicle for residents to turn to when they need assistance, whether that be in an advisory capacity or to draw together parties concerned with the issue at hand.

As the only community group in the Clatterbridge Ward the Trust is well positioned to lobby our local councillors who regularly attend Trust meetings questioning them on issues and asking for their support.

The Trust will continue to actively encourage new members and to carry on working to enhance our beautiful parish assisting both members and non-members when they most need it.

STRUCTURE, GOVERNANCE AND MANAGEMENT
Governing document
The charity is controlled by its governing document, a deed of trust, and constitutes a limited company, limited by guarantee, as defined by the Companies Act 2006.

Thornton Hough Community Trust Limited is a company limited by guarantee, incorporated on 25th May 2005 and registered as a charity on 6th June 2005. The company is established under a Memorandum of Association which set out the objects and powers of the charitable company and is governed under its Articles of Association.

Recruitment and appointment of new trustees
As set out in the Articles of Association, at the first Annual General Meeting all the Trustees shall be subject to retirement. For every Annual General Meeting, thereafter one-third of the Trustees shall be subject to retirement by rotation. Those who have been longest in office, since their last appointment or reappointment will be subject to this requirement. If the vacancy left by a retiring Trustee is not filled at the meeting, the retiring Trustee will be reappointed if willing to continue.

Induction and training of new trustees
New Trustees will be briefed on their legal obligations under charity and company law, the content of the Memorandum and Articles of Association, the committee and decision-making processes.

Risk management
The trustees have a duty to identify and review the risks to which the charity is exposed and to ensure appropriate controls are in place to provide reasonable assurance against fraud and error.

The Trustees regularly review the Charity's policies, systems and controls to ensure that there are no risks to which the Charity may be exposed.

Independent examiner's report to the trustees of Thornton Hough Community Trust Limited ('the Company')
I report to the charity trustees on my examination of the accounts of the Company for the year ended 30 September 2024.

Responsibilities and basis of report
As the charity's trustees of the Company (and also its directors for the purposes of company law) you are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 ('the 2006 Act').

Having satisfied myself that the accounts of the Company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of your charity's accounts as carried out under Section 145 of the Charities Act 2011 ('the 2011 Act'). In carrying out my examination I have followed the Directions given by the Charity Commission under Section 145(5) (b) of the 2011 Act.

Independent examiner's statement
I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe:

1. accounting records were not kept in respect of the Company as required by Section 386 of the 2006 Act; or
2. the accounts do not accord with those records; or
3. the accounts do not comply with the accounting requirements of Section 396 of the 2006 Act other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an independent examination; or
4. the accounts have not been prepared in accordance with the methods and principles of the Statement of Recommended Practice for accounting and reporting by charities (applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)).

I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

The members have not required the company to obtain an audit of its financial statements for the year ended 30 September 2024 in accordance with Section 476 of the Companies Act 2006.

(a)ensuring that the charitable company keeps accounting records that comply with Sections 386 and 387 of the Companies Act 2006 and
(b)preparing financial statements which give a true and fair view of the state of affairs of the charitable company as at the end of each financial year and of its surplus or deficit for each financial year in accordance with the requirements of Sections 394 and 395 and which otherwise comply with the requirements of the Companies Act 2006 relating to financial statements, so far as applicable to the charitable company.

1. ACCOUNTING POLICIES

Basis of preparing the financial statements
The financial statements of the charitable company, which is a public benefit entity under FRS 102, have been prepared in accordance with the Charities SORP (FRS 102) 'Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)', Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' and the Companies Act 2006. The financial statements have been prepared under the historical cost convention.

Thornton Hough Community Trust is a registered charity and a company, limited by guarantee, registered in England and Wales (Company number 05462878). The company number and registered office address can be found in the Trustees report.

The financial statements the individual entity only.

The financial statements are presented in sterling which is the functional currency of the company, rounded to the nearest £1.

Income
All income is recognised in the Statement of Financial Activities once the charity has entitlement to the funds, it is probable that the income will be received and the amount can be measured reliably. The charity does not financially account for gifts of time by volunteers. Should there be any material tangible gifts then they will be accounted for at valuation.

Expenditure
Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to that expenditure, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings they have been allocated to activities on a basis consistent with the use of resources.

Taxation
The charity is exempt from corporation tax on its charitable activities.

Fund accounting
Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees.

Restricted funds can only be used for particular restricted purposes within the objects of the charity. Restrictions arise when specified by the donor or when funds are raised for particular restricted purposes.
