The trustees who are also directors of the charity for the purposes of the Companies Act 2006, present their report with the financial statements of the charity for the year ended 31st October 2024. The trustees have adopted the provisions of Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019).

OBJECTIVES AND ACTIVITIES
Objectives and aims
The sole function of the Alresford and District Agricultural Society Limited is to organise and run a one-day agricultural show which is held on the first Saturday in September annually. The Society is dependent on a number of volunteers who greatly assisted in the lead up and on the day of the show. The Board of Trustees are grateful for this invaluable assistance.

The objectives of the Society are the advancement, education and appreciation of agriculture by the public and to promote other charity purposes.

Public benefit
The Trustees confirm that they have referred to the Charity Commission's general guidance on public benefit when reviewing the Society's aims and objectives and in planning future activities.

The organisation and running of the one day agricultural show benefits the general public by providing a forum in which to educate and promote agriculture.

The society relies on voluntary donations, subscriptions and income to cover its operating costs. Membership and entry fees are set annually by the trustees who give consideration to concessions and those on low income to ensure accessibility to all.

Our membership and the charitable donations made to local organisations gives us an important voice in the area and underlines the work carried out by the society to educate the public and to promote agriculture.

No individual or organisation receives private benefits from the Society.

ACHIEVEMENT AND PERFORMANCE
Following on from the success of the Agricultural Show in 2023 the numbers attending the show this year were down owing to the weather. The volunteers worked tirelessly to ensure the show could go ahead, despite a water logged show ground, ensuring a high quality experience on the day.

A surplus of £9,446 (2023: £68,814) was made for the year. The results were achieved by donations made to the society and the receipt of membership subscriptions during the year. Attendance at the show by members of the public was down this year due to the adverse weather conditions and a water logged show ground.

FINANCIAL REVIEW
Reserves policy
It is the policy of the Board of Trustees to maintain sufficient reserves to be able to stage the one day agricultural show following 3 cancelled shows always allowing for 50% insurance cover.

Costs this year increased to £284,538 (2023: £252,429) and as at 31st October 2024 the Society had reserves of £540,162 (2023 :£530,716). The Board intends to increase it's reserves in future years to ensure that this policy can be maintained.

The net movement in funds resulted in a surplus of £9,446 (2022: £68,814) as shown on page 5. The financial position of the charity is shown on the balance sheet on page 6.

FUTURE PLANS
The society plans to continue to run a one day agricultural show in order to advance it's aims of education and appreciation of agriculture by the public and to promote it's charitable purposes.

STRUCTURE, GOVERNANCE AND MANAGEMENT
Governing document
The charity is controlled by its governing document, a deed of trust, and constitutes a limited company, limited by guarantee, as defined by the Companies Act 2006.

The Alresford and District Agricultural Society was founded in 1908. The Society incorporated on 17 March 1988 as a company limited by guarantee. It is registered as a charity with the Charity Commission.

In the event of the Society being wound up members, the guarantors, are required to contribute an amount not exceeding £1. The Society is prohibited from making any form of distribution to the guarantors. The Charity is governed by its Articles of Association.

The members of the Board of Trustees are elected by the Society's members each year at the Annual General Meeting. One third of the Board is required to retire by rotation each year. The Board can delegate powers and functions to a sub-committee.

Potential new trustees are recruited from the local area and are initially interviewed by the Board of Trustees where their skills and abilities are assessed and if elected these are put to best use for the Society.

Proper induction and training is undertaken for all new members of the Board of Trustees.

The Board of Trustees are responsible for the overall management of the Charity. The day to day operation of the charity is delegated to the secretary who is under the control of the Trustees.

Risk management
The trustees have a duty to identify and review the risks to which the Charity is exposed and to ensure appropriate controls are in place to provide reasonable assurance against fraud and error.

The major risks to which the Charity might be exposed have been identified and steps taken to mitigate those risks.

Such risks include the effect of extreme weather conditions on the entry fees taken on the day and the possible effects of eventualities which lead to the show being cancelled such as foot and mouth.

Independent examiner's report to the trustees of Alresford & District Agricultural Society Limited ('the Company')
I report to the charity trustees on my examination of the accounts of the Company for the year ended 31st October 2024.

Responsibilities and basis of report
As the charity's trustees of the Company (and also its directors for the purposes of company law) you are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 ('the 2006 Act').

Having satisfied myself that the accounts of the Company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of your charity's accounts as carried out under Section 145 of the Charities Act 2011 ('the 2011 Act'). In carrying out my examination I have followed the Directions given by the Charity Commission under Section 145(5) (b) of the 2011 Act.

Independent examiner's statement
Since your charity's gross income exceeded £250,000 your examiner must be a member of a listed body. I can confirm that I am qualified to undertake the examination because I am a member of the Institute of Chartered Accountants in England and Wales, which is one of the listed bodies.

I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe:

1. accounting records were not kept in respect of the Company as required by Section 386 of the 2006 Act; or
2. the accounts do not accord with those records; or
3. the accounts do not comply with the accounting requirements of Section 396 of the 2006 Act other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an independent examination; or
4. the accounts have not been prepared in accordance with the methods and principles of the Statement of Recommended Practice for accounting and reporting by charities (applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)).

I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

1. STATUTORY INFORMATION

Alresford & District Agricultural Society Limited is a private company limited by guarantee, registered in England and Wales. The company's registered number and registered office address can be found in the Report of the Trustees.

2. ACCOUNTING POLICIES

Basis of preparing the financial statements
The financial statements of the charitable company, which is a public benefit entity under FRS 102, have been prepared in accordance with the Charities SORP (FRS 102) 'Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)', Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' and the Companies Act 2006. The financial statements have been prepared under the historical cost convention.

The financial statements have been prepared to give a 'true and fair' view and have departed from the Charities (Accounts and Reports) Regulations 2008 only to the extent required to provide a 'true and fair' view. This departure has involved following Accounting and Reporting by Charities: Statement of Recommended Practice applicable in the UK and Republic of Ireland issued in October 2019 rather than the Accounting and Reporting by Charities: Statement of Recommended Practice effective from 1 April 2005 which has since been withdrawn.

The financial statements have been prepared on a going concern basis under the historic cost convention, as modified to include certain items at fair value. The financial statements are presented in sterling which is the functional currency of the charity.

The trustees consider that there are no material uncertainties about the Society's ability to continue as a going concern.

The charity has taken advantage of the exemption in FRS 102 and has not prepared a cash flow statement.

Income
All income is recognised in the Statement of Financial Activities once the charity has entitlement to the funds, it is probable that the income will be received and the amount can be measured reliably.

Expenditure
Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to that expenditure, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings they have been allocated to activities on a basis consistent with the use of resources.

Tangible fixed assets
Depreciation is provided at the following annual rates in order to write off each asset over its estimated useful life.

Taxation
The charity is exempt from corporation tax on its charitable activities.

Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees.
