The directors present their annual report and financial statements for the year ended 30 June 2024.

Principal activities

The principal activity of the company continued to be that of the management of the property known as Shepherds Hall, 6 Princes Street, Bath, BA1 1HL, of which the company owns the freehold.

 

The company has no income or expenditure in its own right, all transactions in the year being related to the maintenance of the common parts in accordance with the lease. Service charges collected are held on trust for the purpose of meeting the relevant costs in relation to the property in accordance with the provisions of section 42 of the Landlord and Tenant Act 1987.

In order to assist you to fulfil your duties under the Companies Act 2006, we have prepared for your approval the financial statements of Shepherds Hall Management Company (1995) Limited for the year ended 30 June 2024 set out on pages 3 to 5 from the company’s accounting records and from information and explanations you have given us.

 

As a practising member firm of the Institute of Chartered Accountants in England and Wales (ICAEW), we are subject to its ethical and other professional requirements which are detailed at https://www.icaew.com/regulation.

This report is made solely to the board of directors of Shepherds Hall Management Company (1995) Limited, as a body, in accordance with the terms of our engagement letter dated 8 June 2018. Our work has been undertaken solely to prepare for your approval the financial statements of Shepherds Hall Management Company (1995) Limited and state those matters that we have agreed to state to the board of directors of Shepherds Hall Management Company (1995) Limited, as a body, in this report in accordance with ICAEW Technical Release 07/16 AAF. To the fullest extent permitted by law, we do not accept or assume responsibility to anyone other than Shepherds Hall Management Company (1995) Limited and its board of directors as a body, for our work or for this report.

It is your duty to ensure that Shepherds Hall Management Company (1995) Limited has kept adequate accounting records and to prepare statutory financial statements that give a true and fair view of the assets, liabilities, financial position and result of Shepherds Hall Management Company (1995) Limited. In accordance with section 444 of the Companies Act 2006, all of the members of the company have consented to the preparation of abridged financial statements pursuant to paragraph 1A of Schedule 1 to the Small Companies and Groups (Accounts and Directors’ Report) Regulations (SI 2008/409)(b).

For the financial year ended 30 June 2024 the company was entitled to exemption from audit under section 477 of the Companies Act 2006 relating to small companies.

The directors acknowledge their responsibilities for complying with the requirements of the Companies Act 2006 with respect to accounting records and the preparation of financial statements.

The members have not required the company to obtain an audit of its financial statements for the year in question in accordance with section 476.

These financial statements have been prepared in accordance with the provisions applicable to companies subject to the small companies regime.

Accounting policies
Company information

Shepherds Hall Management Company (1995) Limited is a private company limited by shares incorporated in England and Wales. The registered office is 37 Great Pulteney Street, Bath, BA2 4DA.

Accounting convention

These financial statements have been prepared in accordance with FRS 102 “The Financial Reporting Standard applicable in the UK and Republic of Ireland” (“FRS 102”) and the requirements of the Companies Act 2006 as applicable to companies subject to the small companies regime. The disclosure requirements of section 1A of FRS 102 have been applied other than where additional disclosure is required to show a true and fair view.

The financial statements are prepared in sterling, which is the functional currency of the company. Monetary amounts in these financial statements are rounded to the nearest £.

The financial statements have been prepared under the historical cost convention. The principal accounting policies adopted are set out below.

 

The freehold interest in the property is stated at cost. The directors assess annually the need to provide for any impairment in recoverable amount below cost.

Income and expenditure account

The company has no income or expenditure in its own right. All transactions in the year relate to maintenance of the common parts in accordance with the lease. Income and expenditure arising from these transactions is shown in separate service charge accounts for the property that do not form part of the annual accounts of the company and are not filed at Companies House. All service charge monies received from the residents of Shepherds Hall are held on trust for the residents.

Contractual commitments

The company contracts with third parties in its own name for the supply of services to the property for maintenance of the common parts in accordance with the terms of the lease. At 30 June 2024 the company had not entered into any non-cancellable contractual commitments (2023 - none).

Corporation tax

There is no Corporation Tax payable based on the results for the year (2023 - no Corporation Tax payable).
