TRUSTEES' REPORT
FOR THE YEAR ENDED 30 JUNE 2024

The Trustees present their annual report together with the financial statements of the Charity for the  1 July 2023 to 30 June 2024The Annual report serves the purposes of both a Trustees' report and a directors' report under company law. The Trustees confirm that the Annual report and financial statements of the charitable company comply with the current statutory requirements, the requirements of the charitable company's governing document and the provisions of the Statement of Recommended Practice (SORP) applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS102) (effective 1 January 2019). 
Sports Charity Scotland was formerly known as The Sportsman's Charity Limited but changed its name on 30 January 2023.
 

Since the Charity qualifies as small under section 382 of the Companies Act 2006, the Strategic report required of medium and large companies under the Companies Act 2006 (Strategic Report and Directors' Report) Regulations 2013 has been omitted.
 

Objectives and activities
 

a. Policies and objectives
 

The objectives of the charity are to generate funds for charitable purposes, most particularly within the fields of sport, youth, disability and disadvantage. Our popular area of operations continues to focus on the corporate sector and this is expected to continue.
 

b. Grant-making policies
 

The Trustees invite applications for funding from operational charities which are reviewed against specific criteria, as set by the Trustees and in accordance with the charity’s objectives. Funds are paid out at the Trustees’ discretion. All requests are assessed on an individual basis with the Trustees favouring stand-alone projects rather than contributions to running costs.
The Trustees’ priorities are to distribute funds, primarily to Scottish charities who operate within sectors representing children, young people, and sport and are particularly interested in helping those who are disadvantaged or have disabilities.
The Trustees also invite operational charities to partner with Sports Charity Scotland in the delivery of our annual fundraising dinner. Those charities receive a discretionary proportion of funds raised at the annual fundraising dinner.
 

Achievements and performance
 

a. Main achievements of the Charity
 

Given the current economic climate, the past accounting year has provided continuing challenges for the charity. Efforts were focused on getting our name out there and working with partner charities. The Annual Dinner took place in February 2024, which guaranteed the continued viability of the charity and enabled the board to donate funds to relevant causes.

Financial review
 

a. Going concern
 

After making appropriate enquiries, the Trustees have a reasonable expectation that the Charity has adequate resources to continue in operational existence for the foreseeable future. For this reason, they continue to adopt the going concern basis in preparing the financial statements. Further details regarding the adoption of the going concern basis can be found in the accounting policies.
 

b. Reserves policy
 

It is the policy of the trustees to distribute the income of the charity in the form of grants to other charitable bodies either in response to approved requests for support or in respect of agreed funding packages. It is anticipated that any surplus income at the close of the account would be distributed in the following year.
The trustees’ current policy is to endeavour to hold at least £10,000 of reserves to meet operation costs for the year. Charitable grants are made at the discretion of the board (when there are sufficient funds) and are therefore not operating costs.
The total reserves at the year end amounted to a surplus of £10,470 (2023: £4,480) all of which are unrestricted. Reserves are below the reserves policy for the reasons outlined in the achievements and performance section. After a difficult two years due to the pandemic, reserves have been slowly recovered and the trustees expect for this to continue in order to meet the policy.
 

c. Risk management
 

The charity continues to manage risk. The period since March 2020 has been incredibly challenging, with the principal focus being to ensure the continuation of the charity.
The trustees continue to identify and review the major risks to which the charity is exposed and have established appropriate systems to anticipate these risks and to consider further risks that might apply. Risk management is considered either in detail or general at each board meeting. The trustees believe that implementation of agreed actions and procedures will significantly reduce the probability and the impact of these risks.
 

d. Review of activities
 

The results for the year are set out in the statement of financial activities and income and expenditure account which shows net income for the year of £5,990 (2023: £3,673).
Income generated from activities which took place during the year was £88,277 (2023: £104,755). The Sportsman’s Charity raise funds through holding events brining people together.
Total expenditure for the year amounted to £82,287 (2023: £101,082). These costs relate mainly to grants paid during the year of £22,500 (2023: £29,000) and support costs. The charity will always be limited in it’s ability to distribute grants by the amount of funds raised.

Structure, governance and management
 

a. Constitution
 

Sports Charity Scotland is registered as a charitable company limited by guarantee and was set up by a Memorandum of Association dated 7 January 2003. The trustees are all directors of the company and are responsible for all decisions.
The Trustees of the company have agreed to contribute an amount not exceeding £1 each to the assets of the company in the event of it being wound up.
 

b. Methods of appointment or election of Trustees
 

New trustees are either appointed after being approached by other trustees or having indicated to the trustees that they wish to join the board. There has been considerable change to the Board over the last twelve months with some of our longer serving trustees relinquishing their positions. This has given the Board the opportunity to create a more diverse Board both in terms of gender and age both of which we consider to be essential for Sports Charity Scotland to remain relevant and to enable future success.
 

c. Policies adopted for the induction and training of Trustees
 

New trustees of the charity meet with the existing trustees to be appraised of the charity, its structure, its governance, the content of its Memorandum and Articles of Association, the committee decision making process, the business plan and recent financial performance of the charity. Trustees are encouraged to attend events run by the charity.
The Trustees are responsible for the maintenance and integrity of the corporate and financial information included on the charitable company's website. Legislation in the United Kingdom governing the preparation and dissemination of the financial statements may differ from legislation in other jurisdictions. 
 

Plans for future periods
 

In partnership with individuals, the corporate sector and other charities, Sports Charity Scotland exists to generate distributable funds for charitable purposes through the conduit of sport. Our goal is to continue to distribute funds in line with our Grant Policy, supporting some of the larger established charities, as well as smaller organisations where modest donations can make all the difference.
 

Report of the Executive
 

As a charity which raises funds by holding events which bring people together. Sports Charity Scotland has survived the most difficult period in its existence during the Covid-19 pandemic, and we hope to return to a position where we can raise significant funds for charitable causes in the next few years, as the need for this is greater than ever. External support and sponsorship will be sought wherever possible, and the charity continues to remain in contact with previous sponsors in the hope that they will be supportive of future events.

Statement of Trustees' responsibilities
 

The Trustees (who are also the directors of the Charity for the purposes of company law) are responsible for preparing the Trustees' report and the financial statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice).


Company law requires the Trustees to prepare financial statements for each financial . Under company law, the Trustees must not approve the financial statements unless they are satisfied that they give a true and fair view of the state of affairs of the Charity and of its incoming resources and application of resources, including its income and expenditure, for that period. In preparing these financial statements, the Trustees are required to:

select suitable accounting policies and then apply them consistently;
observe the methods and principles of the Charities SORP (FRS 102);
make judgments and accounting estimates that are reasonable and prudent;
state whether applicable UK Accounting Standards (FRS 102) have been followed, subject to any material departures disclosed and explained in the financial statements;
prepare the financial statements on the going concern basis unless it is inappropriate to presume that the Charity will continue in business.


The Trustees are responsible for keeping adequate accounting records that are sufficient to show and explain the Charity's transactions and disclose with reasonable accuracy at any time the financial position of the Charity and enable them to ensure that the financial statements comply with the Companies Act 2006, the Charities and Trustee Investment (Scotland) Act 2005 and the Charities Accounts (Scotland) Regulations 2006 (as amended). They are also responsible for safeguarding the assets of the Charity and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.

Independent examiner's report to the Trustees of Sports Charity Scotland
 
I report on the accounts of the charity for the year ended 30 June 2024 which are set out on pages 7 to 17.

Respective responsibilities of Trustees and examiner

The trustees, who are also directors of the company for the purposes of company law, are responsible for the preparation of the financial statements in accordance with the terms of the Charities and Trustee Investment (Scotland) Act 2005 ('the Act') and the Charities Accounts (Scotland) Regulation 2006 ('the Accounts Regulations'). The trustees consider that the audit requirement of Regulation 10(1)(a) to (c) of the Accounts Regulations does not apply. It is my responsibility to examine the financial statements as required under section 44(1)(c) of the Act and to state whether particular matters have come to my attention.

Basis of independent examiner's statement

My examination was carried out in accordance with regulation 11 of the Accounts Regulations. An examination includes a review of the accounting records kept by the charity and a comparison of the financial statements presented with those records. It also includes consideration of any unusual items or disclosures in the financial statements, and seeking explanations from you as trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit, and consequently I do not express an audit opinion on the view given by the accounts.

Independent examiner's statement

In the course of my examination, no matter has come to my attention:

which gives me reasonable cause to believe that in any material respect the requirements:

to keep accounting records in accordance with section 44(1)(a) of the Act and regulation 4 of the Accounts Regulations; and

to prepare financial statements which accord with the accounting records, Accounting and Reporting by Charities preparing their accounts in accordance with the Financial Reporting Standard in the UK and Republic of Ireland (FRS 102) and in other respects comply with regulation 8 of the Accounts Regulations

have not been met; or

General information

Sports Charity Scotland (formerly The Sportsman’s Charity Limited) is a charitable company limited by guarantee incorporated in Scotland. The registered office is Princes Exchange, 1 Earl Grey Street, Edinburgh, EH3 9AQ.


2.Accounting policies

  
2.1

Basis of preparation of financial statements

The financial statements have been prepared in accordance with the Charities SORP (FRS 102) - Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019), the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) and the Companies Act 2006.

Sports Charity Scotland meets the definition of a public benefit entity under FRS 102. Assets and liabilities are initially recognised at historical cost or transaction value unless otherwise stated in the relevant accounting policy.

  
2.2

Income

All income is recognised once the Charity has entitlement to the income, it is probable that the income will be received and the amount of income receivable can be measured reliably.

The charity receives benefits from gifts in kind, which have not been recognised as the Trustees consider it is not practicable to quantify their value and they are not thought to be material to the financial statements.

  
2.3

Expenditure

Expenditure is recognised once there is a legal or constructive obligation to transfer economic benefit to a third party, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is classified by activity. The costs of each activity are made up of the total of direct costs and shared costs, including support costs involved in undertaking each activity. Direct costs attributable to a single activity are allocated directly to that activity. Shared costs which contribute to more than one activity and support costs which are not attributable to a single activity are apportioned between those activities on a basis consistent with the use of resources. Central staff costs are allocated on the basis of time spent, and depreciation charges allocated on the portion of the asset’s use.

Expenditure on raising funds includes all expenditure incurred by the Charity to raise funds for its charitable purposes and includes costs of all fundraising activities events and non-charitable trading.

Expenditure on charitable activities is incurred on directly undertaking the activities which further the Charity's objectives, as well as any associated support costs.

Grants payable are charged in the year when the offer is made except in those cases where the offer is conditional, such grants being recognised as expenditure when the conditions attaching are fulfilled. Grants offered subject to conditions which have not been met at the year end are noted as a commitment, but not accrued as expenditure.

All expenditure is inclusive of irrecoverable VAT.

Stocks

Stocks are valued at the lower of cost and net realisable value after making due allowance for obsolete and slow-moving stocks. Cost includes all direct costs and an appropriate proportion of fixed and variable overheads.

Debtors

Trade and other debtors are recognised at the settlement amount after any trade discount offered. Prepayments are valued at the amount prepaid net of any trade discounts due.

  
2.6

Cash at bank and in hand

Cash at bank and in hand includes cash and short-term highly liquid investments with a short maturity of three months or less from the date of acquisition or opening of the deposit or similar account.


2.7

Liabilities and provisions

Liabilities are recognised when there is an obligation at the Balance sheet date as a result of a past event, it is probable that a transfer of economic benefit will be required in settlement, and the amount of the settlement can be estimated reliably.

Liabilities are recognised at the amount that the Charity anticipates it will pay to settle the debt or the amount it has received as advanced payments for the goods or services it must provide.

Provisions are measured at the best estimate of the amounts required to settle the obligation. Where the effect of the time value of money is material, the provision is based on the present value of those amounts, discounted at the pre-tax discount rate that reflects the risks specific to the liability. The unwinding of the discount is recognised in the Statement of financial activities as a finance cost.

Financial instruments

The Charity only has financial assets and financial liabilities of a kind that qualify as basic financial instruments. Basic financial instruments are initially recognised at transaction value and subsequently measured at their settlement value with the exception of bank loans which are subsequently measured at amortised cost using the effective interest method.

  
2.9

Fund accounting

General funds are unrestricted funds which are available for use at the discretion of the Trustees in furtherance of the general objectives of the Charity and which have not been designated for other purposes.

Contingent liabilities

As at the year end the charity had signed contracts for the venue hire for the 2025 Sportsman’s charity dinner, which include maximum penalties of £39,185 should the event be cancelled.



17.


Related party transactions

During the year, the charity paid consultancy fees and other expenses of £450 (2023: £7,500) to AR & HR Services, a partnership that trustee A J Robertson is a partner of. At the year end £0 (2023: £467) was due to AR & HR services.
The payment of remuneration to trustees is permitted under clause 45 of the charity's constitution.
Other than the transactions noted above, there were no other related party transactions during the current or prior year.
