For the financial year ending 31 December 2024 the Company was entitled to exemption from audit under section 477 of the Companies Act 2006 relating to small companies.

Directors' responsibilities:

• The members have not required the Company to obtain an audit of its financial statements for the financial year in accordance with section 476;
• The directors acknowledge their responsibilities for complying with the requirements of the Companies Act 2006 with respect to accounting records and the preparation of financial statements;
• These financial statements have been prepared in accordance with the micro-entity provisions of the Companies Act 2006 and FRS 105 The Financial Reporting Standard applicable to the Micro-entities Regime;
• These financial statements have been delivered in accordance with the small companies regime and a copy of the Profit and Loss Account has not been delivered.

3. Directors’ benefits: advances, credit and guarantees

Advances

Joint loan account between the four shareholders, two of whom are directors. The loan is repayable on demand and interest is charged on overdrawn balances at the official HMRC rate where the aggregate overdrawn balance exceeds £10,000 per person.

At  1  January 2024,  the  balance  owed by the shareholders was  £5,545.  During  the  year,  £2,193 was  advanced  to  the  shareholders,  and  £6,870 was repaid by the shareholders. At 31 December 2024, the balance owed by the shareholders was £868.

At  1  January 2023,  the  balance  owed by the shareholders was  £10,525.  During  the  year,  £5,857 was  advanced  to  the  shareholders,  and  £10,837 was repaid by the shareholders. At 31 December 2023, the balance owed by the shareholders was £5,545.
