For The Year Ended 30 September 2024



The trustees who are also directors of the charity for the purposes of the Companies Act 2006, present their report with the financial statements of the charity for the year ended 30 September 2024. The trustees have adopted the provisions of Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019).

OBJECTIVES AND ACTIVITIES
Objectives and aims
The charity's objects are specifically restricted to the following for the public benefit in Kenilworth and the surrounding area ("The district"): (i). to promote, improve and further the interests and understanding of all branches of agriculture in the district; (ii). to encourage all aspects of agricultural work by shows, demonstrations, competitions, exhibitions and instruction classes, and any one of them; (iii). to promote the improvement of the breeding of all classes of livestock; and (iv). such other purposes which may be charitable according to the law of England and Wales as the directors see fit from time to time.

ACHIEVEMENT AND PERFORMANCE
Charitable activities
The Society's primary objectives are to support local farmers in their pursuit of the highest standards of husbandry, encourage young people embarking on careers in agriculture, and promote public interest in, and understanding of agriculture, food production, and environmental and countryside management. These objectives are largely achieved through the Society's annual crop and livestock competitions, support for local Young Farmers Clubs, and the Young Farmer of the Year competition, with a particular emphasis on the annual agricultural show.

Dedicated to supporting younger members of the farming community, the Society fosters close ties with Kenilworth & Warwickshire's Young Farmers. Our Young Farmer of the Year Award recognises exceptional local young farmers who demonstrate outstanding knowledge, work ethic, and innovation, serving as strong ambassadors for UK agriculture; this year's nominations were particularly impressive. Additionally, a further link has been established between the two organisations with the Society appointing a YFC member to its board.

Situated in an area with large urban conurbations nearby, we are well-positioned to engage with both urban and rural communities, and the Kenilworth Show serves as the cornerstone of our activities. Unfortunately, this year's Show was cancelled due to challenges in securing a suitable venue. In its place, the society successfully partnered with Warwickshire's Finest to host a smaller Kenilworth Livestock Show. The event was well-received and attracted a good number of visitors and entrants with the latter showcasing approximately 45 cattle and nearly 200 sheep, including the largest Hereford Section in the Society's history. The entries were all of a very high standard and all proceeds from the show were donated to the Air Ambulance.

Throughout the year, the society has remained active, organising a variety of events to bring members together, to stimulate and promote good practice in the industry, to attract wider public interest in local farming and to raise funds both for the Society and various charities. Highlights included the crop and livestock competitions, the annual awards lunch, lectures from Nuffield scholars who presented the results of their year's studies into innovative developments in the industry, and a charity cricket match, in aid of Myton Hospice. Despite the cancellation of the Kenilworth Show, our crop and livestock competitions proceeded as planned, promoting excellence in local farming and attracting strong participation. The introduction of a newsletter for competitors further sparked renewed interest in these events.

In addition, the Society continues to support and be involved with farming charities, both local and national, which play an increasingly vital role as the agricultural sector faces heightened economic and social pressures.

Building on the success of the 2023 show, we are confident that the 2025 Kenilworth Show will be an outstanding event. It will feature exhibitions and displays from a range of agricultural businesses and organisations, with a special emphasis on engaging the local urban population by offering insights into agriculture, food, and farming. A great example of this, and a key highlight for many, is the parade of modern farm machinery-a well-established and popular feature that provides valuable insights into the agricultural industry. This event not only allows young attendees to see the machinery in action but also offers an opportunity to interact with the drivers, discussing the various career paths available in the land-based sector.

Despite the challenges posed by the cancellation of this year's Show, the trustees remain unwavering in their commitment to the Society's charitable objectives. With a new site secured for the annual Show, they are not only eager to build upon the achievements of the past year but also to enhance and expand our initiatives moving forward. Together, we are poised to create an even more impactful and engaging experience for our community.

STRUCTURE, GOVERNANCE AND MANAGEMENT
Governing document
The charity is a charitable company limited by guarantee, governed by its Memorandum and Articles of Association. The Memorandum and Articles were incorporated on 2 June 1998. The Articles were adopted by special resolution dated 7 December 2015. The trustees, who are directors for the purpose of company law and trustees for the purpose of charity law, who served during the year are set out above. The trustees of the charitable company guarantee to contribute an amount not exceeding £1 to the assets of the charitable company in the event of a winding up.

Recruitment and appointment of new trustees
The trustees are appointed annually at the company's Annual General Meeting.

Independent examiner's report to the trustees of Kenilworth And District Agricultural Society ('the Company')
I report to the charity trustees on my examination of the accounts of the Company for the year ended 30 September 2024.

Responsibilities and basis of report
As the charity's trustees of the Company (and also its directors for the purposes of company law) you are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 ('the 2006 Act').

Having satisfied myself that the accounts of the Company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of your charity's accounts as carried out under Section 145 of the Charities Act 2011 ('the 2011 Act'). In carrying out my examination I have followed the Directions given by the Charity Commission under Section 145(5) (b) of the 2011 Act.

Independent examiner's statement
I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe:

1. accounting records were not kept in respect of the Company as required by Section 386 of the 2006 Act; or
2. the accounts do not accord with those records; or
3. the accounts do not comply with the accounting requirements of Section 396 of the 2006 Act other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an independent examination; or
4. the accounts have not been prepared in accordance with the methods and principles of the Statement of Recommended Practice for accounting and reporting by charities (applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)).

I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

The members have not required the company to obtain an audit of its financial statements for the year ended 30 September 2024 in accordance with Section 476 of the Companies Act 2006.

1. ACCOUNTING POLICIES

Basis of preparing the financial statements
The financial statements of the charitable company, which is a public benefit entity under FRS 102, have been prepared in accordance with the Charities SORP (FRS 102) 'Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)', Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' and the Companies Act 2006. The financial statements have been prepared under the historical cost convention, with the exception of investments which are included at market value, as modified by the revaluation of certain assets.

Income
All income is recognised in the Statement of Financial Activities once the charity has entitlement to the funds, it is probable that the income will be received and the amount can be measured reliably.

Expenditure
Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to that expenditure, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings they have been allocated to activities on a basis consistent with the use of resources.

Tangible fixed assets
Depreciation is provided at the following annual rates in order to write off each asset over its estimated useful life.


Plant and machinery - 15% on reducing balance
Website - 33% on cost

Taxation
The charity is exempt from corporation tax on its charitable activities.

Fund accounting
Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees.

Restricted funds can only be used for particular restricted purposes within the objects of the charity. Restrictions arise when specified by the donor or when funds are raised for particular restricted purposes.
