The directors present their report with the financial statements of the company for the period ended 31 March 2025

Principal activities of the company

The principal activity of the Company has been to act for the benefit of the inhabitants of Diss and the surrounding area, particularly through the encouragement of the arts and heritage. Its aim has been to make Diss a better place to live, work, visit or run a business. It has, as an organiser and facilitator, supported many of the events and initiatives that have taken place in the town over the last few years. The objects of the Company have overlapped with those of the Diss Heritage Triangle Trust CIO and the boards of the two bodies and their members agreed that they would be more effective in their operations if they combined their activities and that the Triangle Trust would be the most appropriate successor of the two organisations. This is in line with the Charity Commission guidelines to reduce the number of small charitable and not for profit organisations by amalgamation. The primary activity of the Company from August 2023 had been to establish No 8 Marketplace as a retail outlet for local craftspeople and to provide space for embryonic businesses to test their concepts. No 8 was leased from Panther Securities under a pop-up lease arrangement. From 31 March 2024, Bees of Diss Ltd, the trading subsidiary of the Trust, purchased the Company’s stock at book value/ cost. The small trade debtors were transferred from the Company to Bees with appropriate and full payment. The Company’s retail activity transferred to Bees. From 1 August 2024, the Trust took on the lease of No 8 and the obligations of the Company by taking responsibility for the lease and the contracts for services; any debtors or creditors were transferred from the Company to the Trust with appropriate and full payment. The Company’s activities after 31.3.24 were largely wrapping up the business and it currently is not trading. Both the Company and the Trust are asset locked bodies. The Company transferred the bulk of its assets, £7,250, to the Trust leaving a small cash balance to cope with possible liabilities.

Balance sheet statements

For the year ending 31 March 2025 the company was entitled to exemption under section 477 of the Companies Act 2006 relating to small companies.

The members have not required the company to obtain an audit in accordance with section 476 of the Companies Act 2006.

The directors acknowledge their responsibilities for complying with the requirements of the Act with respect to accounting records and the preparation of accounts.

Company activities and impact

Hitorically the principle activity of the Diss Community Team has been to support the commercial activity of the 'high street' by organising events to bring people to the town and latterly to encourage start up and growing businesses. This has been done by taking short term leases on empty shops and offering space to these businesses on very genrous terms. This not only benefits the businesses but provides incentives for people to visit Diss. The charity, The Diss Heritage Triangle Trust CIO, had similar objectives to the Team and both boards and members decided the town would be better served if the two bodies 'combined'. During the year, the assets, liabilities and obligations of the Team were passed to the Trust and its trading subsidiary, Bees of Diss Ltd, and the activities of the Team became restricted to wrapping up its business. The Trust continues the work of the Team successfully.

Consultation with stakeholders

The stakeholders were Members of the Company, the Town Council and independent traders. Bimonthly meetings had been held as a general forum about activities in Diss and the 'merger' with The Diss Heritage Triangle CIO was discussed at several meetings and was agreed to be a sensible and practical move.

Directors' remuneration

No remuneration was received

Transfer of assets

Both the Diss Community Team CIC and Diss Heritage Triangle Trust CIO were asset locked companies. The stock, trade debtors and trade liabilities of the Team were bought/ accepted by Bees of Diss Ltd, the trading subsidiary of the Trust, at book value/ cost with appropriate and full payment. From 31 March 2024 the trading activities of the Team was transferred to Bees. From 1 August 2024, the Trust took on the lease of No 8 Market Place, Diss, and the obligations of the Team, by taking responsibility for the lease and the contracts for services. Any appropriate debtors or creditors were transferred from the Team to the Trust with appropriate and full payment. The Team then transferred £7,250 to the Trust under an asset locked transfer leaving the Team with a small cash balance to cope with possible liabilities.
