FOR THE YEAR ENDED 30 JUNE 2024
In order to assist you to fulfil your duties under the Companies Act 2006, we have prepared for your approval the financial statements of Tallington Lakes Activities Limited for the year ended 30 June 2024 which comprise the Statement of Financial Position and the related notes from the Company's accounting records and from information and explanations you have given us.
This report is made solely to the Director of Tallington Lakes Activities Limited in accordance with the terms of our engagement letter. Our work has been undertaken solely to prepare for your approval the financial statements of Tallington Lakes Activities Limited and state those matters that we have agreed to state to the Director of Tallington Lakes Activities Limited in this report. To the fullest extent permitted by law, we do not accept or assume responsibility to anyone other than Tallington Lakes Activities Limited and its Director for our work or for this report.
It is your duty to ensure that Tallington Lakes Activities Limited has kept adequate accounting records and to prepare statutory financial statements that give a true and fair view of the assets, liabilities, financial position, and profit of Tallington Lakes Activities Limited. You consider that Tallington Lakes Activities Limited is exempt from the statutory audit requirement for the year.
We have not been instructed to carry out an audit or review of the financial statements of Tallington Lakes Activities Limited. For this reason, we have not verified the accuracy or completeness of the accounting records or information and explanations you have given to us and we do not, therefore, express any opinion on the statutory financial statements.

The director considers that the Company is entitled to exemption from audit under section 477 of the Companies Act 2006 and members have not required the Company to obtain an audit for the year in question in accordance with section 476 of the Companies Act 2006.
The director acknowledges his responsibilities for complying with the requirements of the Companies Act 2006 with respect to accounting records and the preparation of financial statements.
The financial statements have been prepared in accordance with the provisions applicable to companies subject to the small companies regime and in accordance with the provisions of FRS 102 Section 1A - small entities.
The financial statements have been delivered in accordance with the provisions applicable to companies subject to the small companies regime.
The Company has opted not to file the profit and loss account in accordance with provisions applicable to companies subject to the small companies' regime.
The financial statements were approved and authorised for issue by the board and were signed on its behalf on 16 June 2025.
The notes on pages 3 to 7 form part of these financial statements.

Tallington Lakes Activities Limited is a private company limited by shares incorporated in England and Wales, United Kingdom. The address of the registered office is Barholm Rd, Tallington, Stamford PE9 4RJ.
The nature of the Company's operations and principal activities continued to be that of the provision of sports activity services.
2.Accounting policies

Basis of preparation of financial statements
|
The financial statements have been prepared under the historical cost convention unless otherwise specified within these accounting policies and in accordance with Section 1A of Financial Reporting Standard 102, the Financial Reporting Standard applicable in the UK and the Republic of Ireland and the Companies Act 2006.
The preparation of financial statements in compliance with FRS 102 requires the use of certain critical accounting estimates. It also requires management to exercise judgement in applying the Company's accounting policies (see note 3).
The directors have confirmed their financial support will be provided for the foreseeable future as and when required for the business. On this basis, the directors consider it appropriate to prepare the financial statements on a going concern basis.
Finance costs are charged to profit or loss over the term of the debt using the effective interest method so that the amount charged is at a constant rate on the carrying amount. Issue costs are initially recognised as a reduction in the proceeds of the associated capital instrument.
All borrowing costs are recognised in profit or loss in the year in which they are incurred.

Defined contribution pension plan
|
The Company operates a defined contribution plan for its employees. A defined contribution plan is a
pension plan under which the Company pays fixed contributions into a separate entity. Once the
contributions have been paid the Company has no further payment obligations.
The contributions are recognised as an expense in profit or loss when they fall due. Amounts not paid
are shown in accruals as a liability in the Statement of Financial Position. The assets of the plan are
held separately from the Company in independently administered funds.
Short-term debtors are measured at transaction price, less any impairment. Loans receivable are measured initially at fair value, net of transaction costs, and are measured subsequently at amortised cost using the effective interest method, less any impairment.

Cash and cash equivalents
|
Cash is represented by cash in hand and deposits with financial institutions repayable without penalty on notice of not more than 24 hours. Cash equivalents are highly liquid investments that mature in no more than three months from the date of acquisition and that are readily convertible to known amounts of cash with insignificant risk of change in value.
Short-term creditors are measured at the transaction price. Other financial liabilities, including bank loans, are measured initially at fair value, net of transaction costs, and are measured subsequently at amortised cost using the effective interest method.
The Company only enters into basic financial instrument transactions that result in the recognition of
financial assets and liabilities like trade and other debtors and creditors, loans from banks and other
third parties, loans to related parties and investments in ordinary shares.

Judgements in applying accounting policies and key sources of estimation uncertainty
|
In the application of the company's accounting policies, the directors are required to make judgements,estimates and assumtions about the carrying amounts of assets and liablities that are not readly apparent from other sources. The estimates and assoicated assumptions are based on historical experience and other factors that are considered to be relevant. Actual results may differ from these estimates.
The estimates and underlying assumptions are reviewed on an ongoing basis. Revisions to accounting estimates are recognised in the period in which the estimates is revised where the revision affects only that period or in the period of the revision and future periods where the revision affects both current and future periods.

The Company operates a defined contributions pension scheme. The assets of the scheme are held separately from those of the Company in an independently administered fund. Related party transactions
|

The company has taken advantage of the exemption available under FRS 102 section 33.1A where disclosures of transactions between group members are not required, provided that the subsidiary is wholly owned.
As at the year end, the Company were owed £85,000 (2023: £85,000) by Tallington Lakes Land Limited, a company under common control.
As at the year end, the Company were owed £321,948 (2023: £321,948) by Tallington Holdings Limited, the parent company of Tallington Lakes Activities Limited.
As at the year end, the Company were owed £1,918 (2023: £1,917) by Tallington Lakes Limited, a company under common control.
As at the year end, the Company were owed £15,358 (2023: £15,358) by Leisure Site Limited, a company under common control.
As at the period end, the Company were owed £328,217 (2023: £336,901 owed to) by Activities Venture Limited, a company under common control.
As at the year end, the Company owed £329,546 (2023: £329,546) to Tallington Lakes Site Limited, a company under common control.
As at the year end, the Company owed £690,427 (2023: £690,427) to Tallington Lakes Sales Limited, a company under common control.
As at the period end, the Company owed £30,000 (2023: £30,000) to Tallington Lakes Restaurant and Bar Limited, a company under common control.
As at the period end, the Company owed £26,192 (2023: £Nil) to Lakeside Clubhouse Limited, a company under common control.
As at the year end, the Company owed £2,934 to N Morgan, a director in the company.

The company is controlled by Tallington Holdings Limited.
