| The trustees who are also directors of the charity for the purposes of the Companies Act 2006, present their report with the financial statements of the charity for the year ended 30 November 2024. The trustees have adopted the provisions of Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019). |
| OBJECTIVES AND ACTIVITIES |
| Objectives and aims |
| The main objectives are to develop, operate and maintain a world class centre for the study, interpretation and promotion of St Kilda as the UK's only dual UNESCO World Heritage Site and deliver significant cultural and economic benefits across the Outer Hebrides. |
| ACHIEVEMENTS AND PERFORMANCE |
| Annual Report 2023-2024 |
| The Board |
| Mrs Mairi MacDonald and Mr Norman MacDonald have stood down as directors of Ionad Hiort. The Board extend their gratitude to them for their invaluable contribution to the project over many years. |
| Ionad Hiort Project: Current position |
| RIBA Stage 4 was completed in May 2024 and Full Planning Permission which included an Environmental Impact Assessment was grated in August 2024. |
| Indicative construction costs, provided by three local contractors each estimated a 50 per cent increase in the anticipated cost of the project, this was due to spiralling inflation and a sharp rise in island building costs. |
| Content and Interpretation has been completed to RIBA Stage 3. The final Interpretation will be completed in early 2025. |
| Finance |
| VAT Registration June 2023: Ionad Hiort became registered for VAT return including the VAT paid on all funding so far. |
| Grant Aid: Funding from HIE and CNES has enabled Ionad Hiort to complete all pre-construction costs. |
| The IH Board continue to work with the local authority and HIE to secure funding for the Islands Economic Deal and for Levelling Up. |
| Cost escalation has created a greater level of uncertainty. In addition the funding already anticipated and secured is subject both to timescales (to be used by a certain date or risk the grant being rescinded) and to the necessity of match funding being in place. |
| Project Management |
| The Board extend their gratitude to Martin Sinclair of Gardiner and Theobald for his work as Ionad Hiort project manager over the past few years. Ionad Hiort Project management will now be in abeyance until such a time as funding becomes available for construction. |
| FINANCIAL REVIEW |
| Principal funding sources |
| Funding has been provided by Highlands and Islands Enterprise and Comhairle nan Eiliean Siar. |
| Reserves policy |
| The trustees are committed to have the necessary funding in place before the project commences. |
| FUTURE PLANS |
| The objectives for the following year include: |
| - Continuing with project development and content interpretation |
| - Identifying and pursuing funding opportunities |
| - Continuing engagement with local authority officers |

| STRUCTURE, GOVERNANCE AND MANAGEMENT |
| Governing document |
| The company is a charitable company, limited by guarantee, incorporated on 1 November 2010. The company was established under a Memorandum of Association which established the objects and powers of the charitable company, and is governed under its Articles of Association. In the event of the company being wound up members are required to contribute an amount not exceeding £1. |
| Recruitment and appointment of new trustees |
| The directors of the company are also charity trustees for the purpose of charity law. |
| The directors are appointed at the Annual General Meeting under the terms of the Memorandum and Articles of Association. At each annual general meeting one third of the directors, other than the nominated directors, being those who have been longest in office since they were last elected at an annual general meeting shall retire from office, but may, subject to the Memorandum and Articles of Association, offer themselves for re-election. |
| Organisational structure |
| The structure of the company consists of the members who elect people to serve as trustees. The members of the company with effect from the adoption of the Articles of Association were nominated by the St Kilda Development Group. Any other persons interested in the company's objects may be admitted as members by the trustees from time to time in accordance with the Articles of Association. |
| The members elect people to serve as trustees. The maximum number of trustees shall be 12. |
| In addition there will be an Advisory Council which will provide advice to the trustees on such matters relating to the operations of the Company as shall be referred, by the trustees, to the Advisory Council from time to time.The Advisory Council shall consist of such persons (either individuals or nominees of organisations with an interest in St Kilda or the operations of the Company, the Centre or the Collection) as the trustees shall appoint to the Advisory Council. |

| STATEMENT OF TRUSTEES' RESPONSIBILITIES |
| The trustees (who are also the directors of Ionad Hiort for the purposes of company law) are responsible for preparing the Report of the Trustees and the financial statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice). |
| Company law requires the trustees to prepare financial statements for each financial year which give a true and fair view of the state of affairs of the charitable company and of the incoming resources and application of resources, including the income and expenditure, of the charitable company for that period. In preparing those financial statements, the trustees are required to |
| - | select suitable accounting policies and then apply them consistently; |
| - | observe the methods and principles in the Charity SORP; |
| - | make judgements and estimates that are reasonable and prudent; |
| - | prepare the financial statements on the going concern basis unless it is inappropriate to presume that the charitable company will continue in business. |
| The trustees are responsible for keeping proper accounting records which disclose with reasonable accuracy at any time the financial position of the charitable company and to enable them to ensure that the financial statements comply with the Companies Act 2006. They are also responsible for safeguarding the assets of the charitable company and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities. |

| Respective responsibilities of trustees and examiner |
| The charity's trustees are responsible for the preparation of the accounts in accordance with the terms of the Charities and Trustee Investment (Scotland) Act 2005 and the Charities Accounts (Scotland) Regulations 2006 (as amended). The charity's trustees consider that the audit requirement of Regulation 10(1)(a) to (c) of the Accounts Regulations does not apply. It is my responsibility to examine the accounts as required under Section 44(1)(c) of the Act and to state whether particular matters have come to my attention. |
| Basis of the independent examiner's report |
| My examination was carried out in accordance with Regulation 11 of the Charities Accounts (Scotland) Regulations 2006. An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts, and seeking explanations from you as trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit, and consequently I do not express an audit opinion on the view given by the accounts. |

| In connection with my examination, no matter has come to my attention : |

| 1. | ACCOUNTING POLICIES |
| Basis of preparing the financial statements |
| The financial statements of the charitable company, which is a public benefit entity under FRS 102, have been prepared in accordance with the Charities SORP (FRS 102) 'Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)', Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' and the Companies Act 2006. The financial statements have been prepared under the historical cost convention. |

| All income is recognised in the Statement of Financial Activities once the charity has entitlement to the funds, it is probable that the income will be received and the amount can be measured reliably. |
| Expenditure |
| Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to that expenditure, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings they have been allocated to activities on a basis consistent with the use of resources. |
