The financial statements have been prepared under the historical cost convention and in accordance with FRS 105 'The Financial Reporting Standard applicable to the Micro-entities Regime'.

Reclassification of comparative amounts

The accounts have been prepared in accordance with FRS105. There has been a change in accounting policy and the accounts have been restated to no longer include any provision for deferred tax. This change in accounting policy has resulted in the profit and loss account reserves at 31 December 2023 increasing in value by £73,564. The prior year accounts include an adjustment to reduce the value of provisions for liabilities by this amount.

The average number of persons employed by the company (including directors) during the year, was 5 (2023 - 3).

Financial commitments, guarantees and contingencies

Amounts not provided for in the balance sheet

The total amount of financial commitments not included in the balance sheet is £18,044 (2023 - £21,375).

Amounts disclosed in the balance sheet

Included in the balance sheet are financial commitments of £83,641 (2023 - £25,834). The financial commitments relate to bank loans which are secured by the government and hire purchase liabilities which are secured on the assets to which the loans relate.

Related party transactions

Transactions with directors

During the year a director had the benefit of a loan. At the beginning of the year the company owed the director £905. During the year the director was advanced £148,509 by the company and repaid £126,138. At the year end the balance owed by the director was £21,466. Interest was charged on the loan at the official rate of interest and the loan was repaid in full on 6 April 2025.

Directors' guarantees

During the year the company entered into the following guarantee on behalf of the directors:

The company provided security for a loan, satisfied on 25 September 2024 when the loan was repaid, by way of a fixed and floating charge over the assets of the company on behalf of H M Owen. The maximum liability that may be incurred by the company is £521,885 (2023 - £521,885). In fulfilling the guarantee the amount paid and liability incurred amounted to £Nil (2023 - £Nil). £Nil was repaid during the year (2023 - £Nil).

For the financial year ending 31 December 2024 the company was entitled to exemption from audit under section 477 of the Companies Act 2006 relating to small companies.

Directors' responsibilities:

The members have not required the company to obtain an audit of its accounts for the year in question in accordance with section 476; and

The directors acknowledge their responsibilities for complying with the requirements of the Act with respect to accounting records and the preparation of accounts.

These financial statements have been prepared in accordance with the micro-entity provisions of the Companies Act 2006 and delivered in accordance with the provisions applicable to companies subject to the small companies regime.
