2. ACCOUNTING POLICIES

Basis of preparing the financial statements
These financial statements have been prepared in accordance with Financial Reporting Standard 102 "The Financial Reporting Standard applicable in the UK and Republic of Ireland" including the provisions of Section 1A "Small Entities" and the Companies Act 2006. The financial statements have been prepared under the historical cost convention.

Turnover
Revenue is measured at the fair value of the consideration received or receivable, excluding discounts, rebates, value added tax and other sales taxes.

Tangible fixed assets
Depreciation is provided at the following annual rates in order to write off each asset over its estimated useful life.
Fixtures and fittings - 20% on cost

Investment property
The investment properties have been stated at cost as some of the properties are still under development or refurbishment as at balance sheet date therefore the total market value of the property portfolio cannot be estimated.

Taxation
Taxation for the period comprises current and deferred tax. Tax is recognised in the Income Statement, except to the extent that it relates to items recognised in other comprehensive income or directly in equity.

Current or deferred taxation assets and liabilities are not discounted.

Current tax is recognised at the amount of tax payable using the tax rates and laws that have been enacted or substantively enacted by the statement of financial position date.

2. ACCOUNTING POLICIES - continued
Deferred tax
Deferred tax is recognised in respect of all timing differences that have originated but not reversed at the statement of financial position date.

Timing differences arise from the inclusion of income and expenses in tax assessments in periods different from those in which they are recognised in financial statements. Deferred tax is measured using tax rates and laws that have been enacted or substantively enacted by the period end and that are expected to apply to the reversal of the timing difference.

Unrelieved tax losses and other deferred tax assets are recognised only to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits.

Going concern
The company has net liabilities of £273,309. The accounts have been prepared on going concern basis as the directors have confirmed that they will continue to provide financial support to the company for the foreseeable future.

5. INVESTMENT PROPERTY - continued

Investment property situated at 28 Woodchurch Road, Birkenhead, Merseyside CH42 9LW is under a charge from Mint Property Finance Limited. The charge was created on12th June 2024.

Investment property situated at 49 Knutsford Road, Manchester, M18 7NJ and 51 Knutsford Road, Manchester, M18 7NJ is under a charge from Ms Lending Spv 1 Limited. The charge was created on 5th July 2024.

Investment property situated at 76 Arkles Lane, Liverpool L4 2SP is under a charge from Mint Property Finance Limited. The charge was created on 18th September 2024.

Investment property situated at 47 Elm Road, Seaforth, Liverpool, L21 1BJ is under a charge from Together Commercial Finance Limited. The charge was created on 6th December 2024.

The loan amounting to £434,000 is secured by the way of charge on the property situated at 49 Knutsford Road, Manchester, M18 7NJ and 51 Knutsford Road, Manchester, M18 7NJ (disclosed as investment property). The charge was created in the name of Ms Lending Spv 1 Limited on 5th July 2024.

The loan amounting to £142,500 is secured by the way of charge on the property situated at 76 Arkles Lane, Liverpool L4 2SP (disclosed as investment property). The charge was created in the name of Mint Property Finance Limited on 18th September 2024.
