FOR THE YEAR ENDED 31 DECEMBER 2024

| 2. | ACCOUNTING POLICIES |
Basis of preparing the financial statements
The financial statements have been prepared under the historical cost convention except that as disclosed in the accounting policies certain items are shown at fair value.
Critical accounting judgements and key sources of estimation uncertainty
The company makes estimates and assumptions concerning the future. The resulting accounting estimate will by definition seldom equal the related actual results.
Investments in subsidiaries
Investments in subsidiaries are measured at cost less impairment.
Financial instruments
Cash and Cash Equivalents
Cash and cash equivalents comprise cash in hand, and call deposits and other short-term highly liquid investments that are readily convertible to a known amount of cash and are subject to an insignificant risk of change in value.
Share Capital
Ordinary shares are classified as equity. Equity instruments are measured at the fair value of the cash or other resources received or receivable, net of the direct costs of issuing the equity instruments. If payment is deferred and the time value of money is material, the initial measurement is on a present value basis.
Financial Assets
Basic financial assets including trade and other receivables are initially recognised at transaction price, unless the arrangement constitutes a financing transaction, where the transaction is measured at the present value of the future receipts discounted at a market rate of interest for a similar assets. Such assets are subsequently carried at amortised cost using effective interest method.
At the end of each reporting period financial assets measured at amortised cost are assessed for objective evidence of impairment. If an asset is impaired the impairment loss is the difference between the carrying amount and the present value of the estimated cash flows discounted at the asset's original effective interest rate. The impairment loss and any subsequent reversal is recognised in profit or loss.
Financial assets are derecognised when (a) the contractual rights to the cash flows from the asset expire or are settled, or (b) substantially all the risks and rewards of the ownership of the asset are transferred to another party or (c) control of the asset has been transferred to another party who has the practical ability to unilaterally sell the asset to an unrelated third party without imposing additional restrictions.
Financial Liabilities
Basic financial liabilities, including trade and other payables, bank loans, loans from fellow group companies and preference shares that are classified as debt, are initially recognised at transaction price, unless the arrangement constitutes a financing transaction, where the debt instrument is measured at the present value of the future receipts discounted at a market rate of interest for a similar debt instrument.
Debt instruments are subsequently carried at amortised cost, using effective interest rate method. Financial liabilities are derecognised when the liability is extinguished, that is when the contractual obligation is discharged, cancelled or expires.

| 2. | ACCOUNTING POLICIES - continued |
Taxation
Taxation for the year comprises current and deferred tax. Tax is recognised in the Income Statement, except to the extent that it relates to items recognised in other comprehensive income or directly in equity.
Current or deferred taxation assets and liabilities are not discounted.
Current tax is recognised at the amount of tax payable using the tax rates and laws that have been enacted or substantively enacted by the balance sheet date.
Deferred tax
Deferred tax is recognised in respect of all timing differences that have originated but not reversed at the balance sheet date.
Timing differences arise from the inclusion of income and expenses in tax assessments in periods different from those in which they are recognised in financial statements. Deferred tax is measured using tax rates and laws that have been enacted or substantively enacted by the year end and that are expected to apply to the reversal of the timing difference.
Unrelieved tax losses and other deferred tax assets are recognised only to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits.
Going concern
The company's ability to operate as a going concern. The board of Coverings Limited undertook an assessment of the ability of the company to continue in operation and meet its liabilities as they fall due. The company's assessment was made available to the directors of the subsidiary. The directors did consider that this assessment indicated the existence of a material uncertainty which may cast doubt about the company's ability to continue as a going concern. The directors have made appropriate enquiries of the company and have identified matters which impact their conclusion regarding the ability to continue as a going concern. The former subsidiary has provided this company with an undertaking that for at least 12 months from the date of approval of these financial statements, it will continue to make available such funds as are needed by the company and will not seek repayment of the amounts owed or further amounts made available.
For the year ending 31 December 2024 the company has made a profit for the financial period of £2,878,234 (Dec 2023- loss £5,134,554). The balance sheet as at 31 December 2024 shows an insolvent position of £6,994,021 (December 2023- deficit £9,872,255).
From the trading results obtained above it would seem to indicate that the company's ability to operate as a going concern may be inappropriate. The continuing ability of the company to trade as a going concern is linked to the non-withdrawal of creditor loans advanced to the company by its former subsidiary company.
