The company is entitled to exemption from audit under Section 480 of the Companies Act 2006 for the year ended 31 December 2024.

The members have not required the company to obtain an audit of its financial statements for the year ended 31 December 2024 in accordance with Section 476 of the Companies Act 2006.

The director acknowledges his responsibilities for:

(a)	ensuring that the company keeps accounting records which comply with Sections 386 and 387 of the Companies Act 2006 and

(b)

preparing financial statements which give a true and fair view of the state of affairs of the company as at the end of each financial year and of its profit or loss for each financial year in accordance with the requirements of Sections 394 and 395 and which otherwise comply with the requirements of the Companies Act 2006 relating to financial statements, so far as applicable to the company.

The financial statements have been prepared and delivered in accordance with the provisions applicable to companies subject to the small companies regime.

In accordance with Section 444 of the Companies Act 2006, the Income Statement has not been delivered.

1.	STATUTORY INFORMATION

Requis UK Limited is a private company, limited by shares , registered in England and Wales. The company's registered number and registered office address can be found on the Company Information page.

The presentation currency of the financial statements is the Pound Sterling (£).

2.	ACCOUNTING POLICIES

Basis of preparing the financial statements

These financial statements have been prepared in accordance with Financial Reporting Standard 102 "The Financial Reporting Standard applicable in the UK and Republic of Ireland" including the provisions of Section 1A "Small Entities" and the Companies Act 2006. The financial statements have been prepared under the historical cost convention.

A going concern basis has been used, notwithstanding the deficiency in shareholders' funds on the basis that Requis Inc, US, the parent undertaking, has undertaken to continue to provide such financial support may be required for the continuation of the company's business for at least twelve months from the date of approval of these accounts. The director has considered the financial position of the company and has concluded that the company is able to meet its liabilities as they fall due for the period of at least twelve months from the date of approval of these accounts.

The company was dormant throughout the year ended 31 December 2024. However, reference to information relating to the year ended 31 December 2023 has been made where appropriate.

Related party exemption

The company has taken advantage of exemption, under the terms of Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland', not to disclose related party transactions with wholly owned subsidiaries within the group.

6.	RELATED PARTY DISCLOSURES

The company is wholly owned by Requis Inc. which itself is owned by Worley Group Inc and 6Fusion.

The accounts of Requis UK Limited are included in the consolidated financial statements of Requis Inc whose registered office address is 21 Waterway Avenue, Suite 300, The Woodlands, TX 77380, USA.

The amount owed by the company to Requis Inc at 31 December 2024 was £45,306 (2023 : £45,306) and the amount of interest charged on the loan during this period was £nil; the loan is repayable by 31 December 2025.

7.	ULTIMATE CONTROLLING PARTY

The controlling party is Requis Inc.

The company is controlled by the owners and directors of 6Fusion and Worley.
