General information

Leaderboard Golf Courses (Oxfordshire) Limited is a private company limited by shares which is incorporated in England and Wales.
The address of its registered office is Sandford Springs, Wolverton, Tadley, Hampshire, RG26 5RT.
The address of the company's place of business is The Oxfordshire Golf Club, Milton Common, Thame, Oxfordshire, OX9 2PU.
 

2.Accounting policies

Basis of preparation of financial statements

The financial statements have been prepared under the historical cost convention and in accordance with Section 1A of Financial Reporting Standard 102, the Financial Reporting Standard applicable in the United Kingdom and the Republic of Ireland and the Companies Act 2006.
Monetary amounts in these financial statements are stated in pounds sterling and are rounded to the nearest whole £1, except where otherwise indicated.
The following principal accounting policies have been applied:

Going concern

The Company is reliant on the financial support by way of loans from the ultimate parent company and ultimate shareholder. Having taken into account all available information about the Company’s trading prospects and cash flow requirements for 12 months from the date of approval of the financial statements, the directors consider that the debt will not be called in and the Company will continue as a going concern.

Tangible fixed assets

Tangible fixed assets under the cost model are stated at historical cost less accumulated depreciation and any accumulated impairment losses. Historical cost includes expenditure that is directly attributable to bringing the asset to the location and condition necessary for it to be capable of operating in the manner intended by management.

Depreciation is provided on the following basis:

The cost of freehold land and buildings is depreciated to a residual value of 50% at variable annual rates over 50 years; 1% for the first 15 years, 2% for the next 15 years and 2.75% for the final 20 years.
Freehold land has not been depreciated.
The freehold land and buildings are occupied by another group entity and are accounted for under the cost model.  
The assets' residual values, useful lives and depreciation methods are reviewed, and adjusted prospectively if appropriate, or if there is an indication of a significant change since the last reporting date.
Gains and losses on disposals are determined by comparing the proceeds with the carrying amount and are recognised within 'other operating income' in the Statement of Income and Retained Earnings.

 
2.4

Valuation of investments

Investments in subsidiaries are measured at cost less accumulated impairment.

Debtors

Short-term debtors are measured at transaction price, less any impairment.

Cash and cash equivalents

Cash is represented by cash in hand and deposits with financial institutions repayable without penalty on notice of not more than 24 hours.

Creditors

Short-term creditors are measured at the transaction price. Other financial liabilities, including bank loans, are measured initially at fair value, net of transaction costs, and are measured subsequently at amortised cost using the effective interest method.

Financial instruments

The company only enters into basic financial instrument transactions that result in the recognition of
financial assets and liabilities like trade and other debtors and creditors, loans from banks and other
third parties, loans to related parties and invesments in ordinary shares.

Judgements in applying accounting policies and key sources of estimation uncertainty

Estimates and judgements are continually evaluated and are based on historical experience and other factors, including expectations of future events that are believed to be reasonable under the circumstances.  
Specifically, the value of the investment in subsidiary companies has been reviewed by the directors for indicators of impairment.  They have assessed the carrying value of the investments at the year-end to be £1,697,082 (2023: £1,697,082), being the cost value which is assessed to be less than the fair value of the investment based on the expected future performance of the subsidiary.  By their nature, valuations of private companies are subjective, and so these estimations naturally carry some uncertainty.
In addition to this, the cost of freehold buildings and course development is depreciated to a residual value of 50% at variable annual rates over 50 years; 1% for the first 15 years, 2% for the next 15 years and 2.75% for the final 20 years.  The net book value at the year end was £11,708,604 (2023:  £11,765,992) with a depreciation charge in the year of £57,388 (2023: £57,388). The policy has been reviewed by the directors who consider this to still be appropriate as the building carries a significant residual value. The depreciation policy increases over the 50 years as the longer the property is held, the greater the upkeep cost and therefore, the greater the charge.

Taxation

The company has estimated losses of £2,600,598 (2023: £2,570,989) available for carry forward against future trading profits.


5.


Employees

The average monthly number of employees, including directors, during the year was 4 (2023 - 4).

Financial commitments and guarantee

A facility exists, dated 06 April 2018, in favour of the company's banker, which gives a cross guarantee to bank borrowings of group companies.  The parties to the guarantee are Leaderboard Golf Holdings Limited, Dale Hill Hotel & Golf Limited, Leaderboard Golf Courses (Oxfordshire) Limited, Leaderboard Golf Courses (Sandford Springs) Limited, Leaderboard Golf Courses (Dale Hill) Limited, Leaderboard Golf Courses (Anaconda) Limited, The Oxfordshire Golf Club Limited, Sandford Springs Limited. As at the balance sheet date there were no bank borrowings by any of the aforementioned companies.

Related party transactions

The tangible fixed assets owned by this company are used in the trade of the subsidiary company, The Oxfordshire Golf Club Limited, and no rent is charged.

Controlling party

The ultimate controlling party is P. Gibbons, a director of the company, by virtue of his 100% shareholding and directorship of the parent company, Leaderboard Golf Holdings Limited, a company registered in the United Kingdom. 
Leaderboard Golf Holdings Limited prepares group financial statements and copies can be obtained from Companies House, Cardiff, CF4 3UZ.

The auditors' report on the financial statements for the year ended 31 December 2024 was unqualified.
