| The director presents his strategic report for the period 1 May 2024 to 31 December 2024. |
| REVIEW OF BUSINESS |
| The business is a franchise operation with two brands of Your Move and Reeds Rains based in London and the Southeast of England. The business was an acquisition of 30 offices from a trading corporate Estate Agency (LSL Property Services). |
| The accounting period covers 8 months to end 31 December so as to align with internal reporting by calendar year. The business benefitted with positive trading at the tail end of 2023 which ensured strong pipeline of residential fees as we turned the year into 2024. Transactional speed for the residential sales market remains a constant challenge with record levels of lender and conveyancer enquiries reported on transactions, this has led to the slow transactional speed throughout 2024 in London and the Southeast. Overall sales activity remained stable throughout 2024, and the business continued to benefit from a reduction of costs started in May 2023 which enhanced our overall results. |
| The Lettings Market continued to be positive throughout the year, supply of new instructions fell marginally in the second half of 2024 compared to the same period in 2023 but with continued high tenant demand rents continued to rise in most locations throughout 2024 with London seeing accelerated rental inflation against the backdrop of the UK by November 2024. |
| The ongoing uncertainty surrounding legislation changes alongside tax changes continued to affect Landlord instructions though, while evidence have suggested accidental landlords have exited the market, many of these properties have been purchased by more institutional landlords and recycled back into the market. Concern continues as to the effects of the pending Renters Rights Bill which is now expected to take effect early 2026 and whether it will further affect available stock levels in the private rental sector. |
| The business benefitted from an improved cost base in 2023 and maintained positive cost controls over the summer months which improved returns despite the disappointing residential transactional speed. The business has looked at several potential acquisitions through the second half of 2024 and continue to do so, we are however committed to ensuring any acquisition is the right fit for the business and that we acquire in line with market values. |

| PRINCIPAL RISKS AND UNCERTAINTIES |
| The Move South board regularly reviews risks facing the business and strategically plans to mitigate these whether short or long term. Principle risks are set out below. |
| Residential Sales Market |
| As a business we are directly linked to UK economic factors which also affect customer sentiment which is cyclical. The interest rate changes during the second half of 2024 were welcomed, the cuts didn't affect the wholesale mortgage market at the back of the year with the fear of rising inflation. Despite this sales activity in the second half of the year increased over the same period in 2023 as buyer demand continued to grow. House price inflation slowed in London and the Southeast compared to previous years with little or negative growth at the higher end of the market (1.6m+). |
| The revenue mix between sales and lettings does benefit Move South and helps mitigate the effects of any softening of the residential sales market. |
| Lettings and Property Management |
| A mentioned the principal risks in the lettings market remain the shortage of new stock coming to the market and the backdrop of further legislation with the Renters Reform Bill still to gain royal ascent. The business continues to inform Landlords regularly of the potential changes to maintain Landlord confidence, not all changes proposed are negative, so it remains crucial to communicate a balanced view. The real risk is that legislative changes may have a sobering effect on new lettings instructions to the market as well as existing stock being supressed. It seems the industry will have to wait until 2026 to understand the real effect of the proposed changes though as a business we remain confident that many Landlords will continue to maintain a long-term approach to their investment portfolio. |
| Property management could see some benefits with the enhancement of new technology and Move South Limited is committed to being at the forefront of investing and introducing and improvements to software that may help its customers. |
| Regulatory Compliance |
| We expect this to feature heavily in the years to come and as a business we will ensure we fully meet changes to future legislation. Compliance in this area is essential, and we will maintain close communication with regulating and industry bodies to shape the business and implement any changes within specified timescales. LSL Property Services as the franchisor also delivers Move South with overarching support through online training for staff and a wider source of information relevant to impending changes. |
| Employee Retention |
| During 2024 Move South Limited kept employee retention as a priority and made a minor reduction to operating hours to benefit employees, we maintain a flexible approach to contracted hours and have maintained levels of pay at entry level to be in excess or the National Living Wage requirements. We continue to work hard to not only attract the best new candidates but to encourage internal promotion and offer a career path for existing employees of the business. |
| Move South Limited continues to review remuneration schemes regularly to ensure we are not only competitive but attractive as an employer. As a business we are active in searching for enhancements in technology to support our employees to deliver the highest standards of customer service through highly trained and informed staff. |
| Cashflow |
| Due to the nature of the sales market and its direct link to the UK economy, cashflow remains a principal risk. We have continued to focus on creating a positive balance sheet and ensuring we have cash reserves to support the business. The business has strategic goals in place to continue to grow the balance sheet and will have the ability to draw on additional financing should the need arise. |

| During 2024 we have undertaken a review of the branch network structure and made changes that will invest in experienced staff enabling us to better utilise their wealth of experience and knowledge of the industry. | PRINCIPAL ACTIVITY |
| The principal activity of the company in the period under review was that of residential property estate agency and residential letting and property management. |
| DIVIDENDS |
| The total distribution of dividends for the period ended 31 December 2024 is £nil. |
| EVENTS SINCE THE END OF THE PERIOD |
| Information relating to events since the end of the period is given in the notes to the financial statements. |
| DIRECTOR |
| FINANCIAL INSTRUMENTS |
| The company's principal financial instruments comprise bank balances, trade creditors, trade debtors, drawdown facility from the franchisor and operating lease agreements. The main purpose of these instruments is to finance the company's operations. |
| Due to the nature of the financial instruments used by the company there is no exposure to price risk. The company's approach to managing other risks applicable to the financial instruments concerned is shown below. |
| In respect of bank balances, the liquidity risk is managed by maintaining a balance between the continuity of funding and flexibility through the use of overdrafts at floating rates of interest. |
| The company's operating lease commitments are in respect of the property from which the company operates. The liquidity risk in respect of these is managed in the same way as bank balances above. |
| The company's trade debtors are recovered via the solicitors upon completion of property sales and lettings. These are managed in respect of credit and cash flow risk by policies concerning the credit offered to customers and the regular monitoring of amounts outstanding for both time and credit limits. |
| Trade creditors and drawdown facility liquidity risk is managed by ensuring sufficient funds are available to meet amounts due. |
| STATEMENT OF DIRECTOR'S RESPONSIBILITIES |
| The director is responsible for preparing the Strategic Report, the Report of the Director and the financial statements in accordance with applicable law and regulations. |
| Company law requires the director to prepare financial statements for each financial year. Under that law the director has elected to prepare the financial statements in accordance with United Kingdom Generally Accepted Accounting Practice (United Kingdom Accounting Standards and applicable law), including Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland'. Under company law the director must not approve the financial statements unless he is satisfied that they give a true and fair view of the state of affairs of the company and of the profit or loss of the company for that period. In preparing these financial statements, the director is required to: |
| - | select suitable accounting policies and then apply them consistently; |
| - | make judgements and accounting estimates that are reasonable and prudent; |
| - | prepare the financial statements on the going concern basis unless it is inappropriate to presume that the company will continue in business. |
| The director is responsible for keeping adequate accounting records that are sufficient to show and explain the company's transactions and disclose with reasonable accuracy at any time the financial position of the company and enable him to ensure that the financial statements comply with the Companies Act 2006. He is also responsible for safeguarding the assets of the company and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities. |

| We have audited the financial statements of Move South Limited (the 'company') for the period ended 31 December 2024 which comprise the Statement of Income and Retained Earnings, Balance Sheet, Cash Flow Statement and Notes to the Cash Flow Statement, Notes to the Financial Statements, including a summary of significant accounting policies. The financial reporting framework that has been applied in their preparation is applicable law and United Kingdom Accounting Standards, including Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' (United Kingdom Generally Accepted Accounting Practice). |
| In our opinion the financial statements: |
| - | give a true and fair view of the state of the company's affairs as at 31 December 2024 and of its profit for the period then ended; |
| - | have been properly prepared in accordance with United Kingdom Generally Accepted Accounting Practice; and |
| - | have been prepared in accordance with the requirements of the Companies Act 2006. |
| Basis for opinion |
| We conducted our audit in accordance with International Standards on Auditing (UK) (ISAs (UK)) and applicable law. Our responsibilities under those standards are further described in the Auditors' responsibilities for the audit of the financial statements section of our report. We are independent of the company in accordance with the ethical requirements that are relevant to our audit of the financial statements in the UK, including the FRC's Ethical Standard, and we have fulfilled our other ethical responsibilities in accordance with these requirements. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our opinion. |
| Conclusions relating to going concern |
| In auditing the financial statements, we have concluded that the director's use of the going concern basis of accounting in the preparation of the financial statements is appropriate. |
| Based on the work we have performed, we have not identified any material uncertainties relating to events or conditions that, individually or collectively, may cast significant doubt on the company's ability to continue as a going concern for a period of at least twelve months from when the financial statements are authorised for issue. |

| The director is responsible for the other information. The other information comprises the information in the Strategic Report and the Report of the Director, but does not include the financial statements and our Report of the Auditors thereon. |

| Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are free from material misstatement, whether due to fraud or error, and to issue a Report of the Auditors that includes our opinion. Reasonable assurance is a high level of assurance, but is not a guarantee that an audit conducted in accordance with ISAs (UK) will always detect a material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these financial statements. |
| Irregularities, including fraud, are instances of non-compliance with laws and regulations. We design procedures in line with our responsibilities, outlined above, to detect material misstatements in respect of irregularities, including fraud. Our approach toidentifying and assessing the risks of material misstatement in respect of irregularities, including fraud was as follows: |
| The engagement partner ensured that the engagement team collectively had the appropriate competence, capabilities and skillsto identify or recognise non-compliance with applicable laws and regulations: |

| - We assessed the extent of compliance with the laws and regulations identified above through making enquiries of management and inspecting legal correspondence; and Identified laws and regulations were communicated within the audit team and the team remained alert to instances of non-compliance throughout the audit. |
| We identified the greatest risk of material impact on the financial statements from irregularities, including fraud, to involve the |
| completeness and timing of income recognition and the override of controls by management. |
| To address the risk of fraud in relation to revenue recognition, we: |
| - Performed detailed substantive testing to address completeness and accuracy of sales; |
| - Assessed the appropriateness and application of the accounting policy concerning income recognition; and |
| -Performed detailed cut-off testing either side of the balance sheet date. |
| To address the risk of fraud through management bias and override of controls, we: |
| - Performed analytical procedures to identify any unusual or unexpected relationships; |
| - Tested journal entries to identify unusual transactions; |
| - Assessed whether judgements and assumptions made in determining the accounting estimates were indicative of potential bias; |
| -Investigated the rationale behind significant or unusual transactions. |
| Because of the inherent limitations of an audit, there is a risk that we will not detect all irregularities, including those leading to a material misstatement in the financial statements or non-compliance with regulation. This risk increases the more that compliancewith a law or regulation is removed from the events and transactions reflected in the financial statements, as we will be less likely to become aware of instances of non-compliance. The risk is also greater regarding irregularities occurring due to fraud rather than error, as fraud involves intentional concealment, forgery, collusion, omission or misrepresentation. |

| Basis of preparing the financial statements |
| In preparing the financial statements, the directors are required to make an assessment of the ability of the company to continue as a going concern. The directors have considered all available evidence for the company which covers the 12 month period from the date of signing these financial statements. |
| On the basis of this consideration, the directors are satisfied that the company has adequate resources to continue in operational existence and to meet its liabilities as they fall due for the foreseeable future. In reaching this conclusion they consider that no material uncertainty exists. As a result, the directors have concluded that it remains appropriate to adopt a going concern basis of preparation in these financial statements. |
| Turnover |
| Residential turnover is generated from residential property sales and is recognised upon exchange, when contracts of sale are signed. |
| Lettings turnover is generated from acting as property landlords' agent, and is recognised on a cash basis, with a year end adjustment for invoices raised not yet paid. |
| Tangible fixed assets |
| Taxation |
| Taxation for the period comprises current and deferred tax. Tax is recognised in the Income Statement, except to the extent that it relates to items recognised in other comprehensive income or directly in equity. |
| Current or deferred taxation assets and liabilities are not discounted. |
| Current tax is recognised at the amount of tax payable using the tax rates and laws that have been enacted or substantively enacted by the balance sheet date. |
| Deferred tax |
| Deferred tax is recognised in respect of all timing differences that have originated but not reversed at the balance sheet date. |
| Timing differences arise from the inclusion of income and expenses in tax assessments in periods different from those in which they are recognised in financial statements. Deferred tax is measured using tax rates and laws that have been enacted or substantively enacted by the period end and that are expected to apply to the reversal of the timing difference. |
| Unrelieved tax losses and other deferred tax assets are recognised only to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits. |
| Pension costs and other post-retirement benefits |
| The company operates a defined contribution pension scheme. Contributions payable to the company's pension scheme are charged to profit or loss in the period to which they relate. |

| 18. | POST BALANCE SHEET EVENTS |
| Subsequent to the year end, the company took advantage of the drawdown facility available from Your-Move.co.uk Limited as part of the franchise agreement in place. On 1 May 2025, £400,000 was drawn, repayable over a period of 24 months and subject to an interest charge of 8%. If funds allow, the company plan to repay the balance in advance of the agreed time frame and have, on 8 August 2025, made an additional repayment of £150,000. |
| The company has continued to take on the leases of it's offices as they fall due for renewal and since the year end has signed leases giving commitments on a further 4 properties. These give an operating lease liability of £720,000 for periods of up to 10 years. |
