| for the Year Ended 31 December 2024 |
| The trustees who are also directors of the charity for the purposes of the Companies Act 2006, present their report with the financial statements of the charity for the year ended 31 December 2024. The trustees have adopted the provisions of Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019). |
| OBJECTIVES AND ACTIVITIES |
| Objectives and aims |
| The directors shall hold the trust fund and its income upon trust to apply them for the following objects ("The Objects") particularly but not exclusively in Africa, namely:- |
| 1) To advance in life and relieve the needs of children and young people (who require by reason of their youth, poverty or social and economic circumstances) through: |
| a) The provision of recreational artistic and leisure time activities provided in the interests of social welfare, designed to improve their conditions of life; |
| b) Providing support and activities which develop their skills, capacities and capabilities to enable them to participate in society as mature independent and responsible individuals; |
| c) Through advancing education. |
| 2) To promote social inclusion of children and young people for the public benefit: by preventing them from becoming socially excluded, relieving the needs of those young people who are socially excluded and assisting them to integrate into society. |
| Significant activities |
| Provision of Children's Arts programmes, namely, |
| Dance and movement programmes encompassing all forms of dance (including ballet). |
| Drama - including basics of film making, poetry and lyric writing classes. |
| Music classes - singing and recording and the creation of their own percussion musical instruments and instruction in how to play. |
| Fabric design and printing and clay modelling workshop training. |
| Still life and creative painting classes and training in the use of photographic equipment. |
| Circus troupe technique and skills training. |
| Teacher training for Kenyan artists in Nairobi. |
| Public benefit |
| The Charity Trustees consider themselves to have complied with the duty in section 17(5) of the Charities Act 2011 to have due regard to the guidance published by the Charity Commission. |

| ACHIEVEMENTS AND PERFORMANCE |
| Charitable activities |
| French classical clarinettist, Ghislain Hervet and his English/ American wife Patty Hannock went to Nairobi in January 2024 for a month to introduce our planned classical music project and to run theatre workshops, and start work on the musical that the Kenya Team have been creating. |
| Ghislain taught clarinet to the music teacher, Gideon - and also to three students as well as advising on the music class generally and working alongside music teacher Melissa, and drama teacher Kades. Charity founder Bee Gilbert accompanied them on the trip. |
| They returned to Nairobi for 6 weeks in November and Patty edited and rewrote some of the dialogue for the musical and rehearsed with all the disciplines, creating a production where all the children participated, learning new skills. |
| Ghislain continued to teach the clarinet, saxophone and recorders and composed a wonderful score for the musical which was performed at the Art Centre in December in the presence of the French and German ambassadors who have supported the Centre for the last two years. The Alliance Francaise is interested in loaning their venue in Nairobi for the official premiere of the Show in December 2025. |
| In July we sent out a young RAD (Royal Academy of Dance) teacher (Ciara O'Rourke) to Nairobi for six weeks to teach ballet to the children and also help to update our local teacher Melvin to the next stages of the ballet programme. |
| In Malawi the circus team ran an intensive course in aerial skills, stilt walking etc - along side the art music and dance programmes. They worked in two schools and the project was filmed by Anno's 'Africa's co-founder Andrew Birkin who also taught film editing to the Art teacher Bilton. The children's art work was later shipped to the U.K. to be auctioned to raise funds for further programmes. |
| Fundraising activities |
| In September we held a concert in London at Ju Ju's club in Shoreditch where we exhibited and sold the children's work. The Cimera circus team performed an aerial display in the garden and various performers sang , including Adrian Dunbar, Wiyaala, Little Minx, Outpost Drive and Lucy Kitt. They were accompanied by the The Anno's Africa band and the evening raised enough money for the weekly classes in Malawi to continue to the end of the year as well as funding a Christmas holiday programme. |
| FINANCIAL REVIEW |
| Reserves policy |
| The charity has no policy regarding reserves in place. |
| FUTURE PLANS |
| Sadly we have decided to close down the Malawi programme this year as the high cost of fares and accommodation in the remote north of the country was making it very difficult to find the funding to continue. In addition, Bee Gilbert is retiring next year and there is no-one to take over the role that she has filled for the last 18 years. |
| However, the Anno's Africa programmes will continue in Kenya until the end of 2025 but will also wind down in December and thereafter the local Kenya CBO - Anno's One Fine Day - will take over all of the classes and outreach programmes. Meanwhile we hope to hold an art workshop in January 2025 to raise funds for the classes to be able to run until the end of the year and to hold the promised premiere of the musical at the Alliance Francaise as our closing event for the charity. |

| The charity is controlled by its governing document, a deed of trust, and constitutes a limited company, limited by guarantee, as defined by the Companies Act 2006. |

| STRUCTURE, GOVERNANCE AND MANAGEMENT |
| Recruitment and appointment of new trustees |
| The co-founders of the charity appointed trustees recruited amongst themselves, colleagues, associates and acquaintances within the Artistic Field. |
| The primary objective was to garner the requisite amount of expertise, both to initially set up and run the organisation, and also to allow significant future development. |
| The trustees are envisaged to remain in place until such a time as they no longer wish or are unable to continue for whatever reason. |
| In the event of the resignation of a trustee, the Charity will appoint a new member to the board of trustees, again recruited from suitable candidates within the Artistic Field. |

| I report to the charity trustees on my examination of the accounts of the Company for the year ended 31 December 2024. |
| Responsibilities and basis of report |
| As the charity's trustees of the Company (and also its directors for the purposes of company law) you are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 ('the 2006 Act'). |
| Having satisfied myself that the accounts of the Company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of your charity's accounts as carried out under Section 145 of the Charities Act 2011 ('the 2011 Act'). In carrying out my examination I have followed the Directions given by the Charity Commission under Section 145(5) (b) of the 2011 Act. |

| I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe: |
| 1. | accounting records were not kept in respect of the Company as required by Section 386 of the 2006 Act; or |
| 2. | the accounts do not accord with those records; or |
| 3. | the accounts do not comply with the accounting requirements of Section 396 of the 2006 Act other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an independent examination; or |

| 1. | ACCOUNTING POLICIES |
| Basis of preparing the financial statements |
| The financial statements of the charitable company, which is a public benefit entity under FRS 102, have been prepared in accordance with the Charities SORP (FRS 102) 'Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)', Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' and the Companies Act 2006. The financial statements have been prepared under the historical cost convention. |

| All income is recognised in the Statement of Financial Activities once the charity has entitlement to the funds, it is probable that the income will be received and the amount can be measured reliably. |
| Expenditure |
| Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to that expenditure, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings they have been allocated to activities on a basis consistent with the use of resources. |
