The directors present their report and the financial statements for the year ended 31 December 2024.

This report has been prepared in accordance with the micro-entity provisions of the Companies Act 2006 and in accordance with FRS 105 The Financial Reporting Standard applicable to the Micro-entities Regime.

Going concern

The financial statements have been prepared on a going concern basis. As at the balance sheet date, the company’s retained earnings were in deficit, principally as a result of an overdrawn director’s loan account. The director has confirmed their intention to repay the outstanding amount; however, at the date of approval of these financial statements, there remains uncertainty as to the timing and certainty of repayment. The directors have assessed the company’s cash flows, borrowing facilities, and other relevant information for a period of at least twelve months from the date of approval of these financial statements.

This report has been prepared in accordance with the special provisions relating to companies subject to the small companies regime within Part 15 of the Companies Act 2006.

For the financial year ending 31 December 2024 the company was entitled to exemption from audit under section 477 of the Companies Act 2006 relating to small companies.

Directors' responsibilities:

•	The members have not required the company to obtain an audit of its accounts for the year in question in accordance with section 476; and
•	The directors acknowledge their responsibilities for complying with the requirements of the Act with respect to accounting records and the preparation of accounts.

These financial statements have been prepared in accordance with the provisions applicable to companies subject to the micro entities regime and delivered in accordance with the provisions applicable to companies subject to the small companies regime. As permitted by section 444 (5A) of the Companies Act 2006, the directors have not delivered to the registrar a copy of the Profit and Loss Account.
