The Directors present their strategic report for the year ended 31 December 2024.
PMB Capital Limited ("PMB") is a merchant banking firm dedicated to the provision of advice and capital to business owners. Our core advisory services are in corporate finance, M&A and capital raising. PMB also structures direct investments in private equity, advising on investments made by funds managed by its subsidiary PMB Invest GP I S.a.r.l., an AIFM registered and authorised in Luxembourg. PMB operates from London and Luxembourg.
During the year the business generated £3.7m revenue. The revenue was predominantly generated from the completion of advisory transactions, retainer payments and management fees. PMB’s subsidiary, PMB Invest GP I S.a.r.l, is the General Partner to PMB Invest Fund I SCSp (the “Fund”), a private equity fund.
In Q1 2024, a transfer of control of the business was completed resulting in the appointment of new executive leadership in Joff Evans and Benno von Buchwaldt, who were both appointed to the board with one Director stepping down. The business continued to incur exceptional costs, as shown in the Consolidated Statement of Comprehensive Income, relating to the events of the prior year. The FY24 accounts reflect this legacy through exceptional costs and within the balance sheet. During the year, PMB worked with its accountants to continue the review of the balance sheet. The position at the end of this year is materially improved on the prior year, however the recovery process following the events of FY23 remains ongoing as reflected in the Company Balance Sheet within these statements.
The Board of Directors is responsible for the process of risk management throughout the Group and its trading subsidiaries, forming an opinion on the effectiveness of its processes of control and risk management. The Board actively monitors and manages risks, regularly reviewing strategic, financial and operational risks. Mitigating actions and associated assurance and reporting processes are identified for all 'high' and material risks, enabling the Board and its Directors to understand the context within which risks occur, and to identify areas for mitigation and increased organisation control.
The risk management process has identified certain key risks faced by the Group; which are summarised below. The risks identified do not necessarily comprise all the risks facing the Group, nor are they presented in any particular order of assessed impact or severity. Dependence on Key Personnel: Recruiting, developing and retaining key staff is key to the success of the PMB business. Two new employees were hired in the year, with one Director electing to step down from the Board and moving to a Senior Advisor role. Exposure to Global Macroeconomic Events: The majority of the revenues are generated in GBP, USD and EUR, while the vast majority of operating costs are in GBP. This exposes the Company to foreign exchange risks. The company considers and manages this exposure itself. The advisory business is a project business and therefore subjected to global M&A and transaction sentiment, particularly across the UK, Europe and the US.

Brand and Reputation:
A potential material damage to the brand and reputation of the firm could impact the firm’s ability to win new clients as well as retaining existing ones.
No dividends were declared and distributed in the year (2023: £Nil).
In March 2024 PMB, alongside PMB Invest GP I S.a.r.l and PMB Invest Fund I SCSp entered into a settlement agreement to settle claims against the former director who left in February 2023. Two new Senior Advisors were appointed in the year and, including the two independent members of the PMB Invest Investment Committee, we now have 15 Senior Advisors who actively assist the generation and execution of our assignments and investment opportunities.
The significant trade debtors position as at FY24 year-end related to a single, tranched, project. The fees for the remaining tranches of this project were received in Q1 and Q2 2025 respectively.
The year to date has seen the business successfully develop a significant probability assessed pipeline for transactions that are expected to complete in FY26.
This section describes how the Directors have had regard to the matters set out in section 172(1)(a) to (f) Companies Act 2006 in exercising their duty to promote the success of the Group for the benefit of its members as a whole. We consider the Groups major stakeholders to be our customers, employees, creditors, suppliers and shareholders.
Having regard to the likely consequences of any decision in the long term The Directors remain mindful that their strategic decisions can have long term implications for the business and its stakeholders and these implications are carefully assessed. Every effort is made to align customer and supplier partnerships with the strategic objectives of the Group. Having regard to the interests of the Group's employees The Group's policy is to consult and discuss with employees the matters likely to affect their interests. Townhall meetings combined with regular feedback and consultation meetings ensure matters of concern to employees and information is given to all employees. The executive Directors are based in our London offices and regularly attend meetings with all levels of employees. The Directors consider that, taken together, these arrangements deliver an effective means of ensuring the Board stays alert to the views of the workforce. Having regard to the need to foster the Group’s business relationships with suppliers, clients and others The executive Directors and team provide weekly updates to the Board on their perceptions of client sentiment and the market view. The interests of clients are considered in all key decisions. The Group has longstanding relationships with many of its suppliers and we work collaboratively to address any issues that arise. We are committed to ensuring that our supplier network complies with acceptable standards with regards to quality, social conditions and the environment.

The Directors are responsible for preparing the Group strategic report, the Directors' report and the consolidated financial statements in accordance with applicable law and regulations.
In preparing these financial statements, the directors are required to:

∙make judgements and accounting estimates that are reasonable and prudent;

We have audited the financial statements of PMB Capital Ltd (the 'parent Company') and its subsidiaries (the 'Group') for the year ended 31 December 2024, which comprise the Consolidated statement of comprehensive income, the Consolidated balance sheet, the Company balance sheet, the Consolidated statement of cash flows, the Consolidated statement of changes in equity, the Company statement of changes in equity and the related notes, including a summary of significant accounting policies. The financial reporting framework that has been applied in their preparation is applicable law and United Kingdom Accounting Standards, including Financial Reporting Standard 102 ‘The Financial Reporting Standard applicable in the UK and Republic of Ireland' (United Kingdom Generally Accepted Accounting Practice).
We conducted our audit in accordance with International Standards on Auditing (UK) (ISAs (UK)) and applicable law. Our responsibilities under those standards are further described in the Auditors' responsibilities for the audit of the financial statements section of our report. We are independent of the Group in accordance with the ethical requirements that are relevant to our audit of the financial statements in the United Kingdom, including the Financial Reporting Council's Ethical Standard and we have fulfilled our other ethical responsibilities in accordance with these requirements. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our opinion.
In auditing the financial statements, we have concluded that the Directors' use of the going concern basis of accounting in the preparation of the financial statements is appropriate.
Based on the work we have performed, we have not identified any material uncertainties relating to events or conditions that, individually or collectively, may cast significant doubt on the Group's or the parent Company's ability to continue as a going concern for a period of at least twelve months from when the financial statements are authorised for issue.

Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are free from material misstatement, whether due to fraud or error, and to issue an Auditors' report that includes our opinion. Reasonable assurance is a high level of assurance, but is not a guarantee that an audit conducted in accordance with ISAs (UK) will always detect a material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these Group financial statements.
Irregularities, including fraud, are instances of non-compliance with laws and regulations. We design procedures in line with our responsibilities, outlined above, to detect material misstatements in respect of irregularities, including fraud. The extent to which our procedures are capable of detecting irregularities, including fraud is detailed below:
In order to identify and assess the risks of material misstatements, including fraud and non-compliance with laws and regulations that could be expected to have a material impact on the financial statements, we have considered:
∙the results of our enquiries of management and those charged with governance of their assessment of the risks of fraud and irregularities;
∙the nature of the Group, including its management structure and control systems (including the opportunity for management to override such controls);
∙management’s incentives and opportunities for fraudulent manipulation of the financial statements including the group’s remuneration and bonus policies and performance targets; and
∙the industry and environment in which it operates.
We also considered UK tax legislation, laws and regulations relating to employment, pension legislation and the preparation and presentation of the financial statements such as the Companies Act 2006.
Based on this understanding we identified the following matters as being of significance to the entity:
∙laws and regulations considered to have a direct effect on the financial statements including UK financial reporting standards, Company Law, tax legislation and pension legislation;
∙the timing and recognition of income;
∙compliance with legislation relating to UK employment law and GDPR;
∙management bias in selecting accounting policies and determining estimates;
∙use of journal entries;
∙manipulation of specific performance measures to meet remuneration targets;
∙recoverability of debtors;
∙completeness of trade and other payables; and
∙completeness and valuation of fixed asset investments.
We communicated the outcomes of these discussions and enquiries, as well as consideration as to where and how previously unrecognised fraud may occur in the entity, to all engagement team members.

No instances of material non-compliance were identified. However, the likelihood of detecting irregularities, including fraud, is limited by the inherent difficulty in detecting irregularities, the effectiveness of the entity’s controls, and the nature, timing and extent of the audit procedures performed. Irregularities that result from fraud might be inherently more difficult to detect than irregularities that result from error. As explained above, there is an unavoidable risk that material misstatements may not be detected, even though the audit has been planned and performed in accordance with ISAs (UK).

PMB Capital Limited is a private company limited by shares and is incorporated in England and Wales. The company's registered office address is 49 St James's Street, London, SW1A 1JT.
2.Accounting policies
The financial statements have been prepared under the historical cost convention unless otherwise specified within these accounting policies and in accordance with Financial Reporting Standard 102, the Financial Reporting Standard applicable in the UK and the Republic of Ireland and the Companies Act 2006.
The preparation of financial statements in compliance with FRS 102 requires the use of certain critical accounting estimates. It also requires Group management to exercise judgement in applying the Group's accounting policies (see note 3).
The Company has taken advantage of the exemption allowed under section 408 of the Companies Act 2006 and has not presented its own Statement of comprehensive income and Statement of cash flows in these financial statements.
The following principal accounting policies have been applied:
The consolidated financial statements present the results of the Company and its own subsidiaries ("the Group") as if they form a single entity. Intercompany transactions and balances between group companies are therefore eliminated in full.
The consolidated financial statements incorporate the results of business combinations using the purchase method. In the Balance sheet, the acquiree's identifiable assets, liabilities and contingent liabilities are initially recognised at their fair values at the acquisition date. The results of acquired operations are included in the Consolidated statement of comprehensive income from the date on which control is obtained. They are deconsolidated from the date control ceases.
The financial statements have prepared the accounts on the going concern basis. The directors have considered the forecasts prepared for at least twelve months from the balance sheet date, and the directors consider it appropriate to prepare the accounts on a going concern basis. The business has successfully built a significant probability assessed pipeline of transactions, which are expected to close in FY26.

Depreciation is charged so as to allocate the cost of assets less their residual value over their estimated useful lives, on a reducing balance basis.
Depreciation is provided on the following basis:
The assets' residual values, useful lives and depreciation methods are reviewed, and adjusted prospectively if appropriate, or if there is an indication of a significant change since the last reporting date.
Gains and losses on disposals are determined by comparing the proceeds with the carrying amount and are recognised in profit or loss.
Impairment of tangible fixed assets
Assets that are subject to depreciation or amortisation are assessed at each balance sheet date to determine whether there is any indication that the assets are impaired. Where there is any indication that an asset may be impaired, the carrying value of the asset (or cash-generating unit to which the asset has been allocated) is tested for impairment. In the consolidated accounts, interests in associated undertakings are accounted for using the equity method of accounting. Under this method an equity investment is initially recognised at the transaction price (including transaction costs) and is subsequently adjusted to reflect the investors share of the profit or loss, other comprehensive income and equity of the associate. The Consolidated statement of comprehensive income includes the Group's share of the operating results, interest, pre-tax results and attributable taxation of such undertakings applying accounting policies consistent with those of the Group. In the Consolidated balance sheet, the interests in associated undertakings are shown as the Group's share of the identifiable net assets, including any unamortised premium paid on acquisition. Provisions are measured as the best estimate of the amount required to settle the obligation, taking into account the related risks and uncertainties.
The Group has elected to apply the provisions of Section 11 “Basic Financial Instruments” of FRS 102 to all of its financial instruments.
Financial instruments are recognised in the Group's Balance sheet when the Group becomes party to the contractual provisions of the instrument.
Financial assets and liabilities are offset, with the net amounts presented in the financial statements, when there is a legally enforceable right to set off the recognised amounts and there is an intention to settle on a net basis or to realise the asset and settle the liability simultaneously.
Basic financial assets
Basic financial assets, which include trade and other debtors, cash and bank balances, are initially measured at their transaction price (adjusted for transaction costs except in the initial measurement of financial assets that are subsequently measured at fair value through profit and loss) and are subsequently carried at their amortised cost using the effective interest method, less any provision for impairment, unless the arrangement constitutes a financing transaction, where the transaction is measured at the present value of the future receipts discounted at a market rate of interest.
Discounting is omitted where the effect of discounting is immaterial. The Group's cash and cash equivalents, trade and most other debtors due with the operating cycle fall into this category of financial instruments.

Other financial assets
Other financial assets, which includes investments in equity instruments which are not classified as subsidiaries, associates or joint ventures, are initially measured at fair value, which is normally the recognised transaction price. Such assets are subsequently measured at fair value with the changes in fair value being recognised in the profit or loss. Where other financial assets are not publicly traded, hence their fair value cannot be measured reliably, they are measured at cost less impairment.
Impairment of financial assets
At the end of each reporting period financial assets measured at amortised cost are assessed for objective evidence of impairment. If an asset is impaired the impairment loss is the difference between the carrying amount and the present value of the estimated cash flows discounted at the asset’s original effective interest rate. The impairment loss is recognised in profit or loss.
Financial assets are impaired when events, subsequent to their initial recognition, indicate the estimated future cash flows derived from the financial asset(s) have been adversely impacted. The impairment loss will be the difference between the current carrying amount and the present value of the future cash flows at the asset(s) original effective interest rate.
If there is a favourable change in relation to the events surrounding the impairment loss then the impairment can be reviewed for possible reversal. The reversal will not cause the current carrying amount to exceed the original carrying amount had the impairment not been recognised. The impairment reversal is recognised in the profit or loss.
Basic financial liabilities
Financial liabilities and equity instruments are classified according to the substance of the contractual arrangements entered into. An equity instrument is any contract that evidences a residual interest in the assets of the Group after the deduction of all its liabilities.
Basic financial liabilities, which include trade and other creditors, bank loans, other loans and loans due to fellow group companies are initially measured at their transaction price (adjusting for transaction costs except in the initial measurement of financial liabilities that are subsequently measured at fair value through profit and loss). When this constitutes a financing transaction, whereby the debt instrument is measured at the present value of the future payments discounted at a market rate of interest, discounting is omitted where the effect of discounting is immaterial.
Debt instruments are subsequently carried at their amortised cost using the effective interest rate method.
Trade creditors are obligations to pay for goods and services that have been acquired in the ordinary course of business from suppliers. Trade creditors are classified as current liabilities if the payment is due within one year. If not, they represent non-current liabilities. Trade creditors are initially recognised at their transaction price and subsequently are measured at amortised cost using the effective interest method. Discounting is omitted where the effect of discounting is immaterial.

Derecognition of financial instruments
Derecognition of financial assets
Financial assets are derecognised when their contractual right to future cash flow expire, or are settled, or when the Group transfers the asset and substantially all the risks and rewards of ownership to another party. If significant risks and rewards of ownership are retained after the transfer to another party, then the Group will continue to recognise the value of the portion of the risks and rewards retained.
Derecognition of financial liabilities
Financial liabilities are derecognised when the Group's contractual obligations expire or are discharged or cancelled.
Provisions Estimation is required in regards to the timing of when cash outflows are likely to occur and determining the best estimate of the expenditure required to settle the obligation.

The other debtors balance has been restated for balances deemed to be recoverable based on receipts received after 31 December 2023.
The overall impact of this is an increase in debtors of £610,231, and a corresponding increase in the opening profit and loss reserves.
The Group operates a defined contributions pension scheme. The assets of the scheme are held separately from those of the Group in an independently administered fund. The pension cost charge represents contributions payable by the Group to the fund and amounted to £12,128 (2023 - £10,841). Contributions totalling £2,125 (2023 - £1,404) were payable to the fund at the balance sheet date and are included in creditors.
The Group has no ultimate controlling party.
