For the year ending 31 December 2024 the company was entitled to exemption from audit under section 477 of the Companies Act 2006 relating to small companies.
The members have not required the company to obtain an audit in accordance with section 476 of the Companies Act 2006.
The directors acknowledge their responsibilities for complying with the requirements of the Act with respect to accounting records and the preparation of accounts.
These accounts have been prepared and delivered in accordance with the provisions applicable to companies subject to the small companies regime.
The company has taken advantage of section 444(1) of the Companies Act 2006 and opted not to deliver to the registrar a copy of the company's Profit and Loss Account.

1. General Information
HRF UK Holdings Ltd is a private company, limited by shares, incorporated in England & Wales, registered number 13691965 . The registered office is 809 Salisbury House, 29 Finsbury Circus, London, EC2M 7AQ.
2. Accounting Policies
2.1. Basis of Preparation of Financial Statements
The financial statements have been prepared under the historical cost convention and in accordance with Financial Reporting Standard 102 section 1A Small Entities "The Financial Reporting Standard applicable in the UK and Republic of Ireland" and the Companies Act 2006.
2.2. Investment
Investments in subsidiaries are recognised at fair value at each year-end. The entity makes an irrevocable decision to classify all changes in fair value through other comprehensive income.
Investment in subsidiaries are valued by the director of the company based on the net asset value of the subsidiaries as on the reporting date.

9. Related Party Transactions
Included in debtors due within one year is an amount of £3,665,469 (2023: £3,712,469) owed from its subsidiary undertaking. The amount is interest free and receivable on demand.
Included in creditors due within one year is an amount of £3,669,376 (2023: £3,753,820) owed to its parent undertaking. The amount is interest free and repayable on demand.
10. Ultimate Parent Undertaking and Controlling Party
The company's parent undertaking is Hawthorn Residential Fund GP Ltd . Hawthorn Residential Fund GP Ltd was incorporated in Jersey. Copies of the parent company's financial statements may be obtained from the secretary, 3rd Floor, Liberation House, Castle Street, St Helie, Jersey, JE1 2LH .
11. Movements in fair value reserve
The movements in fair value reserve indicates the recognition of change in fair value of the investment in subsidiaries. As the entity expects to sell the assets in subsidiaries and pay dividend which is tax free, no deferred tax liability has been created on the increase in fair value of the investment in subsidiaries.
