For the year ending 31 December 2024 the company was entitled to exemption from audit under section 477 of the Companies Act 2006 relating to small companies.
The members have not required the company to obtain an audit in accordance with section 476 of the Companies Act 2006.
The directors acknowledge their responsibilities for complying with the requirements of the Act with respect to accounting records and the preparation of accounts.
These accounts have been prepared and delivered in accordance with the provisions applicable to companies subject to the small companies regime.
The company has taken advantage of section 444(1) of the Companies Act 2006 and opted not to deliver to the registrar a copy of the company's Profit and Loss Account.

Notes to the Financial Statements
1. General Information
Bomboni Ltd is a private company limited by shares, and is incorporated in England & Wales (registered number 13789136 .) Its registered office and principal place of business is located at No. 1 The Heights, Brooklands, Weybridge, Surrey, KT13 0NY.
The principal activity of the company continued to be that of a restaurant and cafe establishment.
2. Accounting Policies
2.1. Basis of Preparation of Financial Statements
The financial statements have been prepared under the historical cost convention and in accordance with Financial Reporting Standard 102 section 1A Small Entities "The Financial Reporting Standard applicable in the UK and Republic of Ireland" and the Companies Act 2006.
The financial statements are presented in sterling, which is the functional currency of the company.
2.2. Going Concern Disclosure
The directors and shareholders intend to provide financial support to the company if and when it is needed, so that it can meet its financial obligations as they fall due and continue in operational existence for the foreseeable future.  The going concern basis is therefore considered to be appropriate in the preparation of these financial statements.
2.3. Turnover
Turnover is measured at the fair value of the consideration received or receivable, net of discounts and value added taxes. Turnover includes revenue earned from the sale of goods and from the rendering of services. Turnover is reduced for estimated customer returns, rebates and other similar allowances.
2.4. Tangible Fixed Assets and Depreciation
Tangible fixed assets are measured at cost less accumulated depreciation and any accumulated impairment losses. Depreciation is provided at rates calculated to write off the cost of the fixed assets, less their estimated residual value, over their expected useful lives on the following bases:

2.5. Stocks and Work in Progress
Stocks and work in progress are valued at the lower of cost and net realisable value after making due allowance for obsolete and slow-moving stocks. Cost includes all direct costs and an appropriate proportion of fixed and variable overheads. 
2.6. Financial Instruments
The company only enters into basic financial instruments transactions that result in the recognition of financial assets and liabilities like trade and other debtors and creditors, and loans with related parties and other third parties.
Financial Assets
Basic financial assets, including trade and other receivables, and cash and bank balances are recognised at transaction price, less any impairment.
Financial Liabilities
Basic financial liabilities, including trade and other payables, are recognised at transaction price, less any impairment, unless the arrangement constitutes a financing transaction, where the debt instrument is measured at the present value of the future payments discounted at a market rate of interest. Financial liabilities classified as payable within one year are not amortised.
2.7. Pensions
The company operates a defined pension contribution scheme. Contributions are charged to the profit and loss account as they become payable in accordance with the rules of the scheme.

9. Other Commitments

Lease commitment relates to long-term, high cost retail space. 
10. Pension Commitments
The company operates a defined contribution pension scheme for its employees.  The assets of the scheme are held separately from those of the company in an independently administered fund. 
During the year the charge to profit or loss in respect of defined contribution schemes was £2,477 (2023: £1,296).
At the balance sheet date unpaid contributions of £686 (2023: £nil) were due to the fund. They are included in creditors.
11. Related Party Transactions
At the balance sheet date, the company owed £3,587 (2023: £4,107) to Hike Investments Capital Ltd,  £464,918 (2023: £407,876) to YoooServ Group Holdings Ltd, and £690 (2023: £nil) to Yooodle Limited.
At the balance sheet date, the company owed one of the directors, Benjamin Willmore, £220,000 (2023: £nil).
12. Controlling Party
The company's controlling parties are BW Capital Investments (UK) Ltd and Evgeny Elenevskiy, by virtue of their shareholdings in the company.  Ben Willmore is the controlling party of BW Capital Investments (UK) Ltd by virtue of his majority shareholding in that entity.
