For the year ended 31 December 2024 the Company was entitled to exemption from audit under section 480 of the Companies Act 2006.

Members have not required the Company to obtain an audit for the year in question in accordance with section 476 of the Companies Act 2006.

The directors acknowledge their responsibilities for complying with the requirements of the Companies Act 2006 with respect to accounting records and the preparation of financial statements.

The financial statements have been prepared in accordance with the provisions applicable to companies subject to the small companies regime and in accordance with the provisions of FRS 102 Section 1A - small entities.

The financial statements have been delivered in accordance with the provisions applicable to companies subject to the small companies regime.

The Company has opted not to file the profit and loss account in accordance with provisions applicable to companies subject to the small companies' regime.

The financial statements were approved and authorised for issue by the board and were signed on its behalf on 29 September 2025.

1.	General information

Hygen Power Systems Limited is a company limited by shares which is registered and incorporated in the United Kingdom. The Company's registered office is North Bailey House, 12 New Inn Hall Street, Oxford, England, OX1 2RP.
The Company was dormant during the period.

2.Accounting policies

2.1

Basis of preparation of financial statements

The financial statements have been prepared under the historical cost convention unless otherwise specified within these accounting policies and in accordance with FRS 102 'The Financial Reporting Standard applicable in the UK and the Republic of Ireland' and the requirements of the Companies Act 2006. The disclosure requirements of Section 1A of FRS 102 have been applied other than where additional disclosure is required to show a true and fair view.

The preparation of financial statements in compliance with FRS 102 requires the use of certain critical accounting estimates. It also requires management to exercise judgement in applying the Company's accounting policies (see note 3).

The financial statements are presented in Sterling (£).
The following principal accounting policies have been applied:

2.2

Debtors

Short-term debtors are measured at transaction price, less any impairment. Loans receivable are measured initially at fair value, net of transaction costs, and are measured subsequently at amortised cost using the effective interest method, less any impairment.

2.3

Financial instruments

The Company only enters into basic financial instrument transactions that result in the recognition of financial assets and liabilities like trade and other debtors and creditors, loans from banks and other third parties, loans to related parties and investments in ordinary shares.

3.	Judgements in applying accounting policies and key sources of estimation uncertainty

In the director's opinion there are no significant judgements, estimates and assumptions made in preparing these financial statements.

4.	Employees
	The Company has no employees other than the directors.

7.	Related party transactions
	The Company has availed of the exemption in FRS 102 Section 33, Paragraph 33.1A which allows non disclosure of transactions between two or more members of a group, provided that any subsidiary which is a party to the transaction is wholly owned by such a member.

8.	Post balance sheet events

There have been no events impacting the Company since the financial year end.

9.	Controlling party

The immediate parent of the Company is Hygen Energy Holdings Limited, a company registered in England and Wales, with a registered office as North Bailey House, 12 New Inn Hall Street, Oxford, England, OX1 2RP.
The ultimate parent of the Company is HydraB Power Limited, a company registered in England and Wales, with a registered office as North Bailey House, 12 New Inn Hall Street, Oxford, England, OX1 2RP. The smallest and largest group that the results are consolidated in to is HydraB Power Limited. Their consolidated statements can be obtained from Companies House.
The ultimate controlling party is J Bamford.
