Contingent assets

On a sale of 9A Ladbroke Terrace; a change in control of 22 Ladbroke Square Ltd; or a winding up of 22 Ladbroke Square Ltd (or an event which in its view is likely to lead to a winding up of the 22 Ladbroke Square Ltd), then Gradeview Properties Limited may at its discretion make an exit charge equivalent to 5% of the average balance owed to it by the 22 Ladbroke Square Ltd at each relevant year end of the Company or other relevant date (pro rated as appropriate). If the triggering event had taken place at 31/01/2025 this could have resulted in a charge of approximately £6,622,883.
As part of arrangements relating to Gradeview's continuing financing of certain of 22 Ladbroke Square Ltd's ongoing expenses, Gradeview has undertaken not to claim amounts in respect of the exit fee noted above which are in excess of the amount which would have applied if the property had been sold at this year end.
