For the year ended 31 March 2025 the Company was entitled to exemption from audit under section 480 of the Companies Act 2006.

Members have not required the Company to obtain an audit for the year in question in accordance with section 476 of the Companies Act 2006.

The directors acknowledge their responsibilities for complying with the requirements of the Companies Act 2006 with respect to accounting records and the preparation of financial statements.

The financial statements have been prepared in accordance with the provisions applicable to companies subject to the small companies regime and in accordance with the provisions of FRS 102 Section 1A - small entities.

The financial statements have been delivered in accordance with the provisions applicable to companies subject to the small companies regime.

The Company has opted not to file the profit and loss account in accordance with provisions applicable to companies subject to the small companies' regime.

General information

Nicecon Limited is a private company limited by shares incorporated in Scotland. The address of the registered office and the company's principal place of business is 99 Larkfield Industrial Estate, Greenock, Scotland, PA16 0EQ.

2.Accounting policies

Basis of preparation of financial statements

The financial statements have been prepared under the historical cost convention unless otherwise specified within these accounting policies and in accordance with FRS 102 'The Financial Reporting Standard applicable in the UK and the Republic of Ireland' and the requirements of the Companies Act 2006. The disclosure requirements of Section 1A of FRS 102 have been applied other than where additional disclosure is required to show a true and fair view.
The following principal accounting policies have been applied:

Going concern

The directors have a reasonable expectation that the company has adequate resources to continue in existence for the foreseeable future. The company therefore continues to adopt the going concern basis in preparing its financial statements.

Functional currency

The presentation currency of the financial statements is the Pound Sterling (£). The financial statements have been rounded to the nearest £.

Related party transactions

The company is taking advantage of the exemption under FRS 102 (para 33.1A) "disclosure of related party transactions" with other wholly owned group companies.

Controlling party

The shareholders of the company, each holding one ordinary share of £1 each are:                                                                               
Bluebird Buses Limited, the ultimate parent company of which is Stagecoach Group Limited. Stagecoach Group Limited, which is incorporated in Great Britain and registered in Scotland. Copies of the accounts of Stagecoach Group Limited can be obtained on request from 10 Dunkeld Road, Perth, PH1 5TW.
                         
Midland Bluebird Limited, the immediate parent entity of which is McGills Scotland East Limited and the ultimate parent company of which is Dalglen (No. 1812) Limited are both incorporated and registered in Scotland. These company's accounts can be obtained from companies house.
