Accountants' report to the director of SWEDISH CARS LTD on the preparation of the unaudited statutory accounts for the year ended 31 August 2025
In order to assist you to fulfil your duties under the Companies Act 2006, we have prepared for your approval the accounts of SWEDISH CARS LTD for the year ended 31 August 2025 as set out on pages 5 - 7 from the company's accounting records and from information and explanations you have given us.
This report is made solely to the Board of Directors of SWEDISH CARS LTD, as a body, in accordance with the terms of our engagement letter dated 7 August 2023. Our work has been undertaken solely to prepare for your approval the accounts of SWEDISH CARS LTD and state those matters that we have agreed to state to them, as a body, in this report. To the fullest extent permitted by law, we do not accept or assume responsibility to anyone other than SWEDISH CARS LTD and its Board of Directors as a body for our work or for this report.
It is your duty to ensure that SWEDISH CARS LTD has kept adequate accounting records and to prepare statutory accounts that give a true and fair view of the assets, liabilities, financial position and profit of SWEDISH CARS LTD. You consider that SWEDISH CARS LTD is exempt from the statutory audit requirement for the year.
We have not been instructed to carry out an audit or a review of the accounts of SWEDISH CARS LTD. For this reason, we have not verified the accuracy or completeness of the accounting records or information and explanations you have given to us and we do not, therefore, express any opinion on the statutory accounts.

For the year ending 31 August 2025 the company was entitled to exemption from audit under section 480 of the Companies Act 2006 relating to dormant companies. The members have not required the company to obtain an audit in accordance with section 476 of the Companies Act 2006.
The director acknowledges his responsibilities for complying with the requirements of the Act with respect to accounting records and the preparation of accounts.
These accounts have been prepared and delivered in accordance with the provisions applicable to companies subject to the small companies' regime and in accordance with the provisions of FRS 102 Section 1A - Small Entities. The profit and loss account has not been delivered to the Registrar of Companies.

Statutory information

Compliance with accounting standards
The accounts have been prepared in accordance with the provisions of FRS 102 Section 1A Small Entities. There were no material departures from that standard.

Accounting policies
The principal accounting policies adopted in the preparation of the financial statements are set out below and have remained unchanged from the previous year, and also have been consistently applied within the same accounts.
Basis of preparation
The financial statements have been prepared in accordance with the provisions of FRS 102, Section 1A, applicable to small entities, and in accordance with the Companies Act 2006. The company is dormant as defined by section 1169 of the Companies Act 2006. The financial statements have therefore been prepared in accordance with the provisions applicable to dormant companies under section 480 of the Companies Act 2006.
Presentation currency
The accounts are presented in £ sterling, which is the company’s functional currency.
On 2 January 2025, the company changed its registered name from ALEXIEJ LTD to SWEDISH CARS LTD. The change was duly notified and registered with Companies House.
Investments
Investments are stated at cost less any provision for impairment.
Dormant company disclosure
The company remained dormant throughout the year ended 31 August 2025. No profit and loss account is presented in accordance with section 480 of the Companies Act 2006.

As at 31 August 2025, the company continued to hold the following investment: 14,000 ordinary shares in VOLVOS Sp. z o.o., a company registered in Poland (KRS: 0000463065). Cost: £270,270.30 This investment was originally recognised on 10 August 2023, when it was contributed in kind by a new shareholder, VOLCARS Sp. z o.o., in exchange for the issuance of 2 ordinary shares in the company (then registered as ALEXIEJ LTD, subsequently renamed SWEDISH CARS LTD on 2 January 2025). The valuation reflects the agreed market value at the date of the transaction. The company has had no further transactions affecting the investment during the year. The director considers the carrying value to be supported by the underlying net assets of the investee company. The director has reviewed the carrying value of the investment and considers that no impairment is required as at 31 August 2025.

Transactions with related parties
On 10 August 2023, while the company was registered as ALEXIEJ LTD, Volcars Sp. z o.o. became a shareholder by contributing 14,000 shares in VOLVOS Sp. z o.o. (Poland) in exchange for two ordinary shares in the company. On 3 January 2025, also under the name ALEXIEJ LTD, there were further changes in shareholding: Mr Tomasz Jakub Wojdal transferred his one ordinary share to Mrs Jolanta Urszula Smorek. On the same date, Volcars Sp. z o.o. transferred its two ordinary shares to Mrs Jolanta Urszula Smorek. As a result of these transfers, Mrs Jolanta Urszula Smorek became the sole shareholder of the company. On 2 January 2025, shortly before these transfers, the company changed its registered name from ALEXIEJ LTD to SWEDISH CARS LTD. All transfers were effected at nominal value (£1 per share). There are no outstanding related party balances or obligations arising from these transactions.
