STRATEGIC REPORT
FOR THE YEAR ENDED 30 APRIL 2025
The Company is required by the Companies Act 2006, to set out in this report a fair review of its business during the financial period ended 30 April 2025, the position of the Company at the year end, and a description of the principal risks and uncertainties facing the Company.
The review is prepared solely to provide additional information to shareholders to assess the Company's strategies and the potential for the strategies to succeed, and the business review should not be relied upon by any other party or for any other purpose.
The Directors are delighted with this year’s performance, and the continued efforts and investment in our people, systems and processes are beginning to bring rewards. The company was thrilled to receive two significant awards this year, winning Conde Nast Traveller’s 'World’s Best Tour Operator' for the seventh time and being recongnised by The Sunday Times as one of the 'Best Places to Work in UK'. We were also nominated by The Sunday Times as one of the 'Best Luxury Operators in UK'.
We are planning a smaller growth in 2026 as we put in new documentation systems and website. This will lead to significant growth in 2027, we confidently believe. The company continues to meet the challenges the travel industry faces, including AI, successfully. We remain focused on delivering outstanding customer service, and considerable outlay is being invested in internal and external training. Our marketing remains best in class, and we have launched a new programme and brochure featuring properties of “50 Rooms or Less”, to wide industry, client, and press acclaim. We remain committed to innovation and inspiration in the marketing arena, whilst clear KPI’s and SLA’s, including a focus on our cost per acquisition and customer retention, have led to a significant improvement in our conversion. We have completed a brand review, resulting in a logo evolution. Our product selection, management and curation has led to better credit and commercial terms. Our new European and Journeys programmes are also gaining traction. Our relationships throughout the industry remain at the very core of our being. In the years ahead we intend to capitalise on the significant strength and customer recognition of our brand. The Directors remain committed to developing Turquoise to be the No1 family owned and run luxury tour operator in UK, delivering truly memorable holidays. We are looking forward to 2026 with optimism and confidence.

The following risk factors may affect the Company's operating results and its financial position. The risk factors described below are those which the directors believe are potentially significant, but should not be regarded as a complete and comprehensive statement of all potential risks and uncertainties facing the Company.
Economic uncertainty - Consumer confidence is important to the success of the business. The demand for holidays is affected by local and global economic conditions. Uncertainty, consumer confidence and other such factors can create a fragile trading environment, but traditionally the company has operated in the higher end of the market where these issues seem to have less effect on people’s desire for holidays. However, the directors still believe the Company is able to quickly adapt to changes in the local market demand, as it continues to be flexible in tailoring its customer proposition to suit the economic climate. A prolonged period of booking slowdown though would adversely affect financial results. Regulatory risk - The Company is exposed to various regulators, including the Civil Aviation Authority (“CAA”) which issues an Air Travel Organisers Licence (“ATOL”), which is required in order for the company to operate. This licence is renewed in September each year and is subject to assessments of fitness and financial criteria, the framework of which is available on the CAA website (www.caa.co.uk). The company operates the vast majority of its business under its ATOL licence (ATOL 5875). Competition risk - The Company continues to face competition from web-based tour operators with a lower cost base who are prepared to sacrifice gross profit in order to gain market share. The Company seeks to constantly invest in both its brand, to increase public awareness, as well as a massively superior customer service offering, to maintain its market position. Foreign exchange risk - The Company faces transactional exposure primarily relating to the cost of acquiring accommodation and other ground arrangements. The Company's main exposure to exchange rate fluctuations is in relation to the Euro/Sterling and US$/Sterling exchange rate. This risk is managed by forward buying foreign exchange and hedging policies to match requirements as they are generated by customer bookings: we have continued to improve our systems and processes around this for 2024/25. Information technology risk - Like many travel businesses the Company is highly dependent on the uninterrupted operation of its IT systems and website. Our systems have been recently placed into the cloud giving us greater security and reliability. IT risks are managed through a third party outsourced IT Company.

The directors present their report and the financial statements for the year ended 30 April 2025.
The directors are responsible for preparing the Strategic Report, the Directors' Report and the financial statements in accordance with applicable law and regulations.
In preparing these financial statements, the directors are required to:
∙select suitable accounting policies for the Company's financial statements and then apply them consistently;
∙make judgments and accounting estimates that are reasonable and prudent;
∙state whether applicable UK Accounting Standards have been followed, subject to any material departures disclosed and explained in the financial statements;
∙prepare the financial statements on the going concern basis unless it is inappropriate to presume that the Company will continue in business.
The directors are responsible for keeping adequate accounting records that are sufficient to show and explain the Company's transactions and disclose with reasonable accuracy at any time the financial position of the Company and to enable them to ensure that the financial statements comply with the Companies Act 2006. They are also responsible for safeguarding the assets of the Company and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.
The directors are also responsible for the maintenance and integrity of the corporate and financial information included on the Company's website.
The profit for the year, after taxation, amounted to £676,196 (2024 - £515,541).
The directors have not recommended a final dividend. No interim dividends were paid during the period.

The directors intend to continue executing the plans and strategies that have seen the company grow and post increased gross revenue and operating profit over the last period. They also plan to maintain the extremely high standard of customer service which they believe is a strong USP of the business.

We have audited the financial statements of The Turquoise Holiday Company Limited (the 'Company') for the year ended 30 April 2025, which comprise the Income Statement, the Statement of Comprehensive Income, the Statement of Financial Position, the Statement of Cash Flows, the Statement of Changes in Equity and the related notes, including a summary of significant accounting policies. The financial reporting framework that has been applied in their preparation is applicable law and United Kingdom Accounting Standards, including Financial Reporting Standard 102 ‘The Financial Reporting Standard applicable in the UK and Republic of Ireland' (United Kingdom Generally Accepted Accounting Practice).
In auditing the financial statements, we have concluded that the directors' use of the going concern basis of accounting in the preparation of the financial statements is appropriate.
Based on the work we have performed, we have not identified any material uncertainties relating to events or conditions that, individually or collectively, may cast significant doubt on the Company's ability to continue as a going concern for a period of at least twelve months from when the financial statements are authorised for issue.

Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are free from material misstatement, whether due to fraud or error, and to issue an Auditors' Report that includes our opinion. Reasonable assurance is a high level of assurance, but is not a guarantee that an audit conducted in accordance with ISAs (UK) will always detect a material misstatement when it exists. The Turquoise Holiday Company Limited is a private company limited by shares, domiciled in England and Wales, registration number 04424442. The registered office is The Stables, 4 Bakery Court, 37-39 London End, Beaconsfield, Buckinghamshire, HP9 2FN.
2.Accounting policies
The financial statements have been prepared under the historical cost convention unless otherwise specified within these accounting policies and in accordance with Financial Reporting Standard 102, the Financial Reporting Standard applicable in the UK and the Republic of Ireland and the Companies Act 2006.
The preparation of financial statements in compliance with FRS 102 requires the use of certain critical accounting estimates. It also requires management to exercise judgment in applying the Company's accounting policies (see note 3).
The following principal accounting policies have been applied:
The directors have continued to prepare budgets and cashflow forecasts which reflect good operational liquidity and profitability throughout. Additionally, they have also continued to perform sensitivity analysis on these budgets and forecasts to assess the financial impact of any potential slowdown in forecast trading and its impact on the liquidity of the business. This analysis shows that the Company has enough liquidity and cash to trade through such a potential slowdown.
The directors have a reasonable expectation that the Company has adequate resources to continue in operational existence for the foreseeable future, being at least the following 12 months from the signing of these financial statements. This is supported by the continued strong performance seen in the post balance sheet period, which the Company remains well placed to meet and service. As a result, and with the Company continuing to receive the full support of its shareholders and bankers, the directors believe that it is still appropriate to apply the going concern basis for the foreseeable future.

Depreciation is charged so as to allocate the cost of assets less their residual value over their estimated useful lives, using the straight-line method.
Depreciation is provided on the following basis:
The assets' residual values, useful lives and depreciation methods are reviewed, and adjusted prospectively if appropriate, or if there is an indication of a significant change since the last reporting date.

The Company has elected to apply the provisions of Section 11 “Basic Financial Instruments” of FRS 102 to all of its financial instruments.
Financial instruments are recognised in the Company's Statement of Financial Position when the Company becomes party to the contractual provisions of the instrument.
Financial assets and liabilities are offset, with the net amounts presented in the financial statements, when there is a legally enforceable right to set off the recognised amounts and there is an intention to settle on a net basis or to realise the asset and settle the liability simultaneously.
Basic financial assets
Basic financial assets, which include trade and other receivables, cash and bank balances, are initially measured at their transaction price including transaction costs and are subsequently carried at their amortised cost using the effective interest method, less any provision for impairment, unless the arrangement constitutes a financing transaction, where the transaction is measured at the present value of the future receipts discounted at a market rate of interest.
Discounting is omitted where the effect of discounting is immaterial. The Company's cash and cash equivalents, trade and most other receivables due with the operating cycle fall into this category of financial instruments.
Other financial assets
Other financial assets, which includes investments in equity instruments which are not classified as subsidiaries, associates or joint ventures, are initially measured at fair value, which is normally the recognised transaction price. Such assets are subsequently measured at fair value with the changes in fair value being recognised in the profit or loss. Where other financial assets are not publicly traded, hence their fair value cannot be measured reliably, they are measured at cost less impairment.
Impairment of financial assets
Financial assets are assessed for indicators of impairment at each reporting date.
Financial assets are impaired when events, subsequent to their initial recognition, indicate the estimated future cash flows derived from the financial asset(s) have been adversely impacted. The impairment loss will be the difference between the current carrying amount and the present value of the future cash flows at the asset(s) original effective interest rate.
If there is a favourable change in relation to the events surrounding the impairment loss then the impairment can be reviewed for possible reversal. The reversal will not cause the current carrying amount to exceed the original carrying amount had the impairment not been recognised. The impairment reversal is recognised in the profit or loss.

Financial liabilities
Financial liabilities and equity instruments are classified according to the substance of the contractual arrangements entered into. An equity instruments any contract that evidences a residual interest in the assets of the Company after the deduction of all its liabilities.
Basic financial liabilities, which include trade and other payables, bank loans and other loans are initially measured at their transaction price after transaction costs. When this constitutes a financing transaction, whereby the debt instrument is measured at the present value of the future payments discounted at a market rate of interest. Discounting is omitted where the effect of discounting is immaterial.
Debt instruments are subsequently carried at their amortised cost using the effective interest rate method.
Trade payables are obligations to pay for goods and services that have been acquired in the ordinary course of business from suppliers. Trade payables are classified as current liabilities if the payment is due within one year. If not, they represent non-current liabilities. Trade payables are initially recognised at their transaction price and subsequently are measured at amortised cost using the effective interest method. Discounting is omitted where the effect of discounting is immaterial.
Other financial instruments
Derivatives, including forward exchange contracts, futures contracts and interest rate swaps, are not classified as basic financial instruments. These are initially recognised at fair value on the date the derivative contract is entered into, with costs being charged to the profit or loss. They are subsequently measured at fair value with changes in the profit or loss.
Debt instruments that do not meet the conditions as set out in FRS 102 paragraph 11.9 are subsequently measured at fair value through the profit or loss. This recognition and measurement would also apply to financial instruments where the performance is evaluated on a fair value basis as with a documented risk management or investment strategy.
The Company designates certain derivaties as either:
- Hedges of the fair value of recognised assets or liabilities or a firm commitment (fair value hedge); - Hedges of a particular risk associated with a recognised asset or liability or a highly probable forecast transaction (cash flow hedge); or - Hedges of a net investment in a foreign operation (net investment hedge). The Company documents at the inception of the transaction the relationship between hedging instruments and hedged items, as well as its risk management objectives and strategy for undertaking various hedging transactions. The Company also documents its assessment, both at hedge inception and on an ongoing basis, of whether the derivatives that are used in hedging transactions are highly effective in offsetting changes in fair values or cash flows of hedged items. Called up share capital represents the nominal value of shares that have been issued. Preference share capital represents the nominal value of preference shares that have been issued.
The holders of the preference shares are entitled in priority to any payment of dividend on any class of share to a fixed cumulative preferential dividend of 4% per annum. These shares can be redeemed at the option of the company (although not without the prior written agreement of the Civil Aviation Authority - see note 17 above) and do not carry voting rights.

At 30 April 2025, the Company had granted options to one key employee under the Enterprise Management Incentives (EMI) scheme over 2,159 ordinary shares at a market value and exercise price of £5 per share. During the year, two other employee options over 4,318 ordinary shares lapsed.
All share options had their stated market values agreed with HM Revenue and Customs under the EMI scheme, but no options have been exercised as at 30 April 2025. The directors have reviewed the value of the share based payments in relation to the above options and have not recognised any charge in the statement of comprehensive income on the grounds of materiality.
The Company operates a defined contributions pension scheme. The assets of the scheme are held separately from those of the Company in an independently administered fund. The pension cost charge represents contributions payable by the Company to the fund and amounted to £60,920 (2024 - £54,902). Contributions totalling £9,805 (2024 - £9,446) were payable to the fund at the reporting date and are included in creditors.
As at 30 April 2025, the Company had £87,548 payable to (2024: £89,334) International Air Transport Association (IATA) for tickets issued in the month of April 2025.

Included in the cash at bank as at 30 April 2025 was £2,903,533 held in the CAA Escrow Trust Account as consumer protected restricted funds. The terms of the trust deed are that 70% of all customer monies received for ATOL protected bookings remain within the independently administered CAA Escrow Trust Account until the customer returns from their holiday. The Company's cash at bank as at 30 April 2025 was:
