Related Party Transactions During the year, the company issued ordinary shares under the Seed Enterprise Investment Scheme (SEIS) to two directors: Mr Michael James Lambert subscribed for 6,410 ordinary shares of £1 each, for a total cash consideration of £6,409.60. Mr Matthew James MacDonald subscribed for 6,409 ordinary shares of £1 each, for a total cash consideration of £6,409.60. These transactions were part of the company’s SEIS fundraising. The shares were fully paid in cash and issued in accordance with the company’s Articles of Association.
Additional Disclosures
Share Capital Note During the year, the company issued a total of 12,819 ordinary shares of £1 each, fully paid, raising £12,819.20 in cash. The shares were issued as follows: 6,410 shares to Mr Michael James Lambert 6,409 shares to Mr Matthew James MacDonald These shares were issued under the Seed Enterprise Investment Scheme (SEIS) and are subject to the terms of the company’s Articles of Association. No share premium arose on this issue. The company meets the qualifying conditions for SEIS and will submit the SEIS1 compliance statement to HMRC.
