Governing Document
The charity is constituted as a company limited by guarantee and therefore does not have any share capital. It is governed by a memorandum and articles of association.
Appointment of Trustees
The trustees, who are also directors of the company for the purpose of company law, are appointed by the Trustees' Committee upon application or proposal by members subject to their suitability for directing some part of the organisation's operation and understanding management reports.
The appointment of trustees is determined by the Board of Directors, which is authorised to appoint additional trustees or to appoint new trustees to fill vacancies arising through resignation or death of an existing trustee.
Trustees induction and training
Current Trustees are already familiar with the practical work of the charity. Prior to appointment as a new trustee, the candidate is met by individual trustees and officers of the charity to ensure he/she is fully aware of the requirements and statutory duties of a Trustee, and to ensure that the person is suitable to hold such an appointment.
Organisation structure
A scheme of delegation is in place and day to day responsibility for the provision of services rests with the Chairman. He is responsible for ensuring that the charity delivers the services specified, that key performance indicators are met, has responsibility for the day to day operational management.
Risk Management
The trustees have a risk management strategy comprising:
- anannual review of the risks the charity may face and formulation of a management plan;
- establishment of systems and procedures to mitigate those risks identified in the plan; and
- formulation of ways to minimise any potential impact on the charity should risks materialise.
Objectives and activities
Each year the Trustees review the Charity's objectives and activities to ensure that they continue to reflect our aims. In carrying out this review the trustees have considered the Charity Commission's guidance on public benefit.
The charity pursues theatre and film projects, which provide employment to young artists and contribute to the nation’s cultural life by exploring social, political and ethical issues. The charity involves the socially excluded in cultural activity, enhancing their personal development, confidence, communication skills and employability. The charity also pursues educational outreach as part of its work.
During the year the company continued to give masterclasses and professional workshops, and submitted funding applications for future drama projects.
Achievements and performance
As shown in the Statement of Financial Activity, the charity had total incoming resources during the year of £674 (2024: £13) and outgoing resources of £338 (2024: £336), resulting in reserves carried forward at 31 March 2025 of £3,114 (2024: £2,778). All sources of income and expenditure are unrestricted.
Principal funding sources and fundraising practices
The charity is primarily funded by donations from the trustees, other charities and funding bodies as well as royalties. The charity does not engage in public fundraising activities and does not contact potential donors without their express consent and no complaints were received about the charity's fundraising practices during the year.
Investment and reserves policies
Most of the charity's funds are to be spent in the short term so there are few funds for long term investment.
It has been the policy of the charity to hold sufficient reserves to meet the charity's expected expenditure for the next financial year and to ensure the going concern status for the next 12 months.
Plans for the future
The trustees plan to continue to pursue the charity's objectives by means of grant provision and support of projects as described above under 'Objectives and Activities'.
Small companies exemption
This report has been prepared in accordance with the special provisions for small companies under Part 15 of the Companies Act 2006.
