The directors who held office during the year were as follows:
Principal activity
The principal activity of the company is a not-for-profit talent development organisation specialising in teaching jazz and improvisation to young musicians.
Background
Jazzlife Alliance (the company's trading name) started as a CIC in 2018, and began its flagship Jazz Juniors scheme in 2020 when it received its first grant from ACNI (Arts Council N Ireland). As it grew, the Directors realised that it would benefit from becoming a Registered Charity. Unfortunately in N Ireland (unlike GB) a CIC cannot become a Charity; the recommended route is to form a new Limited Company, register that as a Charity, transfer the CIC's assets to the new Company for zero consideration, and then wind up the CIC. During 2024 the Directors of Jazzlife Alliance CIC did exactly that, forming a new Company called Jazzlife Alliance 2024 Limited of which they became the Directors, registering it as charity number 110305 with the N Ireland Charity Commission, transferring the CIC's assets to the new Company, and continuing to run its talent development activities under the same trading name Jazzlife Alliance.
The financial records of Jazzlife Alliance CIC are a matter of public record and available on request from Jazzlife Alliance 2024 Limited.

In order to assist you to fulfil your duties under the Companies Act 2006, we have prepared for your approval the financial statements of Jazzlife Alliance 2024 Limited for the year ended 31 October 2025 as set out on pages 4 to 7 from the company's accounting records and from information and explanations you have given us.

This report is made solely to the Board of Directors of Jazzlife Alliance 2024 Limited, as a body, in accordance with the terms of our engagement letter. Our work has been undertaken solely to prepare for your approval the accounts of Jazzlife Alliance 2024 Limited and state those matters that we have agreed to state to the Board of Directors of Jazzlife Alliance 2024 Limited, as a body, in this report in accordance with the requirements of the Association of Chartered Certified Accountants as detailed at http://www.accaglobal.com/gb/en/technical-

Summary of significant accounting policies and key accounting estimates
The principal accounting policies applied in the preparation of these financial statements are set out below. These policies have been consistently applied to all the years presented, unless otherwise stated.
Statement of compliance
These financial statements have been prepared in accordance with Financial Reporting Standard 102 Section 1A smaller entities - 'The Financial Reporting Standard applicable in the United Kingdom and Republic of Ireland' and the Companies Act 2006 (as applicable to companies subject to the small companies' regime).
Basis of preparation
These financial statements have been prepared using the historical cost convention except that as disclosed in the accounting policies certain items are shown at fair value.
Revenue recognition
Turnover comprises grants and donations.
The company recognises revenue when:
The amount of revenue can be reliably measured;
it is probable that future economic benefits will flow to the entity;
and specific criteria have been met for each of the company's activities.
Tangible assets
Tangible assets are stated in the statement of financial position at cost, less any subsequent accumulated depreciation and subsequent accumulated impairment losses.
The cost of tangible assets includes directly attributable incremental costs incurred in their acquisition and installation.
