1. STATUTORY INFORMATION

TRANSFER OF PROPERTY PORTFOLIO

On 29 November 2024, the LLP entered into an agreement to transfer the business to Dilwara and Sons Limited ("the Company" CRN:13424474), a UK incorporated company in which the partners are the directors. Under the terms of the agreement, the partners agree to transfer whole of the business of the LLP (other than cash) as a going concern in exchange for newly issued Ordinary shares of £1. No other consideration was received.

The sale of the letting business by the partners to the company for taxation purposes is deemed to take place at the market value at the date of sale resulting in a capital gain of £2,883,612. Given the shares were issued to the LLP in exchange, the disposal falls within the ambit of section 162 TCGA 1992.

As the LLP's only activity was the letting of residential properties and the entirety of business has now been
transferred, the LLP will not carry on any activity in the future, other than the holding of shares in the company.

The LLP is entitled to exemption from audit under Section 477 of the Companies Act 2006 as applied to LLPs by the Limited Liability Partnerships (Accounts and Audit) (Application of Companies Act 2006) Regulations 2008 for the period ended 5 April 2025.

The members acknowledge their responsibilities for:
(a)ensuring that the LLP keeps accounting records which comply with Sections 386 and 387 of the Companies Act 2006 as applied to LLPs by the Limited Liability Partnerships (Accounts and Audit) (Application of Companies Act 2006) Regulations 2008 and
(b)preparing financial statements which give a true and fair view of the state of affairs of the LLP as at the end of each financial year and of its profit or loss for each financial year in accordance with the requirements of Sections 394 and 395 and which otherwise comply with the requirements of the Companies Act 2006 as applied to LLPs by the Limited Liability Partnerships (Accounts and Audit) (Application of Companies Act 2006) Regulations 2008 relating to financial statements, so far as applicable to the LLP.

The financial statements have been prepared in accordance with the micro-entity provisions.
