The company is a private company limited by shares and registered in England and Wales. It was entitled to exemption from audit under section 477 of the Companies Act 2006 relating to small companies.

These accounts have been prepared in accordance with the micro-entity provisions and delivered in accordance with the provisions applicable to companies subject to the small companies regime.

Additional Disclosures
1. Statement of compliance and basis of preparation These financial statements have been prepared in accordance with FRS 105 — The Financial Reporting Standard applicable to the Micro-entities Regime. 2. Reporting period / Change in year end The prior financial year covered a 12-month period to 31 August 2024. The current period is a 7-month interim reporting period ending 31 March 2025. The change in the accounting reference date has been made to align the company’s year end with that of its 100%-owned subsidiary. 3. Investment in subsidiary The company holds 100% of the ordinary share capital of its subsidiary (Mothern Properties Ltd), being accounted for as an investment in subsidiary at cost. At 31 March 2025, the carrying amount of the investment in subsidiary is £125,000. 4. Exemption from consolidated accounts The company is exempt from preparing consolidated accounts because the company qualifies as a small group under the Companies Act 2006 and is therefore exempt under section 399(2A), together with the small-groups exemption under section 405 of the Companies Act 2006. Accordingly, these financial statements present individual (non-consolidated) accounts only. 5. Tangible Fixed Assets Tangible fixed assets are stated at historical cost less accumulated depreciation. Depreciation is charged so as to write off the cost of assets over their estimated useful lives on a straight-line basis. Useful lives typically are: Office equipment: 5-7 years Computer equipment: 4-5 years Useful lives and residual values are reviewed annually and where adjustments are required these are made prospectively.
