The director presents his report on the affairs of the company, together with the unaudited financial statements for the year ended 31 March 2025.

Business review

The company has been dormant as defined in section 1169 of the Companies Act 2006 throughout the year and preceding financial year. It is anticipated that the company will remain dormant for the foreseeable future. Key performance indicators are not considered necessary for an understanding of the development, performance, or position of the business of the company. There are no risks or uncertainties facing the company including those within the context of the use of financial instruments.

For the year ended 31 March 2025 the Company was entitled to exemption from audit under section 480 of the Companies Act 2006.

Members have not required the Company to obtain an audit for the year in question in accordance with section 476 of the Companies Act 2006.

The director acknowledges his responsibilities for complying with the requirements of the Companies Act 2006 with respect to accounting records and the preparation of financial statements.

The financial statements have been prepared in accordance with the provisions applicable to companies subject to the small companies regime and in accordance with the provisions of FRS 102 Section 1A - small entities.

The financial statements were approved and authorised for issue by the board and were signed on its behalf on 10 December 2025.

Basis of accounting

These financial statements have been prepared under the historical cost convention in accordance with applicable United Kingdom law and accounting standards. The company is a private company limited by shares and is registered in England and Wales. The Company was dormant (within the meaning of Section 1169 of the Companies Act 2006) throughout the year ended 31 March 2025.

Profit and loss account

No profit and loss account is presented with these financial statements because the company has not received income, incurred expenditure or recognised any other items of comprehensive income during either the year under review or the preceding financial year. There have been no movements in shareholders’ funds during the year under review and therefore no statement of equity has been included.

The company had no employees during the year. No emoluments were payable to the director by the company during the year.

Controlling party

During the year ended 31 March 2025, the immediate and ultimate holding company was Ylem Group Limited; a company incorporated in the United Kingdom, whose registered address is the same as the Company's as disclosed on the Company information page. Ylem Group Limited was the parent of the largest and smallest group of companies, of which the company is a member, that produces consolidated accounts. Ylem Group Limited was ultimately owned by a family trust of Mr Tim Scott, which was considered to be the ultimate controlling party.
On 18th November 2025, Atari Limited, a Company registered in Jersey became the immediate and ultimate parent undertaking of Ylem Group Limited. Atari Limited is owned by a family trust of Mr Tim Scott, which is considered to be the ultimate controlling party.
