The directors present their strategic report of the company and the group for the year ended 31st March 2025.

REVIEW OF BUSINESS
The Group's principal activities remain the provision of residential care facilities, supported living services and move-on accommodation across nine care homes in the Buckinghamshire area.

The Group also continues to provide temporary housing solutions for the homeless through bed and breakfast facilities provide to the local authority.

Additionally, the Group has created new accommodation through a construction project, projects which are now completed post year end.

Revenue is primarily derived from Local authority funded placements, and the Group invests in skilled staff, regulated facilities, and digital care management systems to maintain compliance with Care Quality Commission (CQC) requirements and enhance operational efficiency.

PRINCIPAL RISKS AND UNCERTAINTIES
Key risks faced by the Group include:

Workforce recruitment and retention: Ongoing sector-wide staffing shortages, mitigated by improved training, retention bonuses, and international recruitment.

Regulatory compliance: Risk of non-compliance with CQC or health & safety standards, managed through robust internal quality audits.

Funding environment: Reliance on local authority funding rates, monitored through active engagement with commissioners.

Inflationary pressures: Rising wage and utility costs, addressed through efficiency programmes and cost control measures.

Reputational risk: Ensuring consistent high standards of care to maintain trust with service users and commissioners.

PERFORMANCE OVERVIEW
The group's performance continues to be primarily influenced by the availability and occupancy rates of its beds. While the number of available beds has remained consistent in recent years, occupancy has continued to improve.

As occupancy rates have risen over the past year within the care services, turnover has continued to improve. Residential care and supported living income saw an increase of 7.2%. Although occupancy rates within the Bed and Breakfast accommodation has fallen within the year, this still averages a 90% occupancy rate.

The income for construction services has seen a reduction in the year as the current construction projects come to an end and we anticipate a significant reduction in the coming twelve months as these projects are completed. However, the finalised accommodation should provide new rental income for the group in the next year.

Pressure remains high on the group's gross margins with increases in national minimum wages outweighing funding increases form local authorities . Despite these ongoing challenges, the group has managed to maintain its gross margin for the year. The group continues to closely monitor price increases and adjust its policies to mitigate their impact in future years.

Staff costs remain the largest single expense for the group, and these are continuously monitored by senior management using key performance indicators to ensure they align with the services provided. For the current year, staff costs, as a percentage of turnover, have increased to 47.8% (from 41.8% in 2024). This increase is largely due to the differential between local authority fee increases and the rise in national minimum wages. With further minimum wage increases in the coming year, coupled with an increase in Employers national insurance costs, the group anticipates increased pressure on staffing costs will continue to have an impact on margins. It will continue to carefully monitor the impact of these changes..

The group's net assets have seen a decrease to £7.5 million (compared to £9.9 million in 2024) due to the revaluation of various properties within the year. These asset values are regularly reviewed to assess potential opportunities for future growth.

CONCLUSION
The financial statements have been prepared on a going concern basis, which assumes that the company will continue its operations for the foreseeable future and will be able to realize its assets and discharge its liabilities in the normal course of business.

The board considers that the group is well placed to manage its business risks successfully and conclude that there is a reasonable expectation that the group will continue in operation and would be able to meet liabilities as they fall due for the foreseeable future.

STATEMENT OF DIRECTORS' RESPONSIBILITIES
The directors are responsible for preparing the Group Strategic Report, the Report of the Directors and the financial statements in accordance with applicable law and regulations.

Company law requires the directors to prepare financial statements for each financial year. Under that law the directors have elected to prepare the financial statements in accordance with United Kingdom Generally Accepted Accounting Practice (United Kingdom Accounting Standards and applicable law). Under company law the directors must not approve the financial statements unless they are satisfied that they give a true and fair view of the state of affairs of the company and the group and of the profit or loss of the group for that period. In preparing these financial statements, the directors are required to:

- select suitable accounting policies and then apply them consistently;
- make judgements and accounting estimates that are reasonable and prudent;
- prepare the financial statements on the going concern basis unless it is inappropriate to presume that the company will continue in business.

The directors are responsible for keeping adequate accounting records that are sufficient to show and explain the company's and the group's transactions and disclose with reasonable accuracy at any time the financial position of the company and the group and enable them to ensure that the financial statements comply with the Companies Act 2006. They are also responsible for safeguarding the assets of the company and the group and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.

We have audited the financial statements of The Coin Group Limited (the 'parent company') and its subsidiaries (the 'group') for the year ended 31st March 2025 which comprise the Consolidated Income Statement, Consolidated Other Comprehensive Income, Consolidated Balance Sheet, Company Balance Sheet, Consolidated Statement of Changes in Equity, Company Statement of Changes in Equity, Consolidated Cash Flow Statement and Notes to the Consolidated Cash Flow Statement, Notes to the Financial Statements, including a summary of significant accounting policies. The financial reporting framework that has been applied in their preparation is applicable law and United Kingdom Accounting Standards, including Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' (United Kingdom Generally Accepted Accounting Practice).

In our opinion the financial statements:
-give a true and fair view of the state of the group's and of the parent company affairs as at 31st March 2025 and of the group's loss for the year then ended;

Basis for opinion
We conducted our audit in accordance with International Standards on Auditing (UK) (ISAs (UK)) and applicable law. Our responsibilities under those standards are further described in the Auditors' responsibilities for the audit of the financial statements section of our report. We are independent of the group in accordance with the ethical requirements that are relevant to our audit of the financial statements in the UK, including the FRC's Ethical Standard, and we have fulfilled our other ethical responsibilities in accordance with these requirements. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our opinion.

Conclusions relating to going concern
In auditing the financial statements, we have concluded that the directors' use of the going concern basis of accounting in the preparation of the financial statements is appropriate.

Based on the work we have performed, we have not identified any material uncertainties relating to events or conditions that, individually or collectively, may cast significant doubt on the group's and the parent company's ability to continue as a going concern for a period of at least twelve months from when the financial statements are authorised for issue.

Our responsibilities and the responsibilities of the directors with respect to going concern are described in the relevant sections of this report.

Matters on which we are required to report by exception
In the light of the knowledge and understanding of the group and the parent company and its environment obtained in the course of the audit, we have not identified material misstatements in the Group Strategic Report or the Report of the Directors.

We have nothing to report in respect of the following matters where the Companies Act 2006 requires us to report to you if, in our opinion:
- adequate accounting records have not been kept by the parent company, or returns adequate for our audit have not been received from branches not visited by us; or
- the parent company financial statements are not in agreement with the accounting records and returns; or
- certain disclosures of directors' remuneration specified by law are not made; or
- we have not received all the information and explanations we require for our audit.

Responsibilities of directors
As explained more fully in the Statement of Directors' Responsibilities set out on page five, the directors are responsible for the preparation of the financial statements and for being satisfied that they give a true and fair view, and for such internal control as the directors determine necessary to enable the preparation of financial statements that are free from material misstatement, whether due to fraud or error.

Auditors' responsibilities for the audit of the financial statements
Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are free from material misstatement, whether due to fraud or error, and to issue a Report of the Auditors that includes our opinion. Reasonable assurance is a high level of assurance, but is not a guarantee that an audit conducted in accordance with ISAs (UK) will always detect a material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these financial statements.

The extent to which our procedures are capable of detecting irregularities, including fraud is detailed below:

As part of an audit in accordance with ISAs (UK), we exercise professional judgement and maintain professional scepticism throughout the audit. We also:

o Identify and assess the risks of material misstatement of the financial statements, whether due to fraud or error, design and perform audit procedures responsive to those risks, and obtain audit evidence that is sufficient and appropriate to provide a basis for our opinion. The risk of not detecting a material misstatement resulting from fraud is higher than for one resulting from error, as fraud may involve collusion, forgery, intentional omissions, misrepresentations, or the override of internal control.
o Obtain an understanding of internal control relevant to the audit in order to design audit procedures that are appropriate in the circumstances, but not for the purpose of expressing an opinion on the effectiveness of the company's internal control.
o Evaluate the appropriateness of accounting policies used and the reasonableness of accounting estimates and related disclosures made by the directors.

1. STATUTORY INFORMATION

The Coin Group Limited is a private company, limited by shares , registered in England and Wales. The company's registered number and registered office address can be found on the General Information page.

2. ACCOUNTING POLICIES

Basis of preparing the financial statements
These financial statements have been prepared in accordance with Financial Reporting Standard 102 "The Financial Reporting Standard applicable in the UK and Republic of Ireland" and the Companies Act 2006. The financial statements have been prepared under the historical cost convention as modified by the revaluation of certain assets.

Presentation Currency and Functional Currency
The financial statements are presented in Pounds Sterling (£), which is the company's functional and presentation currency. All amounts are rounded to the nearest pound unless otherwise stated.

Turnover
Turnover is all derived from the principal activity, being the provision of services

Goodwill
Goodwill, being the amount paid in connection with the acquisition of a business in 2023, is being amortised evenly over its estimated useful life of ten years.

Intangible assets
Intangible assets are initially measured at cost. After initial recognition, intangible assets are measured at cost less any accumulated amortisation and any accumulated impairment losses.

Tangible fixed assets
Depreciation is provided at the following annual rates in order to write off each asset over its estimated useful life.
Freehold property - 1% Straight line
Plant and machinery - 10% Straight line on cost
Fixtures and fittings - 25% Straight line, 20% Straight line on cost and 10% Straight line on cost
Computer equipment - 33% Straight Line

Investment property
Investment property is shown at most recent valuation. Any aggregate surplus or deficit arising from changes in fair value is recognised in profit or loss.

Taxation
Taxation for the year comprises current and deferred tax. Tax is recognised in the Consolidated Income Statement, except to the extent that it relates to items recognised in other comprehensive income or directly in equity.

Current or deferred taxation assets and liabilities are not discounted.

Current tax is recognised at the amount of tax payable using the tax rates and laws that have been enacted or substantively enacted by the balance sheet date.

2. ACCOUNTING POLICIES - continued
Deferred tax
Deferred tax is recognised in respect of all timing differences that have originated but not reversed at the balance sheet date.

Timing differences arise from the inclusion of income and expenses in tax assessments in periods different from those in which they are recognised in financial statements. Deferred tax is measured using tax rates and laws that have been enacted or substantively enacted by the year end and that are expected to apply to the reversal of the timing difference.

Unrelieved tax losses and other deferred tax assets are recognised only to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits.

Hire purchase and leasing commitments
Rentals paid under operating leases are charged to profit or loss on a straight line basis over the period of the lease.

Pension costs and other post-retirement benefits
The group operates a defined contribution pension scheme. Contributions payable to the group's pension scheme are charged to profit or loss in the period to which they relate.

Going concern
The Directors are confident that the company has adequate resources to continue operational existence for the foreseeable future. In consideration of going concern, the Directors continually review the Company's future cashflow forecasts and profit projections, on both a base case and sensitized basis, considering the principal risks and uncertainties that may arise. These forecasts have been prepared based on market data, experience trading within the sector and anticipated future trading. There is nothing to indicate from these forecasts, that the Company would not be able to continue successfully as a Going Concern in the future

Financial risk management
The company's financial risk management policies are designed to identify, measure and manage exposures to financial risks. The company does not use financial derivatives and does not engage in speculative trading. Risk management is overseen by the Board, which approves written policies covering credit risk, liquidity risk and market risk.

A. Price risk
The company has exposure to market price risk through the purchase of raw materials. Prices are monitored regularly and fixed-price supply contracts are used where appropriate. The company does not hold investments subject to significant fair value price volatility.

B. Credit risk
Credit risk arises principally from trade receivables. The company performs credit checks on new customers and sets credit limits. At year-end, the maximum exposure to credit risk is the carrying amount of receivables.

C. Liquidity risk
Liquidity risk is managed through cash flow forecasting and maintaining adequate banking facilities.

D. Cashflow risk
The company has bank loans at variable and fixed interest rates. As interest rates fluctuate, the company's future cashflow are subject to uncertainty.

Borrowing costs
Borrowing costs directly attributable to the acquisition, construction or production of qualifying assets are capitalised as part of the cost of those assets. A qualifying asset is one that takes a substantial period of time to get ready for its intended use. Capitalisation ceases when substantially all the activities necessary to prepare the asset for use are complete.

3. CRITICAL ACCOUNTING JUDGEMENTS AND KEY SOURCES OF ESTIMATION UNCERTAINTY

In the application of the company's accounting policies, which are described in Note 2, management is required to make judgments that have a significant effect on the amounts recognized in the financial statements. The most significant judgments made in preparing the financial statements are as follows:

1. Impairment of Goodwill and Intangible Assets
The company tests goodwill and intangible assets for impairment annually or when there is an indication of impairment. Management exercises judgment in determining the recoverable amount of goodwill and intangible assets, which involves estimating future cash flows, selecting an appropriate discount rate, and determining the future growth rates of cash flows. These estimates are inherently subjective and could differ from actual future outcomes.

2. Revenue Recognition
The company applies judgment in determining the appropriate timing of revenue recognition, particularly for long-term contracts, and when there is significant uncertainty about the collectability of revenue.

3. Lease Classification
The company assesses whether leases are operating or finance leases based on judgment, particularly when determining whether a lease transfers substantially all of the risks and rewards of ownership. This involves evaluating factors such as the lease term, present value of lease payments, and the value of the leased asset.

4. Tax Provisions and Recognition of Deferred Tax Assets
The company applies judgment in determining the amount of tax provisions required, including estimates regarding the likelihood of tax positions being sustained. Deferred tax assets are recognised to the extent that it is probable that future taxable profits will be available against which the deductible temporary differences can be utilized.

5. Allowance for Doubtful Accounts (Accounts Receivable) The company evaluates the collectability of accounts receivable by assessing the risk of default by customers. This evaluation is based on historical experience, customer creditworthiness, and current economic conditions. Given the judgment involved, there is a possibility that the allowance for doubtful accounts may not fully reflect future credit losses.

6. Useful Lives of Property, Plant, and Equipment
The company estimates the useful lives of its property, plant, and equipment, which affects the depreciation expense recognized. Changes in factors such as technological advancements, market conditions, and the physical condition of assets could result in different estimates of useful lives and, consequently, affect depreciation expense.

These estimates are based on information available at the time the financial statements are prepared and require judgment in their application. The actual results may differ from these estimates due to changing circumstances or new information becoming available. Management continuously monitors these estimates and updates them as necessary.

10. PRIOR YEAR ADJUSTMENT

During the current financial year, the Company undertook a detailed review of historical property acquisitions and identified embedded plant and machinery assets within a freehold property that had previously been classified in full as land and buildings. These embedded assets qualified for capital allowances and met the criteria for recognition as separate plant and machinery under FRS 102.

The freehold property in question had been subject to a revaluation in a previous reporting period, with the uplift recognised in the revaluation reserve. As a result of the reassessment, an amount of £91,194 has been reclassified from freehold property (which included the revalued amount) to plant and machinery, which is held at cost.

This adjustment has no impact on the total carrying value of tangible fixed assets, but has resulted in a reduction in the revaluation reserve and a corresponding adjustment to deferred tax liabilities, consistent with the original deferred tax provision raised on the revalued amount.

This correction has been treated as a prior year adjustment in accordance with FRS 102 Section 10 (Accounting Policies, Estimates and Errors) and the comparative figures have been restated accordingly.

Within bank loans are loans from Shawbrook Bank totalling £ 5.26m (2024: £5.38m) which are secured by a first charges over property assets of the group. These are interest only loans which are subject to an annual interest rate of 4.06% fixed until February 2028 after which the rate will revert to a margin of 3.34% over the variable Shawbrook Base Rate.

Also within bank loans is a loan from NatWest Bank totalling £ 2.28m (2024: £ 2.33m) which is secured by a first charge over property assets of the group. This loan dis subject to an annual interest rate of 2.20% above base rate.

A further development loan has been provided by Shawbrook Bank for the construction of properties by the group which stands at £ 4.28m at the year end (2024: £3.55ml). It is anticipated that this development loan will be refinanced within the next year following completion of the construction projects.

25. RELATED PARTY DISCLOSURES

During the year the company paid rent to two companies which are wholly owned the director. Rents totalling £ 167,370 (2024: £ 167,370) were paid to 56 Upper Green Street Limited, registered in England under number 11488588 together with rents totalling £ 90,000 (20234: £ 90,000) being paid to 65 Priory Avenue Ltd, registered in England under number 11379998. As at the year end there is an amount due to 56 Upper Green Street Ltd of £76,066l. (2024: £ Nil) and an amount due to 65 Priory Avenue Ltd of £ 37,850 (2024: 25,140)

During the year the company also made loans available to these two companies. A loan totalling £728,059 was received from 56 Upper Green Street Limited (2024: £670,604) and a loan of £ 89,537 (2024: 130,694) was made to 65 Priory Avenue Limited. Both of these loan remain outstanding at the year end.

All transactions with related parties are conducted on an arm’s length basis unless otherwise stated. No amounts have been written off during the year in respect of related party balances. Unless stated otherwise, all balances are repayable on demand. No related party transactions are secured, and no guarantees have been given or received in connection with these balances.

26. ULTIMATE CONTROLLING PARTY

The controlling party is E Bland.

27. CAPITLAISED FINANCE COSTS

During the year, the company incurred borrowing costs of £868,498 . Of these costs, £448,216 were capitalised as part of the cost of assets in the course of construction. The remaining £420,282 has been recognised as an expense in the Statement of Comprehensive Income.
The borrowing costs capitalised were determined using a capitalisation rate of 6.5% over SONIA, which represents the cost of the company's borrowings on the construction assets.
Capitalisation will continue until the construction of the new properties are complete and the assets are ready for use.
