The directors are satisfied that the company is entitled to exemption from the requirement to obtain an audit under section 480 of the Companies Act 2006 relating to dormant companies.

The member has not required the company to obtain an audit in accordance with section 476 of the Act.

The directors acknowledge their responsibilities for complying with the requirements of the Companies Act 2006 with respect to accounting records and the preparation of accounts.

The accounts have been prepared and delivered in accordance with the special provisions applicable to companies subject to the small companies regime. A profit and loss account has not been delivered to the Registrar of Companies.

1	Accounting policies
	The accounts have been prepared under the historical cost convention.


2	Controlling party

	The company is a wholly owned subsidiary of API Limited, a company registered in England and Wales whose registered address is the same as for Associated Property Investors Limited, which is disclosed in note 3 below. The directors regard API Limited as the immediate controlling party. In the directors' opinion there is no ultimate controlling party. The results of the company are not included in any group financial statements.
